本长期合作协议由以下双方于东莞市长安镇签订：
Thislong-termcooperationagreementismadeinChang’anTownofDongguanCitybetween:
广东欧珀移动通信有限公司，其住所位于东莞市长安镇乌沙海滨路18号。
（以下简称“甲方”）
和
莱尔德电子材料（深圳）有限公司，其住所位于深圳市宝安区福永镇和平社区福源一路德金工业区一区厂房。
（以下简称“乙方”）
GuangdongOPPOMobileTelecommunicationsCorp.Ltd.,anorganizationlocatedat#18HaibinRoad,Wusha,Chang’anTown,DongguanCity（hereinafterreferredtoas“PartyA”）.
And
__LairdTechnologies（Shenzhen）,anorganizationlocatedat_Building1,DejinIndustiralPark,FuyuanyiRoad,Hepingcommunity,FuyongTown,BaoAnDistrict,ShenzhenCity（hereinafterreferredtoasPartyB）.
甲、乙双方本着互惠互利，友好合作的原则，为明确双方权利和义务，特订立本长期合作协议及各专项协议，由双方在长期合作协议封面上盖章后生效。
本长期合作协议包含如下专项协议：
Basedontheprincipleofmutualbenefitandfriendlycooperationandtoclarifyresponsibilitiesandobligations,PartyAandPartyBhereofcometothelong-termcooperationagreementandvariousspecialagreements.Alltheagreementswillcomeintoforceatstampingthecommonsealsonthecovers.Thislong-termagreementiscomposedofthespecialagreementsbelow:

包含的各专项协议是本长期合作协议不可分割的一部分，与本长期合作协议具有同等法律效力。
Allthespecialagreementsareintegralpartsofthelong-termcooperationagreementandarewithequallegalforceasthelong-termcooperationagreement.
如双方签订了新的长期合作协议、专项协议（简称版本升级），则新的长期合作协议、专项协议（简称新版本）签订的同时旧的长期合作协议、专项协议（简称旧版本）自动解除。
Incaseofnewlong-termcooperationagreementandspecialagreementssignedbetweenthetwoparties（referredtoasagreementupgrade）,theoldversionlong-termcooperationagreementandspecialagreements（referredtoasupgradedagreement）shallbeautomaticallyterminatedatthemomentwhenthenewversionlong-termcooperationagreementandspecialagreements（referredtoasnewversionagreement）comeintoforce.
甲、乙双方确认经过平等协商、相互商讨，双方共同拟订了本长期合作协议及各专项协议。
甲、乙双方均认为本长期合作协议及各专项协议是各方共同的真实意思表示，对协议条款已充分理解并完全同意。
甲、乙双方均确认本长期合作协议及各专项协议不作为任何一方的格式合同、格式条款。
对长期合作协议及各专项协议中的责任条款，甲、乙双方均已充分注意并完全理解，双方对该等条款均表示全部接受。
PartyAandPartyBhereofconfirmthatthroughfriendlyandfairconsultationsthetwopartiescometothelong-termcooperationagreementandvariousspecialagreements.BothPartyAandPartyBhereofconsiderthatthelong-termagreementandvariousspecialagreementsarethetrueexpressionsofthetwopartiesandthetwopartiesabsolutelyandentirelyunderstandandagreeonallclausesintheagreements.BothPartyAandPartyBhereofconfirmthatthelong-termagreementandvariousspecialagreementsshallnotbedeemedasformatcontractorformatclauses.Moreover,bothPartyAandPartyBhereoffullynoticeandentirelyagreeonclausesofresponsibilityinthelong-termagreementandvariousspecialagreements,andabsolutelyacceptalltheclauses.

付款条件定义：
Definitionforpaymentcondition:
1）月结付款条件：
月结货款指乙方从本月1日至本月月末的所有验收合格入库后的货款。
所有因品质等原因未在本月及时入库的数量不在本月结算付款之列；
月结30天是指其货款从供货次月1日开始算起，30天后到期，月结60天/90天以此类推。

Netdaypaymentmeanspaymentismadeforthewarehousedproductsacceptedafterinspectionfromthefirstdaytotheendofthemonth.Alltheproductsfailedforreleaseforwarehouseduetoqualityissuesduringthismonthareexcludedinsettlementofthismonth;
