本长久合作协议由以下双方于东莞市长安镇签署：

Thislong-termcooperationagreementismadeinChang’anTownofDongguanCitybetween:

广东欧珀移动通信，其住所在东莞市长安镇乌沙海滨路18号。

（以下简称“甲方”）

和

莱尔德电子材料（深圳），其住所在深圳市宝安区福永镇和平小区福源一路德金工业区一区厂房。

（以下简称“乙方”）

GuangdongOPPOMobileTelecommunicationsCorp.Ltd.,anorganizationlocatedat#18HaibinRoad,Wusha,Chang’anTown,DongguanCity（hereinafterreferredtoas“PartyA”）.

And

__LairdTechnologies（Shenzhen）Ltd._,anorganizationlocatedat_Building1,DejinIndustiralPark,FuyuanyiRoad,Hepingcommunity,FuyongTown,BaoAnDistrict,ShenzhenCity（hereinafterreferredtoasPartyB）.

甲、乙双方本着互惠互利，友好合作标准，为明确双方权利和义务，特签订本长久合作协议及各专题协议，由双方在长久合作协议封面上盖章后生效。

本长久合作协议包含以下专题协议：

Basedontheprincipleofmutualbenefitandfriendlycooperationandtoclarifyresponsibilitiesandobligations,PartyAandPartyBhereofcometothelong-termcooperationagreementandvariousspecialagreements.Alltheagreementswillcomeintoforceatstampingthecommonsealsonthecovers.Thislong-termagreementiscomposedofthespecialagreementsbelow:

SupplierAgencyQualificationandSupplySourceControlAgreement

包含各专题协议是本长久合作协议不可分割一部分，和本长久合作协议含有相同法律效力。

Allthespecialagreementsareintegralpartsofthelong-termcooperationagreementandarewithequallegalforceasthelong-termcooperationagreement.

如双方签署了新长久合作协议、专题协议（简称版本升级），则新长久合作协议、专题协议（简称新版本）签署同时旧长久合作协议、专题协议（简称旧版本）自动解除。

Incaseofnewlong-termcooperationagreementandspecialagreementssignedbetweenthetwoparties（referredtoasagreementupgrade）,theoldversionlong-termcooperationagreementandspecialagreements（referredtoasupgradedagreement）shallbeautomaticallyterminatedatthemomentwhenthenewversionlong-termcooperationagreementandspecialagreements（referredtoasnewversionagreement）comeintoforce.

甲、乙双方确定经过平等协商、相互商讨，双方共同拟订了本长久合作协议及各专题协议。

甲、乙双方均认为本长久合作协议及各专题协议是各方共同真实意思表示，对协议条款已充足了解并完全同意。

甲、乙双方均确定本长久合作协议及各专题协议不作为任何一方格式协议、格式条款。

对长久合作协议及各专题协议中责任条款，甲、乙双方均已充足注意并完全了解，双方对该等条款均表示全部接收。

PartyAandPartyBhereofconfirmthatthroughfriendlyandfairconsultationsthetwopartiescometothelong-termcooperationagreementandvariousspecialagreements.BothPartyAandPartyBhereofconsiderthatthelong-termagreementandvariousspecialagreementsarethetrueexpressionsofthetwopartiesandthetwopartiesabsolutelyandentirelyunderstandandagreeonallclausesintheagreements.BothPartyAandPartyBhereofconfirmthatthelong-termagreementandvariousspecialagreementsshallnotbedeemedasformatcontractorformatclauses.Moreover,bothPartyAandPartyBhereoffullynoticeandentirelyagreeonclausesofresponsibilityinthelong-termagreementandvariousspecialagreements,andabsolutelyacceptalltheclauses.

长久合作协议

付款条件定义：

Definitionforpaymentcondition:

1）月结付款条件：

月结货款指乙方从本月1日至本月月末全部验收合格入库后货款。

全部因品质等原因未在本月立即入库数量不在本月结算付款之列；月结30天是指其货款从供货次月1日开始算起，30天后到期，月结60天/90天以这类推。

PaymentAMSterms:

Netdaypaymentmeanspaymentismadeforthewarehousedproductsacceptedafterinspectionfromthefirstdaytotheendofthemonth.Alltheproductsfailedforreleaseforwarehouseduetoqualityissuesduringthismonthareexcludedinsettlementofthismonth;net30daysmeanspaymentshallbemadewithin30dayscountingfromthefirstdayofnextmonthaftersupplying,andonanalogofthisfornet60/90days.

2）货到付款条件：

货到×天是指收货以后×天到期。

CODterms:

XdaysafterdeliverymeanspaymentshallbemadeXdaysafterreceiving.

4、订单下达

OrderPlacing

甲方以打印并加盖甲方购货协议章《订货协议》（包含《采购订单》、《备料协议》，下同）作为向

乙方下达采购订单唯一方法。

乙方收到甲方《订货协议》后需在一个工作日内对订单上货物规格、

数量、单价、交期、付款方法等给予确定并签章后回传给甲方，以此作为双方确定《订货协议》依

据。

乙方如因特殊原因无法按时回传，可书面告之甲方具体协议评审时间，经甲方许可后可适时顺

延确定时间。

如乙方无故拖延《订货协议》确定时间而影响甲方生产计划，甲方将按每份协议延迟一

天要求乙方支付人民币伍佰圆违约金。

PartyBtakestheonlywaytoplacepurchaseordertoPartyBbyprintedPurchaseContract（includingPurchaseOrder,MaterialContract,similarlyhereinafter.）withspecialsealforpurchasecontractofPartyA.WithinoneworkingdayafterreceivingthePurchaseContractfromPartyA,PartyBshallconfirmproductspecification,quantity,unitprice,dateofdeliveryandpaymentonthepurchaseorderandfaxitbacktoPartyAafterstampingsealonitasproofofconfirmedPurchaseContractbybothparties.Incaseoffailuretofaxitbackasscheduledduetospecialreason,PartyBshallnotifyPartyAaboutdetailedcontractreviewtime.TheconfirmationtimecannotbedelayeduntilconsentreceivedfromPartyA.IfPartyA’sproductionplanisaffectedduetounreasonabledelayofconfirmationtimeofPurchaseContractbyPartyB,PartyAshallclaimagainstPartyBforRMB500foreachdelayeddayforeachcontractaspenaltyforbreachofcontract.

5、订单变更

OrderModification

5.1如因甲方原因变更（包含但不限于取消、增加/降低数量、更改交期等）已生效《订货协议》，甲方

以传真形式向乙方发出加盖甲方购货协议章《订货协议变更协议》。

乙方应在接到甲方《订货协议变更协议》后一个工作日内给予确定并签章后回传给甲方。

若乙方未按时回传，甲方可视同乙方已接收《订货协议变更协议》。

IfthevalidPurchaseContractismodified（includingbutnotlimitedto:

cancellation,quantityincrease/decrease,changeofdateofdelivery）duetoPartyA,PartyAshallfaxaPurchaseContractModificationAgreementwithpurchasesealtoPartyB.PartyBshallconfirm,sealandfaxbackthePurchaseContractModificationAgreementwithinoneworkingdayafterreceivingitfromPartyA.IncasethatPartyBfailstofaxitbackasscheduled,PartyAshalldeemitasthatPartyBhasacceptedthePurchaseContractModificationAgreement.

5.2乙方在接到并确定甲方《订货协议变更协议》后应立即安排调整生产或调整备货。

若需取消订单或减

少订单数量，乙方需一个工作日内将已生产或已备货情况如实反馈给甲方。

乙方已生产或已备货物料，标准上由甲方帮助消化，具体处理方法由双方协商确定。

乙方虚报数量造成甲方损失，甲方有权利要求乙方全额负担。

AfterreceivingandconfirmingthePurchaseContractModificationAgreementfromPartyA,PartyBshallimmediatelymakearrangementsofproductionandstockadjustment.Incaseofpurchaseordercancellationorquantitydecreaseinpurchaseorder,PartyBshallreportactualproductionorstocksituationtoPartyAwithinoneworkingday.Inprinciple,PartyAshallassistinabsorbingtheproducedorstockedmaterialsofPartyB,andthespecificsolutionshallbereachedafterconsultationsbetweenthetwoparties.IncaseofPartyA’slosscausedbyfalsequantityreportedbyPartyB,PartyAhastherighttorequirePartyBtoundertakeallthelossessufferedbyPartyA.

5.3甲方供给部为甲方向乙方下达订单指令唯一窗口单位，乙方不得接收除甲方供给部指定人员以外

任何人员订单下达和变更指令，不然由此给乙方造成一切损失由乙方自行负担；甲方以打印并

加盖甲方购货协议章《订货协议》或《订货协议变更协议》作为向乙方下达采购订单或变更采购订

单唯一方法，乙方不得接收上述下单或变更方法以外任何形式订单指令，不然由此给乙方造成

一切损失由乙方自行负担。

SupplyDepartmentofPartyAistheonlyunitofPartyAtoplacepurchaseordertoPartyB,andPartyBshallnotacceptanyneworderormodificationdirectivesfromanyotherpersonnelexceptthoseappointedbyPartyA.Otherwise,alllossescausedtoPartyBshallbesolelyundertakenbyPartyB.PartyBtakestheonlywaytoplacepurchaseorderormodifythepurchaseordertoPartyBbyprintedPurchaseContractorPurchaseContractModificationAgreementwithspecialsealforpurchasecontractofPartyA,andPartyBshallnotacceptpurchaseorderdirectivesinanyanotherformsforplacingormodifyingpurchaseorder.Otherwise,alllossescausedtoPartyBshallbesolelyundertakenbyPartyB.

6、价格

Price

双方交易价格根据生效《订货协议》单价实施，定价方法及其它权责按双方签署《价格诚信协议》

实施。

ThepurchasepriceissubjecttotheunitpricespecifiedinthevalidPurchaseContract.PricingmethodandotherresponsibilitiesandobligationsaresubjecttoPriceCreditAgreementsignedbythetwoparties.

7、交货

Delivery

7.1乙方将产品交到生效《订货协议》中要求交货地点交给甲方，办理交货手续，并同时提供相关产品单证和资料，乙方负担交货前一切费用及货物风险，包含但不限于运输、保险及卸货等费用。

若乙方交货延迟，每延迟一天乙方需按延迟交货总金额1%支付违约金，违约金最低限额人民币伍佰圆，最高限额为延迟交货总金额10%；若延期8天（含）以上，甲方有权利单方面取消订单，所以给乙方造成全部损失由乙方负担，同时甲方有权要求乙方负担所以给甲方造成损失。

若因不可抗拒原因造成乙方无法按时交货，乙方可不予负担延期交货违约责任，但必需在7个工作日内提供不可抗拒原因相关证实。

若因甲方原因造成乙方无法按时交货，乙方可不予负担延期交货违约责任。

PartyBshalldelivertheproductstoPartyAattheplacespecifiedinthevalidPurchaseContract,handledeliveryformalities,andproviderelatedcertificatesanddataoftheproducts.PartyBshallundertakeallchargesandcommodityrisksbeforedeliveryincludingbutnotlimitedtochargesfortransport,insuranceanddischarging.IncaseofdelayeddeliverybyPartyB,PartyBshallpay1%ofthedelayedproductvalueforeachdelayeddayascompensationforbreachofcontract.TheminimumamountofcompensationforbreachofcontractisRMB500,andthemaximumamountis10%ofthedelayedproductvalue;in
