（...namedplace）

“Exworks"meansthatthesellerdeliverswhenheplacesthegoodsatthedisposalofthebuyerattheseller'spremisesoranothernamedplace（i.e.wa&s,factory,warehouse,etc.）notclearedforexportandnotloadedonanycollectingvehicle.

Thistermthusrepresentstheminimumobligationfortheseller,andtilebuyerhastobearallcostsandrisksinvolvedmtakingthegoodsfromtheseller'spremises.

However,ifthepartieswishthesellertoberesponsiblefortheloadingofthegoodsondepartureandtobeartherisksandallthecostsofsuchloading,thisshouldbemadeclearbyaddingexplicitwordingtothiseffectinthecontractofsale1.Thistermshouldnotbeusedwhenthebuyercannotcarryouttheexportformalitiesdirectlyorindirectly.Insuchcircumstances,theFCAtermshouldbeused,providedtheselleragreesthathewillloadathiscostandrisk.

ＢTHEBUYER'SOBLIGATIONS

A1Provisionofgoodsinconformitywiththecontract

Thesellermustprovidethegoodsandthecommercialinvoice,oritsequivalentelectronicmessage,inconformitywiththecontractofsaleandanyotherevidenceofconformitywhichmayberequiredbythecontract.

B1Paymentoftheprice

Thebuyermustpaythepriceasprovidedinthecontractofsale.

A2Licences,authorisationsandformalities

Thesellermustrenderthebuyer,atthelatter'srequest,riskandexpense,every,assistanceinobtaining,whereapplicable2,anyexportlicenceorotherofficialauthorisationnecessaryfortheexportofthegoods.

B2Licences,authorisationsandformalities

Thebuyermustobtainathisownriskandexpenseanyexportandimportlicenceorotherofficialauthorisationandcarryout,whereapplicable3allcustomsformalitiesfordieexportofthegoods.

A3Contractsofcarriageandinsurance

A4Delivery

Thesellermustplacethegoodsatthedisposalofthebuyeratthenamedplaceofdelivery,notloadedonanycollectingvehicle,onthedateorwithintheperiodagreedor,ifnosuchtimeisagreed,attheusualtiny,fordeliveryofsuchgoods.Ifnospecificpointhasbeenagreedwithinthenamedplace,andifthereareseveralpointsavailable,thesellermayselectthepointattheplaceofdeliverywhichbestsuitshispurpose.

B4Takingdelivery

Thebuyermusttakedeliveryofthegoodswheretheyhavebeendeliveredinaccordance.withA4andA7/B7.

A5Transferofrisks

Thesellermust,subjecttotheprovisionsofB5,bearallrisksoflossofordamagetothegoodsuntilsuchtimeastheyhavebeendeliveredinaccordancewithA4.

∙fromthetime,theyhavebeendeliveredinaccordancewithA4;and

∙fromtheagreeddateortheexpirydateofanyperiodfixedfortakingdeliverywhicharisebecausehefailstogivenoticeinaccordancewithB7,provided,however,thatthegoodshasbeendulyappropriatedtothecontract,thatistosay,clearlysetasideorotherwiseidentifiedasthecontractgoods.

A6Divisionofcosts

Thesellermust,subjecttotheprovisionsofB6,payallcostsrelatingtothegoodsuntilsuchtimeastheyhavebeendeliveredinaccordancewithA4.

B6Divisionofcosts

∙Thebuyermustpay

∙allcostsrelatingtothegoodsfromthetimetheyhavebeendeliveredmaccordancewithA4;and

∙anyadditionalcostsincurredbyfailingeithertotakedeliveryofthegoodswhentheyhavebeenplacedathisdisposal,ortogiveappropriatenoticeinaccordancewithB7provided,however,thatthegoodshavebeendulyappropriatedtothecontract,thatistosay,clearlysetasideorotherwiseidentifiedasthecontractgoods;and

∙whereapplicable8,allduties,taxesandotherchargesaswellasthecostsofcan"outcustomsformalitiespayableuponexport.

ThebuyermustreimburseallcostsandchargesincurredbythesellerinrenderingassistanceinaccordancewithA2.

A7Noticetothebuyer

Thesellermustgivethebuyersufficientnoticeastowhenandwherethegoodswillbeplacedathisdisposal.

B7Noticetotheseller

Thebuyermust,wheneverheisentitledtodeterminethetimewithinanagreedperiodand/ortheplaceoftakingdelivery,givethesellersufficientnoticethereof.

Thebuyermustprovidethesellerwithappropriateevidenceofhavingtakendelivery.

A9Checking–packing–marking

Thesellermustpaythecostsofthosecheckingoperations（suchascheckingquality,measuring,weighing,counting）whicharenecessaryforthepurposeofplacingthegoodsatthebuyer'sdisposal.

Thesellermustprovideathisownexpensepackaging（unlessitisusualfortheparticulartradetomakethepodsofthecontractdescriptionavailableunpacked）whichisrequiredforthetransportofthegoods,totheextentthatthecircumstancesrelatingtothetransport（forexamplemodalities,destination）aremadeknowntothesellerbeforethecontractofsaleisconcluded.Packagingistobemarkedappropriately.

B9Inspectionofgoods

Thebuyermustpaythecostsofanypreshipmentinspection,includinginspectionmandatedbytheauthoritiesofthecountryofexport.

A10Otherobligations

Thesellermustrenderthebuyeratthelatter'srequest,riskandexpense,everyassistanceinobtaininganydocumentsorequivalentelectronicmessagesissuedortransmittedinthecountryofdeliveryand/oroforiginwhichthebuyermayrequirefortheexportand/orimportofthegoodsand,wherenecessary,fortheirtransitthroughanycountry.

Thesellermustprovidethebuyer,uponrequest,withthenecessaryinformationforprocuringinsurance.

B10Otherobligations

Thebuyermustpayallcostsandchar"incurredmobtainingthedocumentsorequivalentelectronicmessagesmentionedinA10andreimbursethoseincurredbythesellerinrenderinghisassistanceinaccordancetherewith.

FCA

FREECARRIER

"FreeCarrier"meansthatthesellerdeliversthegoods,clearedforexport,tothecarriernominatedbythebuyeratthenamedplace.Itshouldbenotedthatthechosenplaceofdeliveryhasanimpactontheobligationsofloadingandunloadingthegoodsatthatplace.Ifdeliveryoccursattheseller'spremises,thesellerisresponsibleforloading.Ifdeliveryoccursatanyotherplace,thesellerisnotresponsibleforunloading.

termmayheusedirrespectiveofthemodeoftransport,includingmultimodaltransport.

"Carrier"meansanypersonwho,inacontractofcarriage,undertakestoperformortoprocuretheperformanceoftransportbyrail,road,air,sea,inlandwaterwayorbyacombinationofsuchmodes.

Ifthebuyernominatesapersonotherthanacarriertoreceivethegoods,thesellerisdeemedtohavefulfilledhisobligationtodeliverthegoodswhentheymedeliveredtothatperson.

Thesellermustprovidethegoodsandthecommercial  invoice,oritsequivalentelectronicmessage,inconformitywiththecontractofsaleandanyotherevidenceofconformitywhichmayberequiredbythecontract.

B1Paymentofprice

Thebuyermustpaythepriceasprovidedmthecontractofsale.

A2Licences,authorisationsandformalities

Thesellermustobtainathisownriskandexpenseanyexportlicenceorotherofficialauthorisationandcarryout,whereapplicable1,allcustomsformalitiesnecessaryfortheexportofthegoods.

B2Licences,authorisationsandformalities

Thebuyermustobtainathisownriskandexpenseanyimportlicenceorotherofficialauthorisationandcarryout,whereapplicable2,allcustomsformalitiesfortheimportofthegoodsandfortheirtransitthroughanycountry.

A3Contractsofcarriageandinsurance

a）Contractofcarriage

Noobligation3.However,ifrequestedbythebuyerorifitisCommercialpracticeandthebuyerdoesnotgiveaninstructiontothecontraryinduetime,thesellermaycontractforcarriageonusualtermsatthebuyer'sriskandexpense.Ineithercase,thesellermaydeclinetomakethecontractand,ifhedoes,shallPromptlynotifythebuyeraccordingly.

b）Contractofinsurance

B3Contracts ofcarriageandinsurance

a）      Contractofcarriage

Thebuyermustcontractathisownexpenseforthecarriageofthegoodsfromthenamedplace,exceptwhenthecontractofcarriage,ismadebythesellerasprovidedforinA3a）.

b）      Contractofinsurance

A4Delivery

Thesellermustdeliverthegoodstothecarrieroranotherpersonnominatedbythebuyer,orchosenbythesellerinaccordancewithA3a）,atthenamedplaceonthedateorwithintheperiodagreedfordelivery.

Deliveryiscompleted,

 a）Ifthenamedplaceistheseller'spremises,whenthegoodshavebeenloadedonthemeansoftransportprovidedbythecarriernominatedbythebuyeroranotherpersonactingonhisbehalf.

b）Ifthenamedplaceisanywhereotherthana）,whenthegoodsareplacedatthedisposalof'thecarrieroranotherpersonnominatedbythebuyer,orchosenbythesellerinaccordancewithA3a）ontheseller'smeansoftransportnotunloaded.

Ifnospecificpointhasbeenagreedwithinthenamedplace,andifthereareseveralpointsavailable,thesellermayselectthepointattheplaceofdeliverywhichbestsuitshispurpose.
