PREAMBLE:

ThisAnnexB1.0ispreparedinaccordancewiththeIATAAHM814procedurewherebytheCarrierandtheCatereragreethatthetermsoftheMainAgreementandAnnexAoftheIATAAHM814of**7,aspublishedbytheInternationalAirTransportAssociation（IATA）shallapplyasifsuchtermswererepeatedhereinfull.BysigningthisAnnexB1.0,thePartiesconfirmthattheyarefamiliarwiththeaforementionedMainAgreementandAnnexA.

Paragraph1CateringServicesCharges

1.1ForasingleCateringhandlingconsistingofthearrivalandthesubsequentdepartureatagreedtimingsofthesameaircraft,theCaterershallprovidetheservicesofAnnexAsetoutunderParagraph1.1.1,attheratessetoutinAppendixI（asmaybemutuallyamendedbythePartiesfromtimetotime）（hereinafterreferredtothe“CateringHandlingCharges”）.

1.2NotwithstandinganyotherprovisiontothecontraryinthisAgreement,pricesintheCateringServicesChargesassetoutinAppendix1,fortheprovisionoftheServiceswillbeadjustedannuallyoncontractanniversarybasedontheprecedingyearof**WageIndex（SWI）.Foravoidanceofthedoubt,thefirstadjustmentwilltakeplace25April2015.

1.3ThechargespayablebytheCarrierundertheAgreementdonotincludeanycharges,feesortaxesthatmaybeimposedorleviedbyanygovernmentbodiesorauthority（ies）againsttheCarrierortheCatererinconnectionwiththeprovisionbytheCatereroftheservicesundertheAgreement,includingwithoutlimitationanyfeesorchargesimposedbyairportauthorities,oranycustomsorpermitclearingfees.TheCarriershallbearandpaytotheCatererallcharges,feesortaxes（includingbutnotlimitedtogoodsandservicestax）imposedorleviedinrespectoftheprovisionbytheCatereroftheservicesundertheAgreement.Anycustomsorpermitclearingfeeswillbechargedatcostplusdisbursement（s）.TheCivilAviationAuthorityof**（“CAAS”）currentlyleviesaConcessionFeeforupliftedservicesattheAirportasfollows:

∙Tenpercent（10%）forfirstsectormeals;

∙Threepercent（3%）forsecondsectormeals;

∙Tenpercent（10%）forallothercateringservices;and

∙Fivepercent（5%）forsecurityhandlingservices.

Paragraph2AdditionalServicesandCharges

2.1AllservicesnotincludedinParagraph1ofthisAnnexBwillbechargedandpaidforattheCaterer’sprevailingrates.TheprovisionofanysuchadditionalservicesbytheCaterertotheCarriershallbesubjectto,andwillbeperformedbytheCatererinaccordancewith,theCaterer’sprevailingrates,policiesandoperatingproceduresapplicabletosuchservices.

2.2TheCarrierwillprovidepreliminaryordersforin-flightmealsatnolaterthan24hourspriortoscheduledtimeofdeparture（STD）oftheaircraft.ThesaidpreliminaryordersshallbedeemedasfirmordersunlessotherwiseadvisedbyCarrieratbetween6and24hourspriortothescheduledtimeofdeparture（STD）oftheaircraft.NotwithstandingArticle6.4.3oftheMainAgreement,intheevent:

2.2.1ofanyflightcancellationnotifiedlessthan24hoursbeforethescheduledtimeofdeparture（STD）ofanyoftheCarrier’saircraft,afeeof50%ofthetotalamount（determinedfromtheratesunderthetablesinAppendix1）whichwouldotherwisehavebeenpayable,shallbepaidbytheCarriertotheCaterer;

2.2.2themealsorderedbytheCarrierarecancelled,theCarriershallpaythefollowingcharges:

（a）50%ofthepricesofthemealscancelledwhenthecancellationismadebetween4and6hourspriortothescheduledtimeofdeparture（STD）oftherelevantCarrier’saircraft;and

（b）100%ofthepricesofthemealscancelledwhenthecancellationismadelessthan4hourspriortothescheduledtimeofdepartureoftherelevantCarrier’saircraft.

2.3NotwithstandingParagraph2.2,noconcessionshallbegivenonthechargesforspecialmeals（e.g.medical,dieteticorreligiousmeals）cancelledifthecancellationismadelessthan24hourspriortothescheduledtimeofdeparture（STD）oftheaircraft.

Paragraph3Disbursements

3.1AnyexpensesordisbursementsmadebytheCatererinconnectionwiththeprovisionoftheservicesoronbehalfoftheCarrierwillbereimbursedbytheCarrieratcostpriceplusanaccountingsurchargeof15%.

3.2Anycustoms/permitclearingfeeswillbechargedatcostplusdisbursement（s）.

Paragraph4LimitofLiability

4.1Article8oftheMainAgreementisherebyexcludedinitsentirety.

4.2TheCaterershallhavenoresponsibility（whethertotheCarrierorotherwise）inrespectofanylosseswhicharenotreasonablyforeseeable,anyindirectorconsequentiallosses,anylossofprofit,use,anticipatedsavings,goodwill,reputationorbusinesscontracts,oranyotherformofpureeconomicloss,oranylossordamagesufferedbytheCarrierasaresultof,orinconnectionwith,anyclaimsbroughtagainsttheCarrierbyanythirdparty,howsoeverarising（whetherincontract,tortorotherwise）andeveniftheCatererhadbeenadvisedofthepossibilityorlikelihoodofthesame.

4.3TheCaterershallalsohavenoresponsibility（whethertotheCarrierorotherwise）inrespectof:

4.3.1anyclaim,demand,lossordamagearisingouttheprovisionofanyoftheservices,oranyfailuretoprovideanyoftheservices;and/or

4.3.2anydamageorlosscausedtoanyaircraft,equipmentorproperty（whethertheCarrieroranyotherperson）,howsoeverarising,

excepttotheextentthatsuchclaim,demand,lossordamageresultedsolelyfromthegrossnegligence,recklessness,wilfulmisconductorfraudoftheCaterer.

4.4NotwithstandinganyprovisiontothecontraryintheAgreement,theCaterer’saggregateliabilityinanyyearforanyclaim,demand,lossordamage,howsoevercausedorarisingandwhetherincontract,tortorotherwise,shallnotinanyeventexceedatotalofSGD50,000.

4.5TheCarrieracknowledgesthattheCaterer’schargesfortheserviceshasbeendeterminedonthebasisthattheCaterershallbeabletoexcludeandlimitliabilityinthemannersetoutinthisParagraph4.

4.6NothinginthisagreementwilloperatetoexcludeorlimittheCaterer’sliabilitytotheCarrierinrespectofdeathorpersonalinjuryresultingfromtheCaterer’snegligence.

4.7TheCarrierherebyagreestoindemnifyandholdharmlesstheCatererfromandagainstanyandalllosses,damages,charges,costsandexpensesofwhatevernaturewhichtheCaterermayatanytimeandfromtimetotimesustain,incurorsufferinundertakingand/orperformingtheservices,excepttotheextentthatsuchlosses,damages,charges,costsorexpensesresultedsolelyfromthegrossnegligence,recklessness,wilfulmisconductorfraudoftheCaterer.

4.8IftheCatererisbyreasonofForceMajeure（definedbelow）renderedunablewhollyorinparttoperformitsobligationsunderthisAgreement,itshallbereleasedfromitsobligationshereundertotheextenttowhichitisaffectedbythecircumstancesofForceMajeureandfortheperiodduringwhichthosecircumstancesexistandshallprovidenoticeinwritingofsuchForceMajeuretotheCarrierpromptlyaftertheoccurrenceofthecausereliedon,ProvidedthatnothinginthisparagraphshallrelieveeitherPartyfromanyobligationstomakeanypaymentsrequiredtobemadehereundertotheotherParty.

ForthepurposesoftheAgreement,“ForceMajeure”meansanyeventtheoccurrenceofwhichisbeyondthecontroloftheCaterer,includingbutnotlimitedto:

（i）war,invasion,rebellion,revolution,insurrectionorcivilwar;

（ii）actofGovernmentinitssovereigncapacity;

（iii）earthquakes,fire,lightning,storms,floods,unusuallysevereorextremeweatherconditionsoranyotheroccurrencecausedbytheoperationoftheforcesofnature;

（iv）totalorpartialinterruptionorcurtailmentofanyITservices/systemsand/orintheprovisionofelectricity,water,gasand/oranyotherutilities;

（v）strikes,lockouts,boycottsorlabourdisputes;and

（vi）terrorism,sabotageorarson.
