InthisAgreementunlessthecontextotherwiserequires:
在此协议中除非有其它要求：
1.“ADB”meansairdriedbasis.
“ADB”是指空干基；
2.“ARB”meansasreceivedbasis.
“ARB”是指收到基；
3“Cargo”meanscargoofapproximately50,000MT+/-10%asperseller’soption.
“Cargo”是指货物每船装运约50,000MT+/-10%卖方决定；
4.“Coal”meanssteamingcoalproducedfortheSellerfromSouthKalimantan,Indonesia.
“Coal”是指卖方产的
5.“ContractQuantity”means50,000MT（+/-10%）asperseller’soption.
“ContractQuantity”是指50,000MT（+/-10%）卖方决定；
6.“CFR”hasmeaningascribedtosuchterminINCOTERMS2010（asamendedfromtimetotime.
“CFR”含义等同于（随时修正的）INCOTERMS2010确定的相同术语的含义；
7.“LoadingPort”meansthevesselberth/anchorageat,SouthKalimantan,Indonesia,orsuchotherportasthepartiesmayagreetoinwriting.
“装货港”是指船只停泊泊位/锚地，即印尼南加里曼丹或由双方书面同意的其他港口；
8．“DischargePort”meansinthePeople’sRepublicofChina,asmaybedesignatedbyBuyer.
“卸货港口”是指由买方指定的中国码头；
9.“Kcal/Kg”meanskilocaloriesofenergyperkilogramofcoal.
“Kcal/Kg”是指每公斤煤炭的发热量；
10.Whencalculatinganypriceoradjustedprice,orcomponentthereof,theresultsofsuchcalculationshallberoundedtothenearestcentandonhalfofacentshallberoundedup.Whencalculatinganytonnage,theresultsofsuchcalculationshallberoundedtothenearesttonneandonehalfofatonneshallberoundedup.
当计算任何价格或是调整价格或是任何部分价格时，这类计算的结果应当按照最接近的分值四舍五入，并且0.5美分应当四舍五入到1美分。
当计算任何吨数时，这类计算的结果应当按照最接近的吨数四舍五入，并且0.5吨应当四舍五入到1吨。
11.“US$”means（unlessotherwisespecified）thecurrencyoftheUnitedStatesofAmerica.
“US$”是指美元（除非有其他规定）；
12.“Party”or“Parties”meansSellerorBuyerorBoth.
“Party”或者“Parties”是指卖方或买方或双方；
13.“MetricTonne”or“MT”or“Tonne”shallmean1,000kilograms.
“公吨”或“MT”或“吨”是指1000公斤；
14.“BasePrice”meansthebasepriceforCoalfixedfromtimetotimeinaccordancewithClause3.1,3.2and3.3.
“基准价格”是指按照本合同第3.1、3.2和3.3款随时确定的煤炭底价；
15.“CIQ”meansEntry-ExitInspectionandQuarantineofthePeople’sRepublicofChina.
“CIQ”是指中华人民共和国出入境检验检疫。
16.“SAIFU”meansShanghaiSaifuFuelInspectionandTestCo.,Ltd.
“SAIFU”是指在上海赛孚燃料检测有限公司。
“INSPECTORATE”meansInspectorate（Shanghai）Ltd.
“INSPECTORATE”是指上海英斯贝克商品检验有限公司。
17.“ISO”meansInternationalOrganizationforStandardization;
“GB”meansChineseNationalStandards.
“ISO”是指国际标准化组织；“GB”是指中国国家标准。
18.DeliverytimeattheDischargingPortmeansthefirstdaywhenshipsailtodischargeportoranchorage.
在卸货港交货时间意为船到达卸货港或者锚地的第一天。
19．Unlessthecontextotherwiserequires,thesingularshallincludingthepluralandviceversa.
除非本合同上下文另有要求，任何词语的单数应包含复数的含义，反之亦然。
20.Whereas,SellerhasagreedtosellandBuyerhasagreedtopurchasetheCoalinaccordancewiththetermsandconditionssetoutbelow.TheSellerandBuyermutuallyagreeasfollows:
买卖双方均同意根据如下条款和条件购销煤炭：
1.QUANTITY数量
SelleragreestosellandBuyeragreestopurchasetotalContractQuantityofapproximately50,000MT+/-10%asperseller’soption.
卖方同意卖、买方同意买大约总合同数量为50,000MT的动力煤炭+/-10%卖方决定。
2.DELIVERY出货
DeliveryattheDischargingPortshallbemadewithin30daysuponsigningtheContract.
在签署合同后的30天内运至卸货港。
3.PRICE价格
3.1ThebasepriceisUSDperMTCFR,China.
基准价格为每吨美金CFR,China.
3.2TheBasePriceshallbeadjustedinaccordancewithClause4.2andClause6.1.
基准价格按照本合同第4.2款和第6.1款予以调整。
3.3TheBasePriceforCoaldeliveredshallbebasedonNetCalorificValue（ARB）of5,500kcal/kg.
所交付煤炭的基准价格的计价标准为热值收到基低位发热量5500大卡/公斤。
4.QUALITY品质
4.1ThequalityofCoaldeliveredhereundershallconformtothefollowingtypicalspecificationdeterminedinaccordancewithGBStandardsbytheIndependentSurveyoratthedischargeport:
在本合同项目下交付的煤炭质量应符合卸货港独立检验机构根据中国国家标准所确定的以下规格：

4.2.PRICEADJUSTMENT价格调整
IftheactualNetCalorificValue（ARB）isabove5,500kcal/kgorbelow5,500kcal/kguntil5,300kcal/kg,thepriceofthatshipmentshallbeadjustedasfollows:
Theinvoiceprice=（ActualNetCalorificValue（ARB）/5500）XBasePrice
如果实际低位热值（收到基）高于5500大卡/公斤或低于5500大卡/公斤（直至5300大卡/公斤），价格按如下调整：
发票价格=（实际收到基低位热值/5500）X基准价格
5.WEIGHTANDQUALITYDETERMINATION重量和质量定值
5.1TheweightandqualityofcoalshallbeinspectedbyanIndependentSurveyorwhichmutuallyagreedattheLoadingPortatSeller’sexpense.ThesamplingandanalysismethodbytheIndependentSurveyorattheLoadingPortshallcomplywithISOstandards.TheIndependentSurveyorshallprepareandholdanArbitrationSampleforthreemonthswhichwillbeusedintheeventthatthereisaqualitychallenge.
煤的重量和质量应由PT.GEOSERVICES在装货港进行检验，且由卖方承担相关费用。
检验应按照ISO标准进行取样和分析，并保留一份仲裁样本，该样本将保留三个月，将用于一旦发生质量争议时。
5.2SubjecttoClause4.2,theCertificateofWeightandCertificateofSamplingandAnalysisattheloadingportpursuanttoClause5.1shallbethebasisofSeller’sprovisionalinvoices.
根据本合同4.2款，按照本合同第5.1款出具的重量证书和质量证书，应作为卖方开具暂开发票的基础。
5.3TheweightofCoalistobeinspectedbyCIQinChinaattheDischargePortatBuyer’sexpense.ThequalityofCoalistobeinspectedbySAIFUand/orINSPECTORATEinChinaattheDischargePortatSeller’sexpense.ThesamplingandanalysismethodologybySAIFUand/orINSPECTORATEshallcomplywithGB/ISOstandards.SAIFU/INSPECTORATEshallprepareandholdanArbitrationSampleforthreemonthswhichwillbeusedintheeventthatthereisaqualitychallenge.
煤的重量应由CIQ在中国境内的卸货港进行检验，且由买方承担相关费用。
煤的质量应由赛孚和/或英斯贝克在中国境内的卸货港进行检验，且由卖方承担相关费用。
赛孚/英斯贝克应按照中国国家标准进行取样和分析。
赛孚将保留一份仲裁样本，该样本将保留三个月，将用于一旦发生质量争议时。
5.4SubjecttoClause4.2,theCertificateofWeightandInspectionReportatthedischargingportpursuanttoClause5.3shallbethebasisofSeller’sfinalinvoicesandshallbethefinalbindinganalysis.
根据本合同4.2款，按照本合同第5.3款出具的重量证书和检验报告，应作为卖方开具最终发票的基础且应具有最终效力。
5.5BuyerandSellershallhavetherighttoattendorberepresented,attheirownexpenseandrisk,attheweighingandanalysispursuanttoClauses5.1/5.3.
买方和卖方应有权参加或派代表参加本合同第5.1/5.3条规定的测重和分析，但自行承担相关费用和风险。
6.PAYMENT付款
6.1Within10workingdaysuponsigningtheContract,BuyershallopenanirrevocableLetterofCreditpayableatsightor90daysaftersightinfavorofSeller.SELLERshallissueadraftapplication2%PBforBUYER’Sapproval;Incase90daysusanceL/Cisopened,anamountofUSD0.80perMTwouldbeaddedtotheBasePricestatedunderClause3.1.TheL/Camountshouldcoverthevalueof100%quantitytobedeliveredplus10%.TheLetterofCreditshallbeissuedthroughaprimeinternationalbankacceptabletoSeller,andshallbepayableagainstthedocumentsspecifiedinClause6.2/6.4ofthisContract.
合同签订后的10个工作日内，买方向卖方开立以卖方为受益人的、不可撤销的、即期付款或交单后90天付款的信用证；卖方开具2%履约保函申请书供买方方确认。
如果开具90天远期信用证，合同第3.1款的基准价格将增加每吨0.80美元。
信用证总金额为合同规定数量的100%金额及合同允许溢装10%的金额。
该信用证应通过卖方可接受的国际银行开给卖方，并凭提交本合同第6.2/6.4款规定的文件付款。
6.2ThePBshallbeirrevocableandvalidwithintheexecutedperiodofthisContractandtobeusedunderthecircumstancesasbelow:
IfSELLERfailstofulfillthecontractorfailstowhollycompletethecontractedshipmentasmentionedhereininArticle3,thefirstshipmentbeingthetrialshipment,thePBshallbepaidtoBUYERascompensation;
本履约保函为不可撤销的，有效期至本合同执行期內，且用于以下情況：
若卖方在合同期內第3条款所规定的首第一船试船的装运日到期后仍未履行本合同，本履约保函付给买方作为赔偿;
6.3Afterthesuccessfulshipment,mentionedhereininArticle3,thePBshallbereturnedtoSELLER;
货物在合同期內第3条款所规定的首船试船的装运日装运成功完成后，正式履约保函应归还给卖方;
6.4ProvisionalPayment暂付款
ThesaidLetterofCreditshallbepayablebytheissuingbankfortheamountof80%ofthe shipmentvalueaccompaniedbythefollowingdocuments:
开证银行将凭据以下文件凭信用证议付给卖方80%的货款总值:
（a）FullsetsoriginalcleanonboardoceanBillsofLading,marked“freightpayableasperCHARTERPARTY”;
全套正本清洁已装船海运提单，注明“运费支付按照租船合同”；
（b）Seller’ssignedprovisionalinvoicein1originaland2copiesshowingContractNo.;
卖方签署的暂开发票正本一份，副本二份，注明合同号；
（c）CertificateofWeightin1originaland2copiesissuedbyPT.GEOSERVICESatloadingport;
装货港PT.GEOSERVICES签发的重量证书正本一份，副本二份；
（d）CertificateofSamplingandAnalysisin1originaland2copiesissuedbyPT.GEOSERVICESatloadingport;
装货港PT.GEOSERVICES签发的质量证书正本一份，副本二份。
6.3The80%paymentpursuanttoClause6.2shallbecalculatedbasedontheresultsascertifiedbytheCertificateofWeightandCertificateofSamplingandAnalysisissuedbyPT.GEOSERVICESattheloadingport.TheamountwillautomaticallyfluctuateupordowninaccordancewiththeClause4.2herein.
本合同第6.2款所述的80%货款支付以在装货港PT.GEOSERVICES签发的重量证书和质量证书所述的结果計算。
结算金额将根据第4.2款规定的情况自动进行价格的上下调整。
6.5FinalSettlement最终结算
ThefinalsettlementaftertheprovisionalpaymentshallbemadebyLetterofCreditwithinforty-five（45）daysaftertheB/Ldateagainstpresentationofthefollowingdocuments:
暂付款后的最终结算将通过信用证在提单日后的45天内凭据提交以下文件支付：
（a）Seller’ssignedfinalinvoicein1originaland2copiesshowingContractNo.;
卖方签署的最终发票正本一份，副本二份，注明合同号；
（b）CertificateofWeightin1photocopyissuedbyCIQatdischargingport;
卸货港CIQ签发的重量证书正本/传真件一份；
（c）InspectionReportorCertificateofInspectionin1originalissuedbySAIFUorINSPECTORATEatdischargingport.
卸货港赛孚或英斯贝克签发的质量检验报告或检验证书正本/传真件一份。
