__________________________　　根据《中华人民共和国合同法》、《中华人民共和国劳动法》和《中华人民共和国劳动合同法》等有关法律、法规的规定，本着平等互利的原则，甲、乙双方经友好协商，就乙方使用甲方员工等事宜，达成本劳务合同（以下简称“本合同”）。

　　AccordingtotheContractLawofthePeople’sRepublicofChina,LaborLawofthePeople’sRepublicofChina,LaborContractLawofthePeople’sRepublicofChinaandotherrelevantlawsandregulations,andinlinewiththeprincipleofequalityandmutualbenefits,thetwopartiesenterintothisLaborServiceContractthroughfriendlyconsultationwithregardtoPartyA’slaborserviceforPartyB.　　第一章总则Chapter1GeneralProvisions　　第一条适用Article1Application　　甲、乙双方有关乙方使用甲方员工等事宜，适用本合同。

　　ThisContractappliestotherelatedissuesregardingPartyB’susingPartyA’slaborservice.　　第二条适用法律Article2ApplicableLaws　　本合同，以及与本合同有关的一切事宜，一律适用中华人民共和国的法律、法规。

因任何原因，包括但不限于因法律法规变化，致使本合同条款与中华人民共和国法律、法规不一致时，均应以中华人民共和国法律、法规为准。

　　ThisContractandrelatedmattersshallbesubjecttolawsandregulationsofthePeople’sRepublicofChina.IncaseofanydiscrepancybetweenthearticlesofthisContractandthelawsandregulationsofthePeople’sRepublicofChinaforanyreasons,includingbutnotlimitedtothechangeoflawsandregulations,thelattershallprevail.　　第三条定义Article3Definitions　　甲方员工：

指乙方需要使用的，由甲方依法办理相关手续，派遣到乙方的中国公民。

　　PartyA’sStaff:

PartyA’sStaffrefertoanyChinesecitizensneededbyPartyBanddispatchedbyPartyAtoPartyBafterPartyAhashandledrelevantprocedures　　inaccordancewithlaw.　　附件：

指甲、乙双方另行签订的所有关于本合同的补充协议或相关约定等；附件是本合同不可分割的组成部分，与本合同具有同等法律效力。

　　Attachments:

Attachmentsrefertoallsupplementaryorrelatedagreementssignedbythetwoparties;theAttachmentsareintegralpartsofthisContractandhavethesameeffectasthisContract.　　管理费：

指乙方使用甲方员工而应支付给甲方的各种费用的总和。

一般包括：

　　ManagementFee:

ThetotalsumofallchargesandexpensesthatPartyBshouldpaytoPartyAfortheuseofPartyA’sStaff.Itgenerallycovers:

　　乙方为承担甲方员工的社会保险和住房公积金而支付的费用；　　SocialinsurancesandaccumulatedhousingfundbornebyPartyBforPartyA’sStaff;　　乙方为要求甲方向甲方员工提供福利保障、档案保管而支付的费用；　　ExpensesofbenefitsandpersonnelfilepreservationthatPartyBrequestsPartyAtoprovideforPartyA’sStaff;　　乙方为甲方提供本合同下所列服务而支付给甲方的服务费和约定的相关税收。

　　ServicefeechargedbyPartyAforserviceprovidedunderthisContractandtaxesleviedbythestateagreeduponbythetwoparties.　　工资：

指乙方使用甲方员工而应支付给甲方员工的劳动报酬，具体数额应以附件所载为准。

　　Pay:

LaborremunerationpaidbyPartyBtoPartyA’sStaffforlaboruse,intheamountsubjecttotheattachmentshereto.　　法律：

指中华人民共和国法律、法规、规章、制度、规范性文件等。

　　Law:

Anyandalllaws,rules,regulations,institutions,statutesandthelike,ofthePeople’sRepublicofChina.　　第二章权利和义务Chapter2RightsandObligations　　第四条甲方享有的权利Article4RightsEnjoyedbyPartyA　　甲方有权要求乙方为甲方的服务配合甲方拟定的流程。

　　PartyAisentitledtorequestPartyBtocooperatewithregardtotheproceduressetbyPartyAforitsservice.　　甲方有权对乙方与甲方员工之间因实际使用关系所发生的争议进行调解。

　　PartyAisentitledtoconciliatebetweenPartyBandthePartyA’sStaffwithregardtothedisputesarisingfroml　　aborservice.　　甲方有权对乙方侵害甲方员工合法权益的行为进行交涉并提出整改意见和要求。

乙方同意接受该安排，遵守劳动纪律和职业道德，执行劳动安全规程，提高职业技能，完成生产（工作）任务。

　　PartyAmaylegitimatelyadjustPartyB’spostaccordingtobusiness　　二、合同期限　　ArticleTwoTermofContract　　本合同自年月日至年月日，其中试用期为个月（自年月日至年月日）。

劳动合同的期限届满或约定的终止条件出现，劳动合同即终止执行。

经双方协商一致的，可以解除或续订劳动合同。

　　PartyAmaylegitimatearrangePartyBtoworkovertimeorworkongeneralholidays　　duetobusinessrequirementsonconditionthatPartyBiswillingtodoso.　　甲方由于工作需要更改工时制度，经政府有关部门批准后，乙方应密切配合执行。

　　PartyAmaychangeworkinghourssystemforbusinessrequirementafterapprovalbyrelevantgovernmentauthoritiesandPartyBshallexecuteitofhisownwill.　　四、薪酬　　ArticleFourRemuneration　　甲方支付乙方的每月基本工资为人民币元。

上述薪酬不包括甲方按公司补贴规定　　按月向乙方支付的所有补贴。

　　PartyApaysRMBtoPartyBasbasicwagepermonth.Theaforesaidremuneration　　excludesallsubsidiespaidtoPartyBpursuanttoPartyA’sstipulation.　　甲方严格执行国家有关最低工资的规定和标准。

　　PartyAshallstrictlyimplementrelevantregulationsandstandardperthelowestwage.　　甲方的发薪日期为每月日。

PartyAshallpaythewageonthedayeverymonth.　　五、劳动保护与劳动条件　　ArticleFiveLaborProtectionandLaborConditions　　甲方须对乙方进行劳动安全、业务技术及劳动纪律等方面的教育和培训，并根据国家对劳动保护、安全生产的要求，为乙方提供必要的生产（工作）条件，保障乙方的安全健康。

　　PartyAshallgivePartyBeducationandtrainingprogramsrelatingtolaborsafety,　　professionalskillsandlabordisciplinesetc.Accordingtotherequirementsofstatelaborprotectionandsafe-production,PartyAshallprovidenecessaryworkingconditiontoensurePartyB’ssafetyandhealth.　　六、社会保险和福利　　ArticleSixSocialInsuranceandWelfare　　甲方依法替乙方办理各项社会保险并缴纳保险费用。

但依法规定之分摊比例，属于乙方须自行负担之各项社会保险金，由甲方于每月发薪时，从乙方薪资中代扣代缴。

　　PartyAshalltransactsocialinsuranceandpaythemforPartyB.PartyAshallwithholdthesocialsecuritycontributionlegallyundertookbyPartyBwhenpayingtheremunerationeverymonth.　　乙方享有国家规定的所有法定假日。

　　PartyBwilltakeallstatutoryholidaysstipulatedbytheState.　　甲方实行年休假制度，乙方连续工作满一年以上的可享受有薪年假，申请享受办法按甲方制　　定的年假规定执行。

　　PartyAcarriesoutannualvocationsystem,PartyBcantakepaidannualvocationaftercontinuouslyworkingfor1yearandtheapplyingprocedureforannualvocationshallbedonepursuanttoPartyA’sstipulation.　　七、乙方责任　　ArticleSevenPartyB’sResponsibility　　乙方必须认真工作和劳动，保质保量地完成自己的生产任务。

　　PartyBmustworkearnestlyandaccomplishitsowntaskswithqualityandquantity.　　乙方必须如实汇报工作，积极配合和协助上级的工作。

　　PartyBmustreportitsjobaccordingtothefactsandshallcooperatewithitsuppersandassisttheirjobs.　　乙方应严格履行甲方依法制定的规章制度和《员工手册》。

　　PartyBshallstrictlyimplementtherulesandregulationsandHandbooklegallystipulatedbyPartyA.　　乙方应爱护甲方的财物，对由于本人责任造成的直接经济损失，必须予以赔偿并接受甲方的处罚。

　　PartyBshalltakegoodcareofPartyA’spropertyandhe/shemustindemnifydirectdamageduetohis/herliabilityandacceptsPartyA’spunishment.　　乙方在劳动合同有效期内未经甲方事先书面同意，不得为另一家雇主工作。

　　PartyBcannotworkforanotheremployerwithoutPartyA’swrittenconsentinthedurationofLaborContract.　　乙方应严格保守甲方的商业秘密，不得向任何第三方泄露。

　　PartyBshallstrictlykeepPartyA’stradesecretandcannotdivulgetoanythirdparty　　如实陈述履历和学历。

　　PartyBshallstatehis/hercurriculumvitaeandeducationalbackgroundaccordingtothefacts.　　如甲方委派乙方培训（包括海外培训），乙方必须遵守甲方的培训条规和承诺。

　　PartyBshallobservePartyA’strainingrulesandundertakingwhenPartyAassignsPartyBtobetrained.　　八、甲方无偿解除合同　　ArticleEightCancellationoftheContractwithoutCompensationbyPartyA若符合下列情况之一的，甲方可以随时解除合同，而不必给予乙方任何经济补偿：

　　PartyAmaycanceltheContractatanytimewithoutcompensationtoPartyBunderthefollowingcircumstances:

　　当乙方在试用期内不符合甲方的职工录用条件，甲方无须给予乙方解除的原因。

　　WhenPartyBisproventobeunqualifiedforPartyA’semploymentconditionsduringprobationperiod,PartyAneednotgivePartyBthereasonforcancellation.　　乙方严重违反甲方依法制定的规章制度和劳动纪律。

　　PartyBseriouslyviolatesrulesandregulations,labordisciplinelegallystipulated　　byPartyA.　　乙方严重失职，营私舞弊，给甲方利益造成重大损失。

　　PartyBseriouslyneglectshis/herdutyandgraftsresultinginPartyA’sgreatloss.　　乙方违反中国法律，受到司法处罚或追究刑事责任。

　　PartyBviolatesthelawsofPRCandgainsjudicialpunishmentorisfoundaguilty.　　九、甲方有偿解除合同　　ArticleNightCancellationoftheContractwithCompensationbyPartyA　　有下列情形之一的，甲方可以解除劳动合同，但是应当提前30天以书面形式通知乙方或支付一个月基本工资代替，并依法支付乙方经济补偿金或补助费。

　　Underthefollowingcircumstances,PartyAmaycanceltheContractwith30dayspriorwrittennoticetoPartyBorpayingonemonthbasicwageinsteadandlegallypayeconomiccompensationorsubsidytoPartyB.　　乙方患病或非因工受伤，医疗期满后仍不能从事原工作或由甲方另行安排的工作的。

PartyBisillornon-work-relatedinjured,andunabletodotheformerjoborotherjobassignedbyPartyAaftermedicaltreatment.　　乙方不能胜任工作，经过培训或调整工作岗位，仍不能胜任的。

　　PartyBisnotcompetentforthejobandstillremainssoaftertrainingoradjustment　　ofthepost.　　本合同订立时所依据的客观情况发生重大变化，致使本合同无法履行，甲乙双方不能就变更本合同达成协　　议的。

　　Thebasisfortheconclusionofthecontracthasgreatlychangedsothatthecontractcannolongerbecarriedout,whilebothpartiescannotreachanagreementonmodifyingthecontractbymutualnegotiation.　　甲方濒临破产，进入法定整顿期间或者生产经营状况发生严重困难，达到当地人民政府规定　　的严重困难企业标准，确须裁减人员，并按法定程序解除劳动合同的。
