PARTI-GENERALCONDITIONSofCONTRACT

第一部分-合同条款概述

DefinitionsandInterpretation定义和解释

1.1Definitions定义

IntheContract（ashereinafterdefined）thefollowingwordsandexpression_rsshallhavethemeaningsherebyassignedtothem,exceptwherethecontextotherwiserequires:

本合同（按下文所定义的）中的下列词和用语，除文中另有要求者外，应具有本条所赋予的含义：

a.（i）"Employer"meansPHUMYHUNGCORPORATION,acompanyincorporatedandregisteredatSaigonParkingWayDist.7HCMC.Vietnam.

雇主”是PHUMYHUNGCORPORATION公司在SaigonParkingWayDist.7HCMC.Vietnam注册登记。

（ii）"Contractor"meansthepersonnamedassuchinPartIIoftheseConditionsand

thelegalsuccessorsintitletosuchperson,butnot（exceptwiththeconsentoftheEmployer）anyassigneeofsuchperson.承包商是指第二部分指定的当事人以及取得此当事人资格的合法继承人，（除非雇主同意）不指此当事人的任何受让人。

（iii）"Subcontractor"meansanypersonnamedintheContractasaSubcontractorforapartoftheWorksoranypersontowhomapartoftheWorkshasbeensubcontractedwiththeconsentoftheEngineerandthelegalsuccessorsinthetitletosuchperson,butnotanyassigneeofanysuchperson.分包商是指本合同中指定作为分包工程某一部分的分包商当事人，或由工程师同

意已将工程的某一部分分包给他的任何当事人以及取得该当事人资格的合法继承人，但不指

此当事人的任何受让人。

（iv）"Engineer"meansSinoPacificConstructionConsultantCo,,Ltd.appointedbythe

EmployertoactasProjectManagementforthepurposesoftheContract.工程师是雇主指定的按照合同行使工程管职能的中国太平洋建筑咨询公司。

（v）"Engineer'sRepresentative"meansapersonappointedfromtimetotimebytheEngineerunderSub-Clause2.2.工程师代表是指由工程师根据第2.2条随时指定的人员

b.（i）"Contract"meanstheseConditions（PartsIandII）,theSpecification,theDrawings,theBillofQuantities,theTender,theLetterofAcceptance,theContractAgreement（ifcompleted）andsuchfurtherdocumentsasmaybeexpresslyincorporatedintheLetterofAcceptanceorContractAgreement（ifcompleted）.合同是指合同条款（第一部分和第二部分）、规范、图纸、工程量表、投标书、中标函、合同协议书（如已完成），以及其它明确列入中标函或合同协议书（如已完成）中的此类进一步的文件。

（ii）"Specification"meansthespecificationoftheWorksincludedintheContractandanymodificationthereoforadditiontheretomadeunderClause51orsubmittedbytheContractorandapprovedbytheEngineer.规范是指合同中包括的工程规范，以及根据第51条规定的或由承包商提出并经工程师批准的对规范的任何修改或增补。

（iii）"Drawings"meansalldrawings,calculationsandtechnicalinformationofalikenatureprovidedbytheEngineertotheContractorundertheContractandalldrawing,calculations,samples,patterns,models,operationandmaintenancemanualsandothertechnicalinformationofalikenaturesubmittedbytheContractorandapprovedbytheEngineer.图纸是指工程师根据合同规定向承包商提供的所有图纸、计算和类似性质的技术资料，以及由承包商提供并经工程师批准的所有图纸、计算、样品、图样、模型、操作和维修手册以及类似性质的其它技术资料。

（iv）"BillofQuantities"meansthepricedandcompletedbillofquantitiesformingpartoftheTender.工程量表是指构成投标书一部分的已标价的以及完成的工程量表。

（v）"Tender"meanstheContractor'spricedoffertotheEmployerfortheexecutionandcompletionoftheWorksandtheremedyingofanydefectsthereinaccordancewiththeprovisionsoftheContract,asacceptedbytheLetterofAcceptance.投标书是指承包商根据合同的各项规定，为工程的实施、完成和任何缺陷的修补，向雇主提出并为中标函接受的报价书。

（vi）"LetterofAcceptance"meanstheformalacceptancebytheEmployeroftheTender.中标函是指雇主对投标书的正式书面接受。

（vii）"ContractAgreement"meansthecontractagreement（ifany）referredtoinSub-Clause9.1.合同协议书是指本合同第9.6条所述的合同协议书。

（viii）AppendixtoTender"meanstheappendixcomprisedintheformofTenderannexedtotheseConditions.投标书附件是指附于本合同之后并包括在投标书格式内的附件。

c.（i）"CommencementDate"meansthedateuponwhichtheContractorreceivesthenoticetocommenceissuedbytheEngineerpursuanttoClause41.开工日期是指承包商接到工程师根据本合同第4.1条发出开工通知书的日期。

（ii）"TimeforCompletion"meansthetimeforcompletingtheexecutionofandpassingtheTestsonCompletionoftheWorksoranySectionorpartthereofasstatedintheContract（orasextendedunderClause44）calculatedfromtheCommencementDate.竣工时间是指合同（根据第44条延期）规定从工程开工日期算起到工程或其任何部分或区段施工结束并且通过竣工检验的时间。

d.（i）"TestsonCompletion"meansthetestsspecifiedintheContractorotherwiseagreedbytheEngineerandtheContractorwhicharetobemadebytheContractorbeforetheWorksoranySectionorpartthereofaretakenoverbytheEmployer.竣工检验指合同规定或由工程师与承包商另行商定的检验，这些检验是由承包商在雇主对工程或其任何部分区段接收之前进行的。

（ii）Taking-OverCertificate"meansascertificateissuedpursuanttoClause48.移交证书是指依据第48条颁发的证书。

e.（i）"ContractPrice"meansthesumstatedintheLetterofAcceptanceaspayabletotheContractorfortheexecutionandcompletionoftheWorksandtheremedyingofanydefectsthereinaccordancewiththeprovisionsoftheContract.合同价格是指中标函中写明的按照合同规定，为了工程的实施、完成及其任何缺陷的修补应付给承包商的金额。

（ii）RetentionMoney"meanstheaggregateofallmoniesretainedbytheEmployer

pursuanttoSub-Clause60.2（a）.保留金是指雇主根据第60.2（a）规定留存的所有金额的总和。

f.（i）"Works"meansthepermanentWorksandtheTemporaryWorksoreitherofthemasappropriate.工程是指永久工程和临时工程或视情况为二者之一。

（ii）"PermanentWorks"meansthepermanentworkstobeexecuted（includingPlant）inaccordancewiththeContract.永久工程是指根据合同将实施建造的永久工程（包括设备）。

（iii）"TemporaryWorks"meansalltemporaryworksofeverykind（otherthanContractor's

Equipment）requiredinorabouttheexecutionandcompletionoftheWorksandtheremedyingofanydefectstherein.临时工程是指在工程实施、完成和修补其任何缺陷时需要或有关的所有各

种临时工程（承包人的设备除外）。

（iv）"Plant"meansmachinery,apparatusandthelikeintendedtoformofformingpartof

thepermanentWorks.工程设备是指预定构成或构成永久工程一部分的机械、仪器以及类似设

备。

（v）"Contractor'sEquipment"meansallappliancesandthingsofwhatsoevernature（otherthanTemporaryWorks）requiredfortheexecutionandcompletionoftheWorksandtheremedyingofanydefectstherein,butdoesnotincludePlant,materialsorotherthingsintendedtoformorformingpartofthePermanentWorks.承包商的设备是指在工程（临时工程除外）实施、完成及其缺陷修补过程中所需要的全部装置和任何性质的物品，但不包括预定构成或构成永久工程一部分的设备、材料或其它物品。

（vi）"Section"meansapartoftheWorksspecificallyidentifiedintheContractasaSection.区段是指在合同中具体指定作为一个区段的工程的一部分。

（vii）"Site"meanstheplacesprovidedbytheEmployerwheretheWorksaretobeexecutedandanyotherplacesasmaybespecificallydesignatedintheContractasformingpartoftheSite.现场是指由雇主提供的用于进行工程施工的场所以及在合同中可能明确指定为现场组成部分的任何其它场所。

g.（i）"Cost"meansallexpenditureproperlyincurredortobeincurred,whetheronorofftheSite,includingoverheadandotherchargesproperlyallocabletheretobutdoesnotincludeanyallowanceforprofit.费用是指在现场之内或之外已正当发生或将要发生的全部费用，包括管理费和应合理分摊的其它费用，但不包括任何利润补贴。

（ii）"Day"meanscalendarday.日是指历法日。

（iii）"Foreigncurrency"meansacurrencyofacountryotherthanthatinwhichtheWorks

aretobelocated.外币是指工程所在国之外的任一国家的货币。

（iv）"Writing"meansanyhand-written,type-written,orprintedcommunication,

includingtelex,cableandfacsimiletransmission.

书面函件是指任何手写、打印或印刷的通讯，包括电传、电报、传真和电子邮件。

1.2HeadingsandMarginalNotes标题和边注

TheheadingsandmarginalnotesintheseConditionshallnotbedeemedpartthereoforbetakenintoconsiderationintheinterpretationorconstructionthereoforoftheContract.条款标题和边注将不被视为合同的其中一部分或在解释中考虑或建设中或者合同的组成部分。

1.3Interpretation解释

Wordsimportingpersonsorpartiesshallincludefirmsandcorporationsandanyorganization

havinglegalcapacity.凡指当事人或当事人各方的词应包括公司和企业以及任何具有法定资格的组织。

1.4SingularandPlural单数和复数

Wordsimportingthesingularonlyalsoincludethepluralandviceversawherethecontextrequires.仅表明单数形式的词也包括复数含义，视合同上下文需要而定，反之亦然。

1.5Notices,Consents,Approvals,CertificatesandDeterminations通

知、同意、批准、证明和决定

WhereverintheContractprovisionismadeforthegivingorissueofanynotice,consent,approval,certificateordeterminationbyanyperson,uniessotherwisespecifiedsuchnotice,consent,approval,certificateordeterminationshallbeinwritingandthewords"notify","certify"or"determine"shallbeconstruedaccordingly.Anysuchconsent,approval,certificateordeterminationshallnotunreasonablybewithheldordelayed.在合同条款中，无论何处述及由任何人发出或颁发任何通知、同意、批准、证明或决定，除另有说明者外，均指书面的通知、同意、批准、证明或决定，而通知、证明或决定字样均应据此解释。

对于任何此类同意、批准、证明或决定都不应被无故扣压或拖延。

EngineerandEngineer'sRepresentative工程师和工程师代表

2.1Engineer'sDutiesandAuthority工程师职责和义务

a.TheEngineershallcarryoutthedutiesspecifiedintheContract.工程师应履行合

同中明确规定的职责。

b.TheEngineermayexercisetheauthorityspecifiedinornecessarilytobeimpliedfromtheContract,provided,however,thatiftheEngineerisrequired,underthetermsofhisappointmentbytheEmployer,toobtainthespecificapprovaloftheEmployerbeforeexercisinganysuchauthority,particularsofsuchrequirementsshallbesetoutinPartIIoftheseConditions.Providedfurtherthatanyrequisiteapprovalshallbedeemedtohave

beengivenbytheEmployerforanysuchauthorityexercisedbytheEngineer.工程师可能

使合同中规定的或者合同中必然隐含的权利，但是，如果根据雇主任命工程师的条件，要求工程师在行使上述权力之前，应得到雇主的具体批准，则此类要求的细节在本合同予以

c.ExceptasexpresslystatedintheContract,theEngineershallhavenoauthorityto

2.2Engineer'sRepresentative工程师代表

TheEngineer'sRepresentativeshallbeappointedbyandberesponsibletotheEngineerandshallcarryoutsuchdutiesandexercisesuchauthorityasmaybedelegatetohimbytheEngineerunderSub-Clause2.3.工程师代表应由工程师任命并对工程师负责，应该履行和行使

2.3Engineer'sAuthoritytoDelegate工程师对代表的权利

TheEngineermayfromtimetotimedelegatetotheEngineer'sRepresentativeanyofthedutiesandauthoritiesvestedintheEngineerandhemayatanytimerevokesuchdelegation.AnysuchdelegationorrevocationshallbeinwritingandshallnottakeeffectuntilacopythereofhasbeendeliveredtotheEmployerandtheContractor.工程师可以
