2.PartyBisacompanyincorporated

operating

underthe

lawsofSingapore.

The

companyhasthe

technical

andcapital

capabilities

oftassessingCBMresources,

designingappraisal

andpilotdrilling

programsand

subjecttotechnicalsuccessofthoseprograms,movingtodevelopingandproducingcommerciallyviableCBM.Ithasdevelopedinnovative,lowcosthorizontalandverticaldrillingtechnologythatisinstrumentalinestablishingthesustainablegrowthofcommercialCBMproductionandpre-drainageofseveralcoalminingareas.

3.PartyCfocusesoncleanenergyandisengagedindevelopment

andutilizationof

automotivenewenergy,

includingLPG,CNGandCBM.Nowthecompany

haseightCNGgasstations,

twoLPGgasstationsandoneL-CNGgasstation

operation.

4.ItistheintentionofthepartiesthatPartyAandPartyBwillcooperateandcarryout

explorationworkinthe6CBMblocksundertheprincipleof“easierblock/cherry-pick

developmentfirst"subjecttotheconditionthat

thechoiceisbeneficialtoallparties・

5.Aspartoftheprocessofenteringintothe

PSCs,thepartieswishtocommencea

technicalevaluationwithaviewtodetermining

thefeasibilityandscaleofCBMexplorationand

developmentwithinthecorrespondingareas・Tothisend,

allpartiesagreetoincludeaconfidentialityclauseinthisLOIwiththeaimoffacilitatingtheprovidingandsharingofappropriatedata.

4.ProductionSharingContract.Allpartiesshallusetheirbest

endeavorstoconclude

andsignthePSCs.Therightsandobligationsof

eachparty

willbedefinedinPSCs.ThePSCsshall

relevant

regulatory

authorities

andthe

Ministry

ofcommerce

ofthe

authoritiesafterbeingsigned,andshallsubject

authorities.

5.JointVenture・ThreepartiesplantosetupajointventurecompanyoutsideofChina,

theproportionoftheJointVenturetentativelyis:

（2）Isonlydisclosedtoitsemployees,officers,

consultantsanddirectorsfor

achievingthecooperation

purpose

whoshall

executeconfidentialityagreement.

2.Nopartyshalldisclosetoanypersonor

institutionwithoutpriorconsentofall

partiesanyinformation,includingbutnot

limitedtothecooperationpartnersandcontent,

technology,

operating

anyother

information.
