　　甲乙双方对以下业务签订合约。

　　第一条（目的）

　　甲方和乙方在互相信任的基础上，以确立公正的交易关系，谋求互相的利益和业务的发展为目的,签订本合约。

　　本合约未规定事项发生时，甲乙双方协商决定。

　　第二条乙方的责任和义务

　　1、乙方接受甲方委托，为甲方提供清算前代理记账及清算期间代理记账服务

　　1.partybprovidesbookkeepingagencyservicebeforeandintheperiodofliquidationofpartya.

（1）根据甲方提供的清算期间现金流水账和银行流水账清单以及原始票据、凭证，负责审核并制作会计记账凭证、设置会计科目和账簿，登记财务账簿；

（2）在甲方清算期间代理甲方税务事项包括每月应纳税额的计算，代理填写纳税申报表和税务申报手续（包括增值税和企业所得税、个人所得税等）；

　　（3）根据中国《企业会计制度》有关规定，编制清算期间中英文月度清算资产负债表和清算损益表。

　　2.partybprovidesthefollowingauditservice:

（1）对甲方201*年*月-*月经营情况进行审计，出具年度审计报告。

（2）对甲方的清算情况进行专项审计，并出具清算鉴证报告。

　　3、乙方接受甲方委托，为甲方代理注销下列政府颁发的证照

（2）税务登记证；taxregistrationcertificate

　　（3）财政登记证；financialregistrationcertificate（4）统计证；statisticalcertificate（5）外汇登记证；foreignexchangeregistrationcertificate;（6）海关登

　　记证；customsregistrationcertificate（7）组织机构代码证等证照。

　　4、乙方接受甲方的委托，做好下列工作：

（1）为甲方提供清算期间财务和税务咨询服务；

（2）为甲方代为保管公司7年的全部财务档案资料。

　　第三条甲方的责任和义务

　　articlethree:

（resposibilityandobiligationofpartya）

　　1、甲方应当依照中国的有关法律法规，依法建立健全清算期间的公司内部控制制度（如不相容工作岗位安排不同的人来担当等）；设置持证上岗的出纳员工作岗位。

　　2、甲方应在经营期末（201*年**月**日）清点甲方的全部资产，提供清理后的全部资产明细清单。

　　3、甲方应在清算期初提供公司经股东会批准的董事会关于解散公司、提前终止章程的协议等申请报告、并在决定解散公司后15天内成立清算小组。

清算小组于10天内通知债权人、并于60天内在报刊上刊登公司解散的公告、及注销劳动登记证。

　　4、甲方应为乙方代理记账人员提供清算期间所有银行、现金收支凭证及资产处置附件。

　　5、甲方应及时划转足够的银行存款到纳税账户。

　　6、甲方参加清算小组的人员应与乙方保持紧密联系，有序地完成甲方委托的业务。

　　第四条服务收费及支付方法

　　第五条资料的提供及保管

　　3.甲方义务/responsibilityofpartya

　　3.1.积极配合乙方律师相关工作，提供必要的文件资料，并对所提供文件资料的真实性、合法性、准确性及完整性负责；

　　3.2.甲方必须如实向乙方律师陈述案情，提供有关本案的证据。

乙方接受委托后，发现甲方捏造事实弄虚作假，有权终止法律服务，依约所收费用不予退还；

　　3.3.根据本协议按时、足额向乙方支付法律服务费。

　　4.乙方义务/responsibilityofpartyb

　　4.1.乙方应勤勉尽责、谨慎地执行甲方委托的法律事务，依法维护甲方合法权益；

　　partybshouldbepositiveandresponsibleforpartyatoprovideserviceswithinthescopeofthecontract,andtodoitsutmosttosafeguardtheinterestsofpartya;

　　4.2.无论何时，乙方对服务过程中获知的甲方任何秘密均负有保密义务，非由法律规定、司法裁决或者甲方同意，不得向任何第三方披露；

　　4.3.乙方对甲方业务应当单独建档，应当保存完整的工作记录，对涉及甲方的原始证据、法律文件应当妥善保管。

　　5.2.因本协议工作需要，乙方律师在武汉中心城区（不包括江夏、新洲、汉南、黄陂、蔡甸、东西湖等远城区）内花费的交通费由乙方承担。

　　一、甲方指定乙方为其在中国的全权采购代理，采购甲方指定的烯烃芳烃加氢和异构化催化剂，瓦斯油（Ago+Vgo）脱硫催化剂，石脑油加氢催化剂。

　　ThepartyAappointsthepartybasitsexclusivepurchasingAgencyinchina,purchasingthegoodsaspartArefers.olefins,AromaticshydrogenationandIsomerisationcatalysts，gasoilDesulfurizationcatalyst（Ago+Vgo），Lightnaphthahydrotreatercatalyst.

　　二、甲方应在实际进口之前将进口详细计划告之乙方，幵提供产品的品名、数量、重量、价格、产地，以便乙方及时开始准备工作，甲方应保证上述资料完整准确。

　　三、甲方应积极配合乙方做好通关手续（随时提供海关所需资料），幵提供必要协助。

　　四、甲方按照壹拾捌万叁仟美金每吨（183,000.00美金/吨）的最终采购价格预付首批壹佰伍拾吨（150.00吨）催化剂的货款，共计贰仟柒佰肆拾伍万美金（27,450,000美金），款项涵盖所有费用（包括乙方的服务费和佣金），货款支付到乙方指定的账户。

　　ThetwopartiesagreethatthefinalpurchasepriceisonehundredandeightythreethousanddollarsperTon（us$183,000/mT）.partyAshallmakeanadvancepaymentoftwenty-sevenmillion,fourhundredandfiftythousanddollars（us$27,450,000）forthefirstbatchofgoods（150mT）,whichshallincludingallexpenses,（includingthecommissionandservicefeetopartyb）.Thepaymentshouldberemittedtopartyb’sdesignatedbankaccount.

　　五、乙方收到甲方货款后，在十五个工作日内向甲方提供采购催化剂排产情况，幵根据甲方对所采购催化剂的技术要求全程的跟踪和监督，进程中及时向甲方提供必要的信息，通知甲方生产，备货，出货情况。

　　六、商品通关报检事宜由乙方负责处理，在通关过程中収生的费用，如仓费、法定商检费、查验费、保险费、运杂费等（以海关、商检、船务、运输公司开据的収票为准），由乙方负责结算。

　　partybshallberesponsibleforthecustomsclearanceandinspectionofgoods.Themiscellaneousexpensesincurredinthecourseofhandlingcustomsclearancefortheimportedgoods,includingbutnotlimitedtofeesandexpensesforcommodityinspection,healthquarantine,quarantineforanimalsandplants,transportationandincidentalexpenses,feesandexpensesincurredintheportarea,theportsupervisionauthority,insurancefeesandbankscharges（“miscel　　

laneousFees”）shallbebornebypartyb.

　　七、乙方仅承担代理进口该商品的义务，其权利义务受且仅受本代理协议约束。

在代理过程中对于经甲方指示或确认而由乙方以自己名义代为签定的一系列形式合同，乙方不负仸何责仸，而由甲方作为委托人承担。

对于甲方与实际进口商等収生的一切争议，（如产品质量、数量、规格、交货期等），乙方概不负责。

　　Itistheparties’understandingthatpartybisanindependentimportagentofpartyA.noemployeeofpartybshallbedeemedtobeanemployeeofpartyA.nothingcontainedinthisAgreementshallbeconstruedsoastocreateapartnershiporjointventure;andneitherpartyheretoshallbeliableforthedebtsorobligationsoftheother.partybshall

　　bearnoliabilityforanycontactssignedonbehalfofpartyA.partybshallbearnoliabilityforthedisputesarisingbetweenpartyAandtheactualusersofthegoodswithrespecttothequality,quantity,specificationsanddeliverydateofthegoods.

　　八、违约责仸LIAbILITIesFoRbReAch

　　如果本协议仸一方未能履行本协议的全部或仸一条款、或者以其他方式违反本协议，该方应向另一方承担应履行不能或违约而给对方造成的损失。

所有应此履行不能或违约而造成的间接或偶然损害或损失应排除在外。

本协议以及中国合同法规定的、守约方对违约方的其他仸何权利不受影响。

　　IfeitherpartytothisAgreementfailstofulfillalloranyobligation（s）underthisAgreementorcommitsanyotherbreachofthisAgreementitshallbeliabletotheotherpartyforalldirectlossesordamagescausedbysuchfailureorbreach.Anyliabilityforindirect,consequentialorincidentaldamagesorlossescausedbysuchfailureorbreachshallbeexcluded.AnyotherrightsofthepartyabidingtheAgreementagainstthebreachingpartyunderthisAgreementandthepRccontractLawshallnotbeaffected.

　　九、不可抗力条款FoRcemAJeuRe因不可抗力造成无法履行或不能如期履行本协议时，根据不可抗力的实际影响，部分或全部免除未能履行协议一方的责仸。

　　Ifaneventofforcemajeureoccurs,neitherpartyshallberesponsibleforanydamage,increasedcostsorlosswhichtheotherpartymaysustainbyreasonofsuchfailureordelayofperformance.Thepartyclaimingforcemajeureshalltakeappropriatemeasurestominimizeorremovetheeffectofforcemajeureand,withintheshortestpossibletime,attempttoresumeperformanceoftheobligation（s）affectedbytheeventofforcemajeure.

　　十、文字及效力eFFecTIVeness

　　本协议经双方签字盖章后生效，有效期两年。

本协议一式两仹，双方各执一仹，具有同等效力。
