篇一：

代理协议中英文

本协议双方为了发展贸易，在平等互利的基础上，按下列条件签定本协议。

甲方现在生产和销售的所有****型以及将来以此为基础开发并销售的******。

如果乙方未能完成协议规定的阶段目标销量的70%，甲方有权单方面终止协议。

如果乙方和乙方

完成规定的阶段目标销量的70%本协议继续生效。

IfPartyBcouldn’tfulfillthe70%ofsalestargetrequired，PartyAhastherightto

terminatetheAgreementunilaterally.PartyBshallbetreatedasqualifiedexclusiveagent

andexclusiveexporterifPartyBreachesthesalestargetnolessthan70%,the

agreementwillbeeffective.

（4）如果乙方完成本协议规定总量的80%，本协议到期日期自动延续到2013年12月31日

IfPartyBfulfillsthe80%ofthetotalsalestarget,theAgreementwillbeautomatically

extendedto31thDec.2013.

6、市场情况报告：

ReportsonMarketConditions:

乙方有义务每三个月就当前市场情况及消费者意见提供详细报告给甲方，一旦有特殊市场变动，乙方也应即时向甲方提供书面详情报告。

所有对该品种的产品升级改良的要求，只要经济合理，甲方应予以考虑，依据乙方要求对产品进行改进和开发。

PartyBshallhavetheobligationtoforwardonceeverythreemonthstoPartyAdetailedreportsoncurrentmarketconditionsandofconsumer’scomments,andifthereisanyspecialchangeinthemarket,PartyBshallalsoreporttimelytoPartyAitsfullparticularsinwriting.Alleconomicallyreasonablerequestsforupgradesandchangestothe

productsinthelinewillbeconsideredbyPartyAandPartyAwillmakeimprovementsaccordingtothefeedbackorrequirementsfromPartyB.

7、价格和货款支付方式：

甲方同意乙方在本协议有效期内在*******区域使用甲方的”BBB”品牌和BBAB以及“”商标标志；且品牌和商标的选定最终由乙方决定。

技术资料支持:

甲方应向乙方提供较为详细和准确的零部件图册和电子版.

PartyAprovidesPartyBamoredetailedandaccuratebooksandelectroniccomponents.

经双方协商达成共识，在服务协议没有签订之前或不能正式为乙方提供售后服务之前，甲方给予乙方每件**********元的买断***********件，且***********件及************不包含在此内。

如有争端，双方友好协商解决。

篇三：

产品销售区域独家代理协议15daysinadvance,sothatPartyAhasenoughtimetopreparetheproducts.

2、乙方提交订货计划后15天内，甲方得到确认后，乙方须在10个工作日内将货款汇致甲方所指定的帐户里，如在10个工作日内未收到货款，甲方有权把此订单视为无效。

PartyBsubmitstheorderwithin15days,PartyBconfirmstheorder.PartyBneedtotransferthepaymentofproductstotheBankAccountthePartyAappointswithin10days.After10days,thepaymentshasn’tbeentransferred,PartyAhastherighttoregardtheorderasinvalidone.

3、甲方应在收到货款后在双方协商后的7–15工作日提供产品。

4、甲方负责将货物运达乙方指定地点，运输工具由双方协定后再做决定，不得善自决定。

八、品质保证GuaranteeforProductsQuality

货物验收以双方确认的样品为准，如对质量有异议，买方应自产品收到之日起三日内书面告知卖方并保持货物完好，对产品安装使用后出现的质量问题，在产品质量保证期内，卖方只负责维修或更换所供应产品外，不承担任何其他责任。

九、违约及合同解除Breachandterminationofthecontract

1、双方应严格按照合同执行，遇到有分歧的情况，应友好协商，达成新的一致意见，并形成补充合同，与本合同具有同等效力。

BothPartiesshouldbestrictaccordancewiththeagreementandcarryout.Ifthereisadisagreement,bothPartiesshouldconsultfriendlyandreachanewagreement,furthermoreformsupplementaryagreementwiththesameefficacyasthisAgreement.
