D.ClientwishestopromoteitsbusinesstousersoftheAAASitesthroughpromotionsandadvertisinginvariousportionsoftheAAASites.

Therefore,thepartiesagreeasfollows:

1.ADDITIONALDEFINITIONS

1.1"Above-the-Fold"meanstheportionofapagethatisdesignedtobevisibleonastandardcomputerscreenwitharesolutionof640pixelsby480pixelswithoutrequiringtheusertoscrollhorizontallyorverticallythroughthepage.

1.2"BannerAdvertisement"meansadvertisementsconsistingofbillboard-likegraphicsdisplayedinastandardizedspecificlocationontheAAASites,whichadvertisementsclick-throughtotheClientSite,orsuchotheraddressmutuallyagreeduponbythepartiesfromtimetotime.

1.3"ChannelHomePage"means,withrespecttoanyChanneltheintroductoryorwelcomepageforsuchChannel.

1.4"ClientCompetitor"meansanyoftheentitieslistedonExhibitAtothisAgreement,assuchlistmaybeamendedbymutualagreementbytheparties,providedsuchentityderivesanyofitsannualgrossrevenuesfromthesaleordeliveryofelectronicpostageorpostagemeters.

1.5"ClientGraphic"meansthosemutuallyagreedupongraphics,artwork,logos,descriptionsandothermaterialprovidedbyClientforuseontheAAASites.

1.6"Impression"isgeneratedwhereaUser'sbrowsersoftwarerequestsafileviatheWorldWideWebserviceoftheInternet,wheresuchfilecontainsaBannerAdvertisementorLink.

1.7"LaunchDate"means[***]

1.8"Link"meansahypertexttextand/orgraphiclinkfromtheAAASitestotheClient'sSite.

1.9"NetTransactionRevenues"meanstheaggregateamountoftransactionfeesreceivedbyClientduringtheTermfromaNewCustomerforthepurchaseofU.S.postagefromClientbysuchNewCustomer,lessamountsattributabletotaxes,shipping,returns,baddebt,handling,creditcardchargesandsimilarcharges（collectively,"Deductions"）.Notwithstandingtheforegoing,suchDeductions,withtheexceptionofcreditcardcharges,shallnotexceedanaggregateof[***]ofsuchtransactionfees.

1.10"NewCustomer"meansaUserwho（a）registersforClient'sserviceusingauniquecreditcardnumber,electronicmailaddressornamenotpreviouslyreceivedbyClient,and（b）purchasesU.S.postagefromClient'sservice.

1.11"SponsorClientGraphic"meansaClientGraphicwhichindicatesClientasa"Sponsor"withrespecttothesaleordeliveryofelectronicpostage,whichgraphicsclick-throughtotheClientSite,orsuchotheraddressmutuallyagreeduponbythepartiesfromtimetotime.

1.12"User"meansanypersonorentitythataccessesoneormorepagesontheAAASitesandistransportedviatheWorldWideWebfromtheAAASitetotheClient'sSite.

2.SMALLBUSINESSCHANNELPROMOTION

2.1Promotions.CommencingontheLaunchDateandcontinuingthroughouttheTerm,AAAshallpromoteClientonthe"SmallBusiness"Channelofthe_________Site,_________Siteand_________Siteasfollows:

2.1.1ASponsorClientGraphicconsistingof160x40pixelsshallberotatedamongstthefollowingpages（ortheirsuccessorpages,ifany）:

（1）"StartingaBusiness"page,

（2）"ManagingyourBusiness"page,（3）"Marketing"page,（4）"LegalIssues"page,and（5）"Taxes&Accounting"page.EachsuchSponsorClientGraphicshallbeAbovetheFold.

2.1.2ASponsorClientGraphicof88x31pixelstobefoundatthebottomofeachpagewhereasponsorshipstripexists.

2.1.3AtextLinktobelocatedAbove-the-Foldinatextsponsorbaronthe"SmallBusiness"Channelhomepageofthe_________Site,_________Siteand_________Site.

2.1.4AtextLinkonthe"Products&Promos"areaofthe"SmallBusiness"ChannelHomePageofthe_________Site,_________Siteand_________Site.

2.1.5ASponsorClientGraphicconsistingofaminimumnumberofpixelsmutuallyagreeduponbytheparties,willappearonthe"SmallBusinessMailing/Shipping,OnLinePostage"pageinthe"SmallBusiness"Channel,whensuchpageismadepubliclyavailableontheapplicableAAASites.Suchgraphicshallbedisplayedinapositionmutuallyagreeduponbytheparties.

2.2EmailPromotions.AAAwillplaceaSponsorClientGraphicconsistingofaminimumof234x60pixels,withamutuallyagreedupontextintwo

（2）mutuallyagreedupon,smallbusinessemailnewsletterssentbyAAA,toallitsregisteredsmallbusinessuserswhohaveelectedtoreceivesuchnewsletter（"SmallBusinessNewsletters"）.ClientshallbetheonlysponsorineachSmallBusinessNewsletter.Fortheavoidanceofdoubt,itisunderstoodthattheSmallBusinessNewslettersshallnotcontainadvertisements（excludinganyeditorialcontentordirectorylistingswhichincludethirdpartiesthatarenotClientCompetitors）foranyentity,otherthanClient.

2.3AdditionalBannerAdvertisements.CommencingontheLaunchDateandcontinuingthroughouttheTerm,AAAwillincludeonthe_________Site,BannerAdvertisementsconsistingof468x60pixels.

2.4TotalSmallBusinessImpressions.AAAestimatesbutdoesnotguaranteetodeliver[***]ImpressionsofClient'sBannerAdvertisements,ClientGraphicsandLinksdescribedinthisSection2duringtheentireTermofthisAgreement.AAAacknowledgesitisClient'spreferencetohaveAAAdeliversuchImpressionsasfollows:

3.2AdditionalBannerAdvertisements.CommencingontheLaunchDateandcontinuingthroughouttheTerm,AAAwillincludeonthe_________Site,_________Site,_________Site,and_________Site,BannerAdvertisementsconsistingof468x60pixels.

4.2TotalImpressions.AAAestimatesbutdoesnotguaranteetodeliver[***]ImpressionsofClient'sSponsorGraphicsdescribedinthisSection4duringtheperiodagreeduponbytheparties.IfAAAfailstodeliversuchImpressionsduringtheagreedupontimeperiod,AAAagreestorunsuchpromotionsinequivalentareasandplacement,asmutuallyagreeduponbythepartiesuntilsuchImpressionshavebeendelivered.

5.QUOTESPLUSTAB_________SITEPROMOTION

5.1Promotions.CommencingontheLaunchDateandcontinuingforaperiodofsix（6）monthsthroughouttheTerm,asmutuallyagreedbytheparties,AAAshallpromoteClientonthe"QuotesPlus"tabwithinthe"Investment"Channelofthe_________SitewithaSponsorClientGraphicof160x40pixelswillbeincludedAbovetheFoldateachofthefollowing"QuotesPlus"pagetabs:

5.2TotalImpressions.AAAestimatesbutdoesnotguaranteetodeliver[***]ImpressionsofClient'sSponsorGraphicsdescribedinthisSection5duringtheperiodagreeduponbytheparties.IfAAAfailstodeliversuchImpressionsduringthe
