SETTLEMENTAGREEMENT
`1.ThisSettlementAgreement(hereinafter“Agreement”)isenteredintobyandbetweentheNationalAeronautics
andSpaceAdministration,AmesResearchCenter(hereinafter“Agency”or“NASA”)andXXXXXX(hereinafter“Ms.X”),to
makefullandfinalSettlementofallmattersarisingfromMs.X’sEqualEmploymentOpportunitycomplaintagainsttheAgency.
2.Inordertoresolvethemattersindisputewithoutfurtheradministrativeprocesses,litigation,expense,anddelay,
Ms.XandtheAgencyagreeasfollows:
a)Ms.XwillbeplacedinanadministrativeleavestatusbeginningOctober6,2002tocontinueuntildisabilityretirement
isapprovedandastartdateforreceivingbenefitsisprovidedbytheOfficeofPersonnelManagement(OPM).Administrativeleave
statusshallcontinueuntilMs.Xreceivesherfirstdisabilityretirementpayment.ItisunderstoodthatMs.Xisnotentitledto
administrativeleaveforanyperiodshereceivesdisabilityretirementpayments.IntheeventthatMs.Xreceivesoverlapping
disabilityretirementpaymentswhileonadministrativeleave,shewillreimburseNASAforthosepaymentsreceivedwhileon
administrativeleave.Ms.Xagreestoprovideandcompleteallpaperworkforsuchretirementincludinganyrequiredmedical
documentationneededtocompletethedisabilitypackagewithinthirty(30)daysofthedatethisSettlementAgreementbecomes
bindingandenforceable.
b)TheAgencyagreestocooperatefullyandexpediteitsprocessingofMs.X’sdisabilityretirementapplicationpackage
toOPM.TheAgencyagreestoaffirmtoOPMonitsportionsofthedisabilityretirementformsandanyaccompanying
documentationthatitcannotreasonablyaccommodateMs.X’sdisability.
c)Ms.XwillretirefromtheFederalserviceeffectivethedateonwhichherdisabilityretirementcommences.
d)BothpartiesunderstandandagreethatonlyOPM,andotherfederalauthoritiessuchastheMeritSystemsProtection
Board(MSPB)andthefederalcourts,havefinalauthoritytodeterminedisabilityretiremententitlementandterms(suchasannuity
amounts)forFederalcivilserviceemployeessuchasMs.X.TheAgencyanticipatesnodifficultyinsecuringapprovalofMs.X’s
disabilityretirementapplication,buttheAgencycannotguaranteesuchapproval.IfMs.X’sdisabilityretirementapplicationis
approvedbyOPMand/orMSPBand/oranyfederalcourt,theAgencyshallatthattimeseparateMs.Xfordisabilitywiththe
notation“disabilityretirement”.If,foranyreason,itisfinallydeterminedbyOPMorotherhigherlegalauthority,thatMs.Xisnot
eligiblefordisabilityretirementbenefitsasenvisionedinthisSettlementAgreement,andthetimeforanylegalchallengetosucha
determinationexpireswithoutthetimelyfilingofsuchachallenge,thepartiesagreethatallprovisionsofthisAgreementaside
fromthisparagraphwillbenullandvoid,andthatthiscomplaintwillbereinstatedforfurtherprocessingfromthepointatwhich
processingceased,inaccordancewiththeproceduressetforthin29C.F.R.?
1614.504.
e)TheAgencyagreestopayMs.Xalumpsumpaymentofonehundredfortythousanddollars($140,000.00).Fifty
thousanddollars($50,000.00)ofthislumpsumpaymentiscompensationforMs.X’spastmedicalexpenses,andninetythousand
dollars($90,000.00)ofthislumpsumpaymentiscompensationforMs.X’smedicalcondition.TheAgencyagreestopayMs.X
thelumpsumpaymentof$140,000.00intwoinstallmentsasfollows.Withinthirty(30)daysofthedatethisSettlementAgreement
becomesbindingandenforceable,theAgencyagreestopayMs.Xfortythousanddollars($40,000.00).Ms.Xagreestoretainthe
$40,000.00inaninterestbearingaccountuntilherdisabilityretirementapplicationisapproved.Ifforanyreason,itisfinally
determined,byOPMorhigherlegalauthority,thatMs.XisnoteligiblefordisabilityretirementasenvisionedinthisSettlement
Agreement,MsXagreesthatshewillreturnthe$40,000.00plusanyaccruedinteresttoNASAAmesResearchCenterwithinthirty
(30)daysofthefinaldenialofherapplicationfordisabilityretirement.Withinthirty(30)daysofapprovalofMs.X’sdisability
retirementapplication,theAgencyagreestopayMs.Xtheremainderofthelumpsumpayment,whichisonehundredthousand
dollars($100,000.00).AllpaymentswillbemadepayabletoMs.X..Ms.Xunderstandsthatthisentireamountwillbereportedto
theInternalRevenueService(IRS)onaform1099,andthatthequestionsoftaxliability,ifany,asaresultofsuchpaymentisa
mattertoberesolvedsolelybetweenMs.XandtheIRS.TheAgencyagreesthatitwillnotmakeanywithholdingsfromthelump
sumpayments.
f)Withinthirty(30)daysofapprovalofMs.X’sdisabilityretirementapplication,theAgencyagreestopayattorneyfees
of$50,000.00,andtopaycostsnottoexceedfivehundreddollars($500.00)accordingtoproof,toYYYYYY,AttorneyatLaw,

ZZZZZ,No.ZZZ,ZZCity,California94ZZZ.Bothpartiesagreethatthesepaymentsconstitutefullandfinalresolutionofattorney
feesandcostsinconnectionwiththemattersindispute.Allsaidpaymentsforattorneyfeesandcostswillbemadepayableto
YYYY.TheAgencywaivesanyclaimagainstMs.Xforreimbursementofattorneyfeesandcostsinconnectionwiththematters
indispute.
g)Withinthirtydays(30)ofapprovalofMs.X’sdisabilityretirementapplication,theAgencyshallremoveallmaterials
thatthepartiesagreetobederogatoryfromthepersonnelfilesitmaintainsregardingMs.X:
herOfficialPersonnelFile(OPF),her
employeeperformancefile(EPF),andhermedicalfile.Uponrequest,Ms.Xshallbeentitledtoreviewthenamedfiles.Upon
completionofherreview,Ms.XwilladvisetheAgencyofmaterialsthatshebelievesarederogatoryandshouldberemoved.
Withinthirty(30)daysthereafter,theAgencyshallremovethematerialsMs.XidentifiedasderogatoryiftheAgencyagreeswith
Ms.Xthattheyareinfactderogatory.ShouldtheAgencynotagree,thepartiesreservetherighttoseekenforcementofthisaspect
oftheSettlementAgreementpursuanttoParagraph15ofthisAgreement.TheAgencyinanyeventagreestoremoveanyandall
informationitdeemstobederogatoryinanyandalloftheabove-referencedfilesthatmighthaveanadverseeffectonthe
determinationofMs.X’sdisabilityretirementapplicationpriortotheAgency’sforwardingthesefilestoOPM.
h)TheAgencyagreestowaivemonetaryreimbursementofalldebtMs.Xaccruedfromuseofadvanced(unearned)sick
leave.
i)ByexecutingthisAgreement,Ms.Xagreestowithdrawhercomplaint,EEOCNo.AAAAAA(NASAAgencyNo.
BBBBBBB),twogrievancesandanyandallotherpendingcomplaintsinvolvingheremploymentwithNASA.inaddition,shealso
waivesanyandallrightstofilecomplaintswith,orappealsto,theEqualEmploymentOpportunityCommission,theMeritSystems
ProtectionBoard,thenegotiatedgrievanceprocess,orotheradministrativefora,andcivillitigationarisingoutofmattersorevents
priortotheexecutionofthisAgreement,exceptasotherwiseprovidedinthisAgreement.
3.NotwithstandinganyprovisionofthisSettlementAgreement,thisAgreementdoesnotconstituteanadmission
ofliabilityorfaultonthepartofNASAoritsofficersoremployees.
4.ThisAgreementmaybeusedasevidenceinasubsequentproceedinginwhicheitheroftheparties
allegesamaterialbreachofthisAgreement.
5.ThepartiesagreethatinSettlementofthismatterandinthebestinterestsofbothparties,theparties
andtheirrepresentatives,includingbutnotlimitedto,theundersigned,theirattorneys,agents,anddesignees,willnot
disclose,discuss,release,commentupon,provide,orrevealanyinformationrelatingtothetermsorconditionsof
Settlement,negotiation,proceedings,orconditionsofresolutionordisagreement,excepttoimmediatefamilymembers
andasotherwiserequiredbylaworcourtorderorasnecessarytoimplementthetermsofthisAgreement.
6.Ms.Xisherebynotifiedthatshehasatleasttwenty-one(21)daysfromthedateofreceiptof
thisAgreementtoreviewthetermsandconditionsofthisAgreement,ifshesorequires.
7.Ms.XisherebyadvisedtoconsultwithanattorneypriortoexecutingthisAgreement.Ms.
XacknowledgesthatherattorneyhasreviewedandexplainedtheprovisionsofthisAgreementtoherandthatthe
Agencyhasprovidedsufficienttimeforthispurpose.
8.ByexecutingthisAgreement,Ms.Xacknowledgesthatshehasknowinglyandvoluntarily
waivedrightsorclaimsundertheAgeDiscriminationinEmploymentAct(ADEA),29U.S.C.?
621,etseq.,in
exchangeforconsiderationinadditiontoanythingofvaluetowhichMs.Xisalreadyentitled.
9.ByexecutingthisAgreement,Ms.XacknowledgesthatshehasenteredintothisAgreementvoluntarily
andthattheAgencyhasnotimposedanyunduehardship,duress,orcoercioninconnectionwiththeexecutionofthis
document.
10.Ms.XisherebynotifiedthatthetermsandconditionsofthisAgreementwillbecomebinding
andenforceableattheexpirationofseven(7)calendardaysfollowingthelatestsignaturedateofthisAgreement.Ms.
XmayrevokethisAgreementinwritingatanytimepriortotheexpirationofthisseven(7)dayperiod.

11.ThisAgreementrepresentsandexpressestheentireAgreementbetweenNASAandMs.X
resolvingthematterofhercomplaintsandfullysupersedesanyandallpriorAgreementsorunderstandingsbetweenthe
partiespertainingtothesubjectmatterhereof.Ifotherpromises,oral
