ModificationstoSpecialTermsandConditionsofFIDICContract
双方经友好协商，对FIDIC红皮书合同专用条款做如下修改：
TheamendmentstotheparticularconditionsofFIDICredbookis,throughfriendlyconsultationsbythepartiestothisagreement,madeandconcludedasfollows:
1、 ModificationtoArticle1.1.1.9[AppendixtotheLetterofTender]
对1.1.1.9[投标函附录]的修改
AppendixtotheLetterofTenderreferstothedocumentsnamedasAppendixtotheLetterofTenderinaccordancewithrequirementsinthegeneralconditionsandtheContractorshallsubmitthedocumenttotheOwner'ssatisfactorywhenrequiredbytheEmployer.
投标函附录指依据通用条款需要提供的名为投标函附录的文件，承包商须在业主要求时提供本文件，并令业主满意。
2、ModificationtoArticle1.1.6.7[TheSite]对1.1.6.7[现场]的修改
TheSitereferstothe*****IslandoftheRepublicofIndonesia
现场是指印度尼西亚共和国****岛。
3、ModificationtoArticle1.1.2.4[TheEngineer]inthegeneralconditionsoftheContract
TheEngineerreferstotheEmployer'srepresentative.
对通用合同条款1.1.2.4[工程师]的修改，工程师，即为业主代表。
4、1.1.2.11[DesignOrganization]1.1.2.11[设计单位]
The"DesignOrganization"refersto******InternationalEngineeringCo.,Ltd,whichwillundertakethedesignworkfortheProject.
“设计单位”****国际工程有限责任公司,将为工程进行设计工作。
5、1.1.2.12[SupervisingEngineer]1.1.2.12[监理工程师]
The"SupervisingEngineer"refersto******ProjectManagementCo.,Ltd.TheSupervisingEngineerwillsuperviseandinspecttheProjectimplementationanditsquality,andconductmonthlypaymentestimation,measurement,alternationandsettlementwiththeEmployer. ItwillinvolveintheProjectastheEmployer'srepresentative.
“监理工程师”****项目管理有限公司。
监理工程师将为工程的施工及其质量进行监督和检查工作，及将联同业主进行月付款估算、计量、变更估算及结算工作。
在现场将以业主业主代表身份参与工作。
6、ModificationtoArticle1.4[LawsandLanguages]inthegeneralconditionsoftheContract
对通用合同条款1.4[法律和语言]的修改
ThisContractandtheCorrespondencearewritteninbothChineseandEnglish,whiletheEnglishshallberegardedastheinterpretivelanguage.TheContractisgovernedbylawsoftheRepublicofIndonesia.
本合同及往来文件采用中英文双语书写，英文作为合同解释语言。
本合同受印度尼西亚共和国法律管辖。
7、ModificationtoArticle1.5[PriorityofDocuments]inthegeneralconditionsoftheContract
对通用合同条款1.5[文件优先次序]的修改
ThedocumentsformingtheContractaretobetakenasmutuallyexplanatoryofoneanother.Forthepurposesofinterpretation,thepriorityofthedocumentsshallbeinaccordancewiththefollowingsequence:
构成本合同的文件要认为是互作说明的。
为了解释的目的，文件的优先次序如下：
a） theContractAgreement,
b） NotificationofAwardon
c） LetterofTenderanditsAppendices,
d） CorrespondenceandMinutes,whosepriorityshallsubjecttothelatestissueddocuments（ifany）,
e） TheParticularConditions,
f） TheGeneralConditions,
g） BillofQuantities,DescriptionofBillofQuantitiesandtheTenderDocuments,
h） SpecificationandRequirements,
i） Drawings,
j） DataSheetandotherdocumentswhichconstitutecomponentsoftheContract.
k） TheLetterofTenderandotherpartoftheTenderexpressedbybothpartiestobeincludedintheContract.
Ifanyambiguityordiscrepancyisfoundinthedocuments,therepresentativeoftheEmployershallissueanynecessaryclarificationorinstruction.Bothpartiesshallobservethefollowingrules:
ForthecontractualdocumentsandcorrespondencesgeneratedduringenteringtheContract,thenewestversionorlatestissueddocumentsshallprevail,
Unlessotherwiseagreed,theagreements,letters,minutes,memosandotherdocumentsrelatedtotheenteringorexecutingofthisContractsigned,issuedorreceivedduringthecontractualperiodshallconstituteconstituentpartofthisContract.
如文件中发现有歧义或不一致，业主代表应发出必要的澄清或指示。
且遵循如下规则：
对于同一类合同文件及合同订立期间往来文件，以其最新版本或最新颁发者为准；除非另有约定，在合同订立和履行过程，双方签署、签发、签收的与本合同订立或履行有关的协议、信函、记要、备忘录等亦构成合同的组成部分。
8、ModificationtoArticle1.6[ContractAgreement]inthegeneralconditionsoftheContract
对通用合同条款1.6款[合同协议书]的修改
Unlessotherwiseagreed,bothpartiesshallsigntheContractAgreementwithin15daysaftertheContractorreceivedtheNotificationofAward.TheContractAgreementshallbebasedontheformattachedtothecontractualconditions.Thecostsofstampdutiesandsimilarcharges（ifany）imposedbylawinconnectionwithentryintotheContractAgreementshallbebornebytheeachparty.
除非另有协议，双方应在承包商收到中标通知书后15天内，签定合同协议书。
合同协议书应以合同条件所附格式为基础。
为签定合同协议书，依法征收的印花税和类似费用（如果有），应由合同双方各自承担。
9、Modificationtoarticle1.8[CareandSupplyofDocuments]inthegeneralconditionsoftheContract
对通用合同条款1.8款[文件的照管和提供]的修改
9.1 TherequirementsfororganizingforthefollowingContractor'sdocuments:
9.1.1 DetailsonConstructionScheduleandMethod（Article4.1）,forEmployer'sverificationonly.UpontheEmployer'srequirement,theContractorshallsubmitthedetailsonconstructionschedulesandmethodsrecommendedbytheEmployer,includingbutnotlimitedto:
9.1.1.1Detailedconstructionmethodsanddescriptionofeachstage:
9.1.1.2Constructionscheduleandmeasurestoensureconstructionprogress;
9.1.1.3Qualitymanagementprogram;
9.1.1.4Constructionplansforsafety,includingtheriskanalysisofimportantpart;Projectmanagementorganizationchart,includingdetailedinformationaboutContractor'semployeesandestimatedtotalContractor'sequipmentineachmainstage.
9.1 下列承包商文件的编制要求是：
施工安排和方法的细节（4.1款），此文件业主仅进行审核。
当业主提出要求时，承包商应提交其建议采用的工程施工安排和方法的细节，应包括但不限于：
9.1.1.1详细的施工方法和各主要阶段的描述；
9.1.1.2 施工进度计划及保证施工进度措施；
9.1.1.3 质量管理方案；
9.1.1.4 安全文明施工方案，包括重要部位的风险分析；项目管理机构图，包括各主要阶段所需的承包商各级人员和总承包商设备估计数量的详细情况。
9.1.2 SubmitProgressReportforEmployer'sverificationaccordingtoArticle4.21[ProgressReport]. Theverificationperiodis**days.
9.1.3 AccordingtoArticle6.10[RecordsofContractor'sPersonnelandEquipment]inthegeneralconditionsoftheContract,thisdocumentdoesn'tneedverification.
9.1.4 SubjecttoArticle7.2[Samples]inthegeneralconditionsoftheContract,thisdocumentneedstobeverified.
9.1.5SubmitProgrammeaccordingtoArticle8.3[Programme],forEmployer'sverificationonly.
9.1.1 根据通用合同条款4.21款[进度报告]规定提交进度报告，此文件业主仅进行审核，审核期为**天。
9.1.2 根据通用合同条款6.10款[承包商人员和设备的记录]，此文件不需要审核。
9.1.3 根据通用合同条款7.2款[样品]，此文件需要批准。
9.1.4 根据通用合同条款8.3款[进度计划]规定提交进度计划，此文件业主仅进行审核。
9.1.6 Completiondrawingsandrecords.TheContractorshallberesponsiblefordrawingtheCompletiondrawingsontheblueprint（whichshallbeprovidedbytheEmployer,includingtheblueprintforcompletiondrawings）,reflectingtherealsituationoftheProjectcompletionandindicatingfoundationofeachmodification,suchasmodifyingaccordingtowhichdesignNo.andproviderelevantevidence.Thecompletionrecordsshallcontainsadequatedetailssuchasrecordingtheaccuratelocation,sizeofcompletion,detaileddescriptionofimplementedword,includingbutnotlimitedtofactorycertificationandtestingrecordsofproductionequipment/materials,constructiondiary,concealedengineeringacceptancerecordsandrelevantmaterials,workingprocedure,positions（branches）,engineeringqualityinspectionrecordsandprojectqualityevaluationchart,qualityaccidentsrecords,onsitevideosandpictures,etc.ThecompletiondrawingsandrecordsshallobtaintheEmployer'sagreementandinconformitywitharchiverequirementoflocalurbanconstructionarchivesmanagementdepartment.TheReviewPeriodofcompletiondrawingsandrecordsis4*days.Submissionproceduresofcompletiondrawingsandrecords:
theContractorshallprovidetwocopiesofcompletiondrawingsandmaterialswhensubmittingcompletiontestreport.
TheabovementionedContractor'sdocumentsshallbewritteninlanguageforcommunicationsstipulatedinArticle1.4ofthegeneralconditionsoftheContract.
竣工图纸和竣工记录，竣工图纸由承包商负责在蓝图上绘制（蓝图业主共提供肆套，包括用于竣工图绘制的蓝图），表明整个工程的施工完毕的实际情况，对每处修改要注明修改的依据，如：
标明根据编号多少的设计变更，并附有相应证明资料。
竣工记录应足够详细，如实记载竣工的准确位置、尺寸和已实施工作的详细说明，包括但不限于生产设备/材料的出厂合格证明和试验检验记录，工程施工记录，隐蔽工程验收记录和有关资料，工序、部位（分部）、单位工程质量检验评定记录和工程质量评定表，工程质量事故处理记录，现场录影资料、照片等资料。
该竣工图及竣工记录必须得到业主同意，并符合工程所在地城建档案管理部门的归档要求。
竣工图纸和竣工记录的审核期为**天。
竣工图纸和竣工记录的提交程序是：
提交竣工试验报告时，承包商应提 供竣工图纸及竣工资料各俩份。
上述承包商文件均应用通用合同条款第1.4款[法律和语言]规定的交流语言编写。
9.2 Reviewandapprovalprocess审核、批准程序
TheContractorshallberesponsibletoprepareallContractor'sdocumentandanyotherdocumentsrequiredtoguidetheContractor'spersonnel.TheEmployer'spersonnelshallhavetherighttoinspectthosedocumentsinwhereverthereareprepared.IftheEmployer'sRequirementhasdefinedContractor'sdocumentswhichshallsubmittedfortheEmployer'sreviewand/orapproval,thosedocumentshallbesubmittedwiththeundermentionednoticeaccordingtotherequirements.InthefollowingprovisionsofthisSub-Clause,（i）”reviewperiod”meanstheperiodrequiredbytheEmployer’sRepresentativeforreviewleadingtoconsentand（ifsospecified）forapproval,and（ii）“Contractor’sDocuments”excludeanydocumentswhicharenotspecifiedasbeingrequiredtobesubmittedforreviewleadingtoconsentand/orforapproval.UnlessotherwisestatedintheContract,eachreviewperiodshallnotexceed2*days,calculatedfromthedateonwhichtheEmployerreceivesaContractor’sDocumentandtheContractor’sNotice;ThisNoticeshallstatethattheContractor’sDocumentisconsideredreadyforreviewleadingtoeitherreview（approval,ifsospecified）andforuse.TheNoticeshallalsostatethattheContractor’sDocumentcomplieswiththeContract,ortotheextenttowhichitdoesnotcomply.TheEmployermay,withinthereviewperiod,giveNoticetotheContractorthataContractor’sDocumentfails（totheextentstated）toconformtotheContract.IfanyContractor'sDocumentfailstoconform,itshallberectified,resubmittedandreviewed（and,ifspecified,approved）inaccordancewiththisSub-Clause,attheContractor’scost.ForeachpartoftheWorks,andexcepttotheext
