PURCHASEAGREEMENT

ThisPURCHASEAGREEMENT（hereinafterreferredtoastheAGREEMENT）,datedasof15th,May,2012byandamong:

（1）AAACorporation,acompanyorganizedandexistingunderthelawsofFranceandhavingitsregisteredofficeat89rueAlbertThomas,75010Paris,and

（2）BBBCorporation,acorporationorganizedandexistingunderthelawsoftheStateofNewYorkwithitsprincipalofficeatNewSharonRd.Pella,Iowa50219U.S.A.,and

（3）CCCCorporation,acompanyorganizedandexistingunderthelawsoftheStateofNewYorkwithitsprincipalofficeatOrchardRd.#08-06DelfiOrchardSingapore0923（togetherwithBBBCorporation）and,

（4）DDDCorp.,acompanyorganizedandexistingunderthelawsofthePeople'sRepublicofChinawithitsprincipalofficeat102FengqiRoad,Hangzhou310006,P.R.C.,and

（5）DDDreferredtoasthe"BUYER",and

（6）AAAandBBBarecollectivelyreferredtohereinas"SELLERS".

Whereas,ManufacturerisengagedinthemanufactureandsaleoftheProducts;

Whereas,ManufacturerisdesirousofsellingtheProductsintheTerritory;

Whereas,DistributorisengagedintheimportationanddistributionoftherelatedproductsoftheProductsintheTerritory;

Whereas,DistributorisdesirousofbecomingadistributoroftheProductsintheTerritory;

Whereas,AAAisthesoleownerandholderof100%oftheoutstandinggeneralpartnershipinterestsofEEE,L.P.,acompanyorganizedandexistingunderthelawsofFranceandhavingitsregisteredoffice&at89rueAlbertThomas,75010Parislimitedpartnership（hereinafterreferredtoastheEEE）,andCCCisthesoleownerandholderof100%oftheoutstandinglimitedpartnershipinterestsofEEE;and

Whereas,BuyerdesirestopurchasefromSellers,andSellersdesiretoselltoBuyer.ThisAgreementiswrittenintheEnglishlanguage.IncaseofanydiscrepancybetweentheEnglishversionandanytranslationthereof,theEnglishtextshallgovern.

1.CERTAINDEFINITIONS;PURCHASEANDSALEOFINTERESTS.

（a）CERTAINDEFINITIONS.AsusedinthisAgreement（includingtheSchedulesandExhibitshereto）,thefollowingdefinitionsshallapply:

（iii）"APPLICABLEACCOUNTINGPRINCIPLES"shallmeanUnitedStatesgenerallyacceptedaccountingprinciplesasconsistentlyappliedinthepreparationoftheFinancialStatements,subjecttoanyexceptionstherefromdisclosedinthenotestotheFinancialStatements.

（iv）"BUSINESS"shallmeantheentirebusinessandoperationsofEEEanditsSubsidiariesandForeignAffiliatesasconductedonthedatehereof,includingthebusinesstobetransferredtoEEEpursuanttoSection5（g）.

（v）"FINANCINGOBLIGATIONS"shallmean（i）indebtednessofEEEoritsSubsidiariesforborrowedmoney,（ii）obligationsofEEEoranyofitsSubsidiariesevidencedbybonds,notes,debentures,lettersofcreditorsimilarinstruments,（iii）obligationsofEEEoranyofitsSubsidiariesunderconditionalsale,titleretentionorsimilaragreementsorarrangementscreatinganobligationofEEEoranyofitsSubsidiarieswithrespecttothedeferredpurchasepriceofproperty（otherthancustomarytradecredit）,（iv）breakageandothercostsrelatingtointerestrateandcurrencyobligationswaps,hedgesorsimilararrangementstowhichEEEoranyofitsSubsidiariesisapartyand（v）allobligationsofEEEoranyofitsSubsidiariestoguaranteeanyoftheforegoingtypesofobligationsonbehalfofothers.

（ix）"PRORATABASIS"shallmean60%withrespecttoAAAand40%withrespecttoBBB.

（b）PURCHASEANDSALEOFINTERESTS;FINALPURCHASEPRICE.OnthetermsandsubjecttotheconditionsofthisAgreement,attheClosingSellersshallsell,transferanddelivertoBuyer,andBuyershallpurchasefromSellers,theInterests,freeandclearofallLiens,andthecovenantscontainedinSection5（e）foranaggregatecashpurchasepriceof$200,000.inrespectofthegeneralpartnershipinterestsheldbyAAAandthecovenantsmadebyAAAinSection5（e）and$92,740.inrespectofthelimitedpartnershipinterestsheldbyCCCandthecovenantsmadebyCCCinSection5（e）（collectively,the"INITIALPURCHASEPRICE"）.
