1、国际商务合同翻译教程国际商务合同翻译教程(第三版) 兰天 屈晓鹏 前 言 国际商务合同翻译教程(第三版)的问世，要感谢广大读者多年来不弃不离的支持和鼓励，要感谢我的学生们给予我丰富和精炼合同翻译教学经验的热情。更要感谢的一个人是屈晓鹏。作为我多年前的硕士研究生，他以勤奋、好学的研究精神和认真、严谨的敬业态度在他跨国国际商务合约的工作领域取得了令人欣慰的成绩。由于有了他的支持和帮助，才有了读者看到的第三版。 第三版仍然沿袭了第二版两大部分的构架，即第一部分基础篇和第二部分实践篇。第三版在保留了前两版精华的基础上，在实践篇中更是吸纳了屈晓鹏从事国际商务合同谈判和制定的宝贵经验，添加了六份操作性强、

2、实效性高的国际商务合同，其中包括三方合作协议、第三方监管账户协议、保密协议、目前比较通用的雇佣合同和广为各进出口公司采用的货物买、卖合同等。相比前两版，第三版的基础篇内容更加充实和完整，其中包括对合同结构的更为精细的剖析和归纳，并添加了对Incoterms 2010国际贸易术语的介绍。书中还补充和完善了原有的一些注释，并添加了一些词汇。为了便于读者的记忆和查询，书后还配置了索引。 1 本教材主要适用于外经、外贸及法学专业高校师生、涉外企业管理人员及司法人员、涉外合同的谈判人员、翻译工作者以及其他从事国际商务交流的人士;同时，教材的编写和设计还针对在校的具有英语四级水平以上的各专业本科或研究生学

12、 保密协议 Nondisclosure Agreement P 6 2(2(1 同义词连用Series Synonyms Used 在写作法律文件时，对一些关键性的词常常采用同义词连用。这主要是为了克服由于许多英语词具有一词多义的特点，而在句子中可能发生意思不明，合同双方可能按自己的意图来理解。为了确保所用词不被曲解，采用同义词连用，如双词式(doublets)、对句(couplets) 和三词并列(triplets)等形式。保证内容上准确，使合同具有周密、严谨的特色，以便减少漏洞和争议，维护法律文件的独解性尊严。这种用法在法律文书上通常被称为赘述(tautology)。 P9 4 除了上述列

17、和lieu的拼写，以免造成对合同条款的曲解。 lien 和lieu都是名词，但词义不同。lien留置权，是指债务未偿还前债权人可扣押担保品的权利;lieu则表示场所和取代之意。 The Borrower agrees to transfer to the lender the right to accept and substitute other assigned accounts subsequent to this date, in lieu of accounts this day assigned. 借款人同意向出借人转让收取和兑取自即日起的以后各项应付账款的权利，用以取代今天的各项

19、lidity clauses of Contracts)是合同生效的基本条件，在法律上具有重要的意义。 通常，前言部分由这几个要点组成即开场部分(Premises/Commencement)、鉴于条款(Whereas)、过渡条款(Transitional Clause)。 3(1(2 合同各方名称及法定地址:合同各方的名称第一次在合同中出现时一定要写全名，不能缩写，只有在后面重复出现时才能用简称，简称甲方或乙方、买方或卖方、许可方或被许可方(hereinafter referred to as/hereinafter called Party A or Party B; the Buyer o

20、r the Seller; the Licensor or Licensee)等;法定地址，主要指营业地、住所地或居所所在地，即载明合同当事人的名称或者姓名、国籍、主营业务或者住所(the corporate or personal names of the parties to the contract and their nationalities, principal places of business or residential addresses; the date and place for signing of the contract, etc.)。但是，“register
