3、s the first provincial CBMdevelopmentandutilizationcompanyinChina.PartyAhasobtainedthequalificationtoexclusivelycooperatewithforeignenterprises.2. Party B is a company incorporated andoperatingunderthelawsofSingapore.Thecompany has the technical and capitalcapabilities of t assessing CBM resources,d

4、esigningappraisalandpilotdrillingprogramsandsubjecttotechnicalsuccessofthoseprograms,moving to developing and producing commerciallyviableCBM.Ithasdevelopedinnovative,lowcosthorizontalandverticaldrillingtechnologythatisinstrumentalinestablishingthesustainablegrowthofcommercialCBMproductionandpre-dra

5、inageofseveralcoalminingareas.3. Party C focuses on clean energy and isengagedindevelopmentandutilizationofautomotivenewenergy,includingLPG,CNGandCBM.NowthecompanyhaseightCNGgasstations,twoLPGgasstationsandoneL-CNGgasstationinoperation.4.ItistheintentionofthepartiesthatPartyAandPartyBwillcooperatean

6、dcarryoutexplorationworkinthe6CBMblocksundertheprinciple of “easier block/cherry-pickdevelopmentfirst”subjecttotheconditionthatthechoiceisbeneficialtoallparties.5.AspartoftheprocessofenteringintothePSCs,thepartieswishtocommenceatechnicalevaluationwithaviewtodeterminingthefeasibilityandscaleofCBMexpl

7、orationanddevelopmentwithinthecorrespondingareas.Tothisend,allpartiesagreetoincludeaconfidentialityclauseinthisLOIwiththeaimoffacilitatingtheprovidingandsharingofappropriatedata.6.PartyBandPartyCagreetocoverthecoststocarryoutthetechnicalduediligenceand evaluation, and the parties agree toformulate t

9、rmine the potential for CBMresources.Theevaluationshallalsoidentifyapreliminaryviewofthemostpromisingareasforinitialexplorationactivities,follow-upappraisaland potential development of a full-scale CBMprojectinthecorrespondingarea.2.Technicaldata.PartyAwilluseitsbestendeavorstocoordinatethecollectio

10、noftechnicaldataforthecooperatedareas,asmaybenecessarytoconductthetechnical,commercialandlegalevaluation.Atthesametime,PartyAwillalsoarrangeforPartyBandPartyCtocarryout site and underground mine visit(s) of thecorrespondingareasasappropriateand,ifpossible,carryoutanalysisofphysicalcoalsamplesandavai

11、labledrillcoresavailablefrompreviousdrillcore programs undertaken in respect of thecorrespondingareas.PartyAshallendeavortoarrangeappropriatestaff and party B and Party Cs technicalpersonneltoworktogether,inordertocompleteallthetechnical,commercialandlegalevaluation,and efficiently handle the mutual

12、 interferenceissuesthatmaybeoccurintheevaluationandminingwork.3.Thepartiesshallusetheirbestendeavorstoworkco-operativelyatalltimeswithinthescopeofthecontentofthecooperationandshall, where possible, openly share informationbetweenthemthatwillassistinaccomplishingtheobjectiveandpurposesofthisLOI.4. Pr

13、oduction Sharing Contract. All partiesshallusetheirbestendeavorstoconcludeandsignthePSCs.TherightsandobligationsofeachpartywillbedefinedinPSCs.ThePSCsshallbereportedtothevariouscompetentgovernmentauthoritiesafterbeingsigned,andshallsubjectto the approval of the relevant regulatoryauthoritiesandtheMi

14、nistryofcommerceofthePeoplesRepublicofChinaandothergovernmentauthorities.5.JointVenture.ThreepartiesplantosetupajointventurecompanyoutsideofChina,theproportionoftheJointVenturetentativelyis:(1)HenanCBM38%,PartyB/PartyC62%,PartyBhastherighttobringinastrategicpartner,PartyBsfinalshareratiomustbenotles

15、sthan31%.(2)TheJointVenturewillsignthePSCwithHenan CBM, the participating interest inDevelopmentperiodwillbeHenanCBM20%andtheJointVenture80%respectivelyConfidentiality1. The parties shall ensure that all DatareferredtoinClause2aboveanddataobtainedfromanysubsequentjointevaluationactivityrelatingtothe

16、cooperation,includinganyphysicalsamplinganalysisinformation:(1)IsusedsolelyforthepurposesstatedinthisLOI;(2)Isonlydisclosedtoitsemployees,officers,consultantsanddirectorsforachieving the cooperation purpose who shallexecuteconfidentialityagreement.2.Nopartyshalldisclosetoanypersonorinstitutionwithou

17、tpriorconsentofallparties any information, including but notlimitedtothecooperationpartnersandcontent,technology,operatingmethods,legaldocumentsandanyotherinformation.3.Ifanypartybreachestheconfidentialityterms,thenon-defaultpartywillprosecuteagainstthedefaultpartyforlegalliabilitiesandclaimforcompe

18、nsationforitslosses.C.Miscellaneous1.GoverningLaw.ThislOIshallbegovernedby,andconstruedaccordingto,theLawsofChina.2.Termination.ThisLOIshallterminate:(1)AftersixmonthsofexecutiondateofthisLOI;(2)signthePSCTheconditionofitem(1)andItem(2)thatoccursthelatershallprevail.Theconfidentialitytermsinclause3s

19、hallsurvivetheterminationofthisLOI. 3.WhereasPartyAisaState-ownedenterpriseunderthesupervisionofHenanprovince of the Peoples Republic of China,accordingtotherelevantlawsandregulations,rules and policies, if the matters of thecooperationandcontentthereofneedtobeapprovedorrecored,theyshallbesubjecttot
