3、resentative： 鉴于：乙方对甲方IPRO品牌商品市场潜力和开发前景寄予厚望，并期待参与对该品牌的区域代理与市场拓工作；亦鉴于甲方有把该品牌商品更好地推向国际市场，以期扩大市场份额的意向。故甲乙双方本着合作共赢、共同发展的理念，现遵循合法、公平、平等自愿、协商一致、诚实信用原则，经复磋商，为明确双方权利义务，达成并愿意共同遵守本协议所列条款。本协议书是在双方协商一致的情况下定，是双方真实意思表示的书面载体。 In consideration of Party B having high expectation for Party As brand iPro market potenti

4、al and development prospects, and Party B is looking forward to participating in the regional agent to the brand iPro and market development work; Also in view of Party A have the intention of pushing the brand better to the international market, so as to expand the market share.Therefore, Party A a

5、nd Party B base on the idea of win-win cooperation and common development, following the lawful, fairness, equality freewill, consensus and good faith principal. After repeated consultations, and to clear the rights and obligations of both parties, Party A and Party B reach and are willing to abide

6、the clauses of this agreement. This agreement is made under the consultations of both parties. Tomando en consideracin de que Parte B tiene una alta expectativa para potenciar la marca iPro Parte A y Parte B tiene el inters de participar como agente regional de la marca iPro ; Tambin en vista de que

7、 la Parte A tiene la intencin de impulsar la marca mejor en el mercado internacional, as como para ampliar la cuota de mercado. Por lo tanto, la Parte A y la Parte B basado en la idea de una cooperacin de beneficio mutuo, desarrollo comn, legalidad, imparcialidad, igualdad, y principalmente buena fe

9、国 区域代理；甲方授权乙方，可在该授区域内发展下 级经销商并销售甲方iPro品牌商品；甲方将给予全面的价格支持和服务支撑。 Party A agrees to appoint Party B as Agent of party As brand IPRO in Dominican Republic ; Party B agrees to sell and develop sub-distributors of Party As IPRO brand products in the range of above mentioned authorized territory; Party A sh

14、ribucin de Ipro y deber realizar publicidad consecuentemente 2. 窜货与乱价Cross-territory Selling and Non-authorized Pricing Venta en zona cruzada y Precio no-autorizado 为充分保障iPro区域代理的利润稳定和市场有序，甲乙双方承诺，对于窜货及乱价行为给予如下规定： To ensure the stability of iPro agentsprofit and to keep the market in good order, regu

16、 Definition of Cross-territory Selling: Party B market and sale Party As iPro brand products within the authorized territory, any unauthorized selling the stipulated products beyond the HONGKONG IPRO TECHNOLOGY CO., LTD authorized territory shall be deemed Cross-territory Selling.
