ExclusiveSupplyandSoleSourceAgreement原材料供给合同-

1.1Affiliateshallmean（i）acorporationperformingactivitiesrelatingtoAAA’sbusinessinwhichAAAownsandcontrols,directlyorindirectly,atleastfiftypercent（50%）oftheoutstandingsharesentitledtovotefortheboardofdirectors;（ii）afranchiseeorlicenseeofAAA;or（iii）ajointventurewithathirdparty（x）whichjointventureperformsactivitiesrelatingtoAAA’sbusiness,and（y）inwhichAAAownsorcontrolsatleasttwentypercent（20%）equityinterest.

1.2CarouselProductshallmeanBBB’scarouselproductforautomatedmaterialshandling,asmorefullydescribedinExhibitA,includingallequipmentandrelatedCarouselSoftware.Thepartiesagreethat,fromtimetotimeandsubjecttomutualagreement,thepartiesmayamendoradddifferentconfigurationsofcarouselproductstothislist.Whenusedwithoutcapitalization,thetermcarouselproductsshallrefertocarouselproductsgenerallyandnotjustthosemanufacturedbyBBB.

1.3CarouselSoftwareshallmeanthatcertainsoftware,insourcecodeandobjectcodeformat,which

（1）controlsthefunctionalityoftheCarouselProductor

（2）interfaceswithothermaterialshandlingsystems.

1.4IntellectualPropertyshallmeanallrightsofapersonorentityin,to,orarisingoutof:

（i）anyU.S.orforeignpatent（oranysimilarright）oranyapplicationthereforandanyandallreissues,divisions,continuations,renewals,extensionsandcontinuations-inpartthereof;（ii）inventions（whetherpatentableornotinanycountry）,inventiondisclosures,improvements,tradesecrets,proprietaryinformation,know-how,technologyandtechnicaldata;（iii）copyrightsandregistrationsandapplicationsthereforintheU.S.oranyforeigncountry,andallotherrightscorrespondingtheretothroughouttheworld;and（iv）anyotherproprietaryrightsanywhereintheworld.

1.5ShareholderAgreementshallmeanthatcertainAmendedandRestatedShareholderAgreementofevendateherewith.

1.6SpecificationsmeansthespecificationsfortheCarouselProduct,assetforthinExhibitA.

1.7PurchaseOrdermeansawrittenorderfromAAA（oranyofitsAffiliates）deliveredtoBBBrequestingBBBtomanufactureandsellaCarouselProductandstatingtheproposedunitnumbersandspecificationsoftheCarouselProduct,thelocationatwhichtheCarouselProductwillbeinstalled（theWorksite）andanyspecialconditionsthereofthatmightaffectthefabrication,installationortestingoftheCarouselProduct,shippinginstructions,anyrequestforBBBtosupplylaborforinstallation,arequestedtestingscheduleandprocedure,andtherequesteddeliverydate.ThePurchaseOrdermayalsoincludeareferencetoaTechnicalProposalsentbyBBBtoAAA,includingsuchinformationasprice,scopeofwork,systemfunctionality,deliveryschedule,andacceptancetestcriteria.

2.0MANUFACTURINGANDSALES.

2.1ManufacturingandSale.

（a）ManufacturingandSale.UponAAA’s（asusedinthisSection2.0only,AAAshallalsorefertoAAA’sdesignatedAffiliate（s））PurchaseOrdersthereforandpursuanttothetermsandconditionsofthisAgreement,BBBagreestomanufactureandsellallCarouselProductsorderedbyAAAtoAAAoritsdesignatedAffiliates,and,subjecttoSection2.1（c）,AAAagreestopurchasesuchCarouselProductsfromBBB.

（b）BBBExclusivity.ProvidedthatAAAfulfillsitsobligationspursuanttoSection4orunlessAAAprovidespriorwrittenconsent,BBBshallnotsellanyCarouselProducts（whethersoldbyBBBorsoldbyalicensee,distributor,integrator,brokeroranyotherthirdpartyauthorizedbyBBB）toanyotherentityinthebusinessofsolicitingandtransactingdirectconsumersalesviatheInternetanddelivering（whetherusingitsowntransportationorviaoutsourcingtoathirdparty）grocery,drugstore,andgeneralmerchandisetocustomers.

（c）AAAExclusivityandSoleSource.ForsolongasBBBmanufacturesandsellstoAAAitsrequiredsupplyofcarouselproducts,AAAagreestopurchaseallofitsrequirementsforcarouselproductsfromBBB.IfBBBfailstoprovideAAAwithallitsrequiredsupplyofCarouselProductsorderedpursuanttothisAgreementonanyparticularPurchaseOrderforagivensiteonthedeliverydatesreasonablyrequiredbyAAA,suchfailureshallnotbeconsideredabreachofthisAgreementbutwillentitletoAAAtopurchaseenoughequivalentproductsfromathirdpartytofulfillsuchparticularPurchaseOrder.Theforegoingnotwithstanding,subjecttoAAA’sfulfillingitsobligationssetforthinSection4ofthisAgreement,BBB’sobligationspursuanttoSection2.1（b）shallremaininfullforceandeffect.

2.2OrdersandForecasts..

（a）AllpurchasesandsalesbetweenAAA（andanyofitsAffiliates）andBBB,whetherconsummateddirectlyorindirectlythroughathirdpartyagentofBBB,shallbeinitiatedbyAAA’sissuanceofwrittenPurchaseOrderssentviaairmailorbytelephoneorfacsimileandthenconfirmedbywrittenPurchaseOrders.TheacceptancebyBBBofaPurchaseOrdershallbeindicatedbywrittenacknowledgmentthereofbyBBB.IntheeventofaconflictbetweenthetermsandconditionsofanyPurchaseOrderandthetermsandconditionsofthisAgreement,thetermsandconditionsofthisAgreementshallcontrolastosuchconflict,unlessthepartiesagreeinwritingthatthetermsandconditionsofaparticularPurchaseOrdershallsupersedeaparticulartermorconditionofthisAgreement.

（b）AAAshallhavetherighttocancelPurchaseOrder（s）oranyportionsthereofforanyreasonbynotifyingBBBinwritingnolaterthanthirty（30）daysafterAAAsubmitsitsPurchaseOrder（s）pursuanttoSection2.2（a）.CancellationshallbeeffectiveuponBBB’sreceiptofthewrittencancellationnoticefromAAA.BBBshallceaseallworkonsuchcanceledpurchaseorder（s）inaccordancewiththecancellationnotice.IntheeventthatBBBincursanycostsinconnectionwithpreparingfororcommencingworkonaPurchaseOrderthatiscanceledpursuanttothisprovision,includingwithoutlimitationcostsformaterials,drawingsorlabor,AAAshallreimburseBBBforsuchreasonablecostswithinthirty（30）daysofreceivinganinvoicetherefor

2.3DeliveryandShipping.BBBshallshiptheCarouselProductstoAAA’sWorksitesuitablypackagedforshipmentinBBB’sstandardcontainers.AllshippingcostsshallbeprepaidbyBBBbutinvoicedtoAAA.

2.4InsuranceandRiskofLoss.ImmediatelyfollowingdeliveryoftheCarouselProducttotheWorksite,AAAshallberesponsibleforandshallbearanyandallriskoflossofordamagetotheCarouselProduct.AAAshall,atitsexpense,takeoutandmaintaininsuranceinanamountatleastequaltothePurchasePricecoveringallrisksoflossordamagetotheCarouselProduct.SuchinsuranceshallnameBBBasaninsuredpartyandshallprovideforaninsurer’swaiverofsubrogationinfavorofallinsuredparties.PriortodeliveryoftheCarouselProducttotheWorksite,BBBshallberesponsibleforandshallbearanyandallriskoflossofordamagetotheCarouselProduct.BBB,atitsexpense,shallmaintaininsuranceinanamountequaltoorgreaterthanthevalueofallCarouselProductsthatBBBismanufacturingfororshippingtoAAA,suchinsurancetocoverallrisksoflossordamagetotheCarouselProducts.

2.5SiteConditionsandProvisionsbyPurchaser.AAA,atitsownexpense,shallprovideattheWorksitereasonablemeansofaccesstoaminimumofonedockdoor,withtheavailabilityofadockleveler,acompletelyenclosedbuildingtoprotectBBB’sequipmentfromtheelements,completionofwater-tightroofandsuchelectriccurrent,water,heat,ventilation,telephoneservice,atemporaryofficespace,lightandotherutilitiesandfacilitiesrequiredfortheinstallationoftheCarouselProduct.IntheeventthatanyelevatororcraneserviceownedbyAAAshallbeavailableattheWorksite,BBBmay,withoutcharge,useanysuchserviceforhandlingofmaterialsduringinstallation.AAAshallallowBBBaccesstotheWorksiteforinspectionofcompliancetotheserequirements,priortocommencementoftheinstallation.AdditionalprovisionsandconditionsrelatedtoWorksiteconditionsandinstallationmaybeattachedtothePurchaseOrderandacceptancethereof.

2.6Permits.PriortotheinstallationoftheCarouselProduct,AAAshallprocureandpayforallbuilding,erectionandotherlicenses,permits,authorizationsandinspectionsrequiredinconnectionwiththeCarouselProduct.BBBshallnotberesponsibleforanyfailureoftheCarouselProductoritsinstallationtocomplywithbuilding,electricalorothercodesorregulationsoflocal,stateorfederalagenciesorauthorities.

2.7Changes,Delays.Atanytimepriortodelivery,AAAmayrequestinwritinganysubstitutions,deviations,additions,ordeletions（hereinafterreferredtoasChanges）intheCarouselProductandinthespecificationsordrawingsincorporatedinthisAgreementorthePurchaseOrder.AllofthetermsandconditionsofthisAgreementshallapplytosuchChanges.IfBBB’sperformanceisdelayedbyanysuchChangesorbyothercauseswithincontrolofAAA,AAAagreestoreimburseBBBforreasonableanddocumentedexpensesincurredasaresultofsuchdelay,includingwithoutlimitation,thecostsofstoring,maintaining,repairing,andrefurbishingCarouselProduct,demurrage,laborandmaterialescalationandpulloutcharges.UponrequestbyAAA,BBBshallprovidetoAAAanitemizedlistofallsuchexpenseswithsupportingdocumentation.Insuchevent,AAAalsoagreestoexcusethedelayandacceptBBB’sperformanceatanyappropriatelydeferredcompletiondate.
