根据《中华人民共和国合同法》和有关法律法规的规定，乙方接受甲方的委托，为甲方产品开拓海外市场，双方经协商一致，签订本合同。

AccordingtoContractLawofthePeople'sRepublicofChinaandtheprovisionsofrelevantlawsandregulations,PartyAherebyappointsPartyBtodevelopoverseasmarket.BothPartieshaveagreedtosignthisContract.

第一条：

委托事项

1.TheEntrustedMatters

甲方委托乙方联系公司（以下简称“采购方”），并促成甲方与采购方就产品的采购签订货物买卖合同。

PartyAherebyappointsPartyBtocontact（Purchaser）andtofacilitatethesigningofthepurchaseandsalecontractbetweenPartyAandPurchaserforthepurchaseofproduct.

第二条：

委托事项的具体要求

2.Obligations

（1）甲方与采购方交易的具体价格、交货方式、支付方式等交易条款由甲方与采购方双方协商约定。

Allthetradetermsincludingprice,paymentterm,delivery,etc.betweenPartyAandPurchaserarenegotiatedandagreedbyPartyAandPurchaser.

（2）乙方承诺每年给甲方介绍______美元的销售额。

PartyBpromisestointroducetoPartyAtheannualsalesamountofUSD.

（3）乙方应协助甲方回收全额货款及提供最新的市场信息。

PartyBshallassistPartyAtorecoverthefullpaymentandprovidethelatestmarketinformation.

（4）合同有效期内，乙方应采取适当措施对本合同项下的任何资料或信息予以严格保密，未经甲方的书面同意，乙方不得泄露给任何第三方。

Duringthetermhereof,PartyBshalltakeappropriatemeasurestokeepstrictlyconfidentialanymaterialsorinformationhereunder,andshallnotdisclosesuchinformationtoanythirdpartywithoutthewrittenconsentofPartyA.

（5）乙方保证：

提供的本合同项下服务合法合规，不存在商业贿赂；不存在与采购方的关联关系，或与采购方联合、串通交易、收取采购方回扣等行为；不存在侵犯甲方或第三方权利的行为。

PartyBguaranteesthattheservicesprovidedhereunderarelegalandcompliant,andthereisnocommercialbribery;ThereisnorelationshipbetweenPartyBandPurchaser,oranycombination,collusiontransactions,andkickbackswiththepurchaser;ThereisnoviolationoftherightsofPartyAorathirdparty.

第三条：

佣金的计算、给付方式、给付时间

3.Calculationofcommission,paymentmethodandtime

（1 ）佣金率及支付方式：

凡甲方与采购方在本合同有效期内签订的货物买卖合同，甲方在收妥采购方每笔交易全部货款后，将按发票净售价付给乙方百分之     佣金。

为了结算方便，佣金每月（季）汇付一次。

如有退货，乙方应将有关佣金退还甲方。

Rateofcommissionandpaymentmethod:

InthesalescontractsignedbyPartyAandPurchaserwithinthevalidityperiodofthisContract,PartyAshallpayPartyBacommissionof%ofthenetsellingpriceofinvoiceuponreceiptofthefullpaymentforeachtransactionfromPurchaser.Forconvenienceofsettlement,thecommissionshallberemittedmonthly（quarterly）.Incaseofanyreturnofgoods,PartyBshallrefundtherelevantcommissiontoPartyA.

（2）计算基础：

上述“发票净售价”系指甲方开出的“产品”发票上的总金额（或毛售价）减去下列费用后的金额：

①关税及货物税，②包装、运费和保险费，③商业折扣和数量折扣，④退货的货款，⑤延期付款利息，⑥乙方佣金。

Basisofcalculation:

Theabove“netsellingpriceofinvoice”referstotheamountofthetotalamount（orgrosssellingprice）onthe“product”invoiceissuedbyPartyAminusthefollowingfees:

1.Customsandexcise,2.Packing,freightandinsurance,3.Commercialdiscountsandquantitydiscounts,4.Priceofreturnedgoods,5.Interestofdeferredpayment,6.CommissionofPartyB.

第四条税费

4.TaxesandDuties

（1）中华人民共和国政府根据其税法对甲方征收的与执行本合同或与本合同有关的一切税费均由甲方负担。

AlltaxesimposedbythegovernmentofthePeople'sRepublicofChinaonPartyAinaccordancewithitstaxlawinconnectionwiththeexecutionofthisContractorinconnectionwiththisContractshallbebornebyPartyA.

（2）中华人民共和国政府根据中国税法和中华人民共和国政府与乙方国家政府签订的避免双重征税和防止偷逃所得税的协定而向乙方课征的各项税费均由乙方支付，甲方有义务依据本国的税法对乙方根据本合同而应得的收入按比例代扣一定的税费并代向税务机关缴纳。

AlltaxesandfeesimposedbytheGovernmentofthePeople'sRepublicofChinaonPartyBinaccordancewiththeChinesetaxlawandtheagreementsbetweentheGovernmentofthePeople'sRepublicofChinaandthegovernmentofPartyBtoavoiddoubletaxationandpreventincometaxevasionshallbepaidbyPartyB.PartyAisobligedtowithholdacertainamountoftaxesonPartyB'sincomeunderthisContractinaccordancewiththedomestictaxlawandpayittothetaxauthorities.

（3）中华人民共和国以外所发生的与本合同有关和履行本合同的各项税费均由乙方承担。

AlltaxesanddutiesarisingoutsidethePeople'sRepublicofChinainconnectionwithandintheexecutionofthisContractshallbebornebyPartyB.

第五条：

违约责任

5.Liability

如乙方与采购方私下达成交易并从中收取回扣及违反本合同第二条的约定的，甲方有权终止本协议，有权不向乙方支付全部佣金，并有权要求乙方赔偿甲方全部损失。

IfPartyBandPurchaserprivatelyreachtransactionsandreceiveskickbacksfromthemandviolatetheprovisionsofArticle2ofthiscontract,PartyAhastherighttoterminatethisContract,nottopayallcommissionstoPartyB,andtorequestPartyBtocompensatePartyAforalllosses.

第六条：

协议仲裁

6.ArbitrationAgreement

（1）凡因本合同引起的或与本合同有关的任何争议，均应提交中国国际经济贸易仲裁委员会，按照申请仲裁时该会现行有效的仲裁规则在深圳进行仲裁，仲裁裁决是终局的，对双方均有约束力，仲裁适用中华人民共和国法律。

AnydisputearisingfromorinconnectionwiththisContractshallbesubmittedtoChinaInternationalEconomicandTradeArbitrationCommissionforarbitrationwhichshallbeconductedinShenzheninaccordancewiththeCommission'sarbitrationrulesineffectatthetimeofapplyingforarbitration.ThearbitralawardisfinalandbindinguponbothpartiesandtheapplicablelawisthelawofthePeople'sRepublicofChina.

（2）除非另有规定，仲裁不得影响合同双方继续履行合同所规定的义务。

Unlessotherwiseprovidedfor,arbitrationshallnotaffectthecontinuedperformanceoftheobligationsundertheContractbybothparties.

第七条：

条款变更

7.Changes

本协议条款的修改必须经协议双方签字盖章方能生效。

ModificationstothetermsofthisContractshallbesignedandsealedbybothpartiestogointoeffect.

第八条：

适用的法律

8.GoverningLaw

本合同的法律含义、效力、履行等均受中华人民共和国法律管辖。

Thelegalmeaning,validityandperformanceofthisContractshallbegovernedbythelawsofthePeople'sRepublicofChina.

第九条：

特别约定

9.SpecialClause

本合同一式肆份，双方各执贰份，具有同等法律效力。

中英文版本如有冲突，以中文版本为准。

This Contract has been drawn up in four identical copies, of which two copies for each party.TheChineseversionofthesetermsandconditionsshallprevailwhereverthereisadiscrepancybetweentheEnglishandChineseversions.

第十条：

履行

10.Implementation

本合同双方签字盖章即为有效。

本合同有效期自合同生效之日起为______年。

本合同期满时，合同项下的任何未了的债权债务不受合同期满的影响。

ThisContractshallbevaliduponsignatureandsealbybothparties.ThisContractshallbevalidandremaininforcefor_yearsfromthedateofeffectiveness.UponexpirationofthisContract,anyoutstandingclaimsanddebtsunderthisContractshallnotbeaffectedbytheexpirationofthisContract.

第十一条：
