TheInvestmentLawNo（13）of2006

InthenameofthepeopleThePresidencyCouncilPursuanttowhatwasapprovedbytheCouncilofRepresentativesandendorsedbythePresidencyCouncilandbasedontheprovisionsofparagraph（First）ofArticle（61）andparagraph（Third）ofArticle（73）oftheConstitution,thefollowinglawispromulgated:

TheInvestmentLaw

ChapterOne

Definitions

Article1

Thefollowingterms,wherevermentionedinthisLaw,shallhavethefollowingspecific

meaningsunlessthecontextindicatesotherwise:

A.TheCouncil:

TheCouncilofMinisters

B.NationalCommissionforInvestment:

TheCommissionestablishedinaccordancewiththislawresponsiblefordrawingupthenationalpolicyandlayingoutitsguidelinesandmonitoringtheimplementationoftheseguidelinesandinstructionsininvestment.Itshallspecializeininvestmentprojectsofafederalnatureexclusively.

C.Region'sCommission:

Theinvestmentcommissionoftheregionresponsibleforgrantinginvestmentlicensesintheregion.

D.GovernorateCommission:

Theinvestmentcommissionofthegovernoratenotorganizedinaregionresponsibleforinvestmentplanningandgrantinginvestmentlicensesinthegovernorate.

E.TheCommission:

TheNationalCommissionforInvestmentortheRegion'sCommissionortheGovernorateCommissionasthecase.

F.ChairmanoftheCommission:

TheChairmanoftheNationalCommissionforInvestment

G.TheProject:

Theeconomicactivitysubjecttotheprovisionsofthislaw. 

H.TheAssets:

Thetools,apparatuses,equipments,machineries,requirements,  gear,transportationmeansandofficefurniturespecifiedforexclusiveusein theproject,andthefurniture,furnishingsandtherequirementsofthehotels, touristcities,hospitals,schoolsandcolleges 

I.TheForeignInvestor:

IstheinvestorwhodoesnotholdtheIraqinationalityinthecaseofarealperson,andisregisteredinaforeigncountryinthecaseofajuridicalorlegalperson

J.TheIraqiInvestor:

IstheinvestorwhoholdsIraqiNationalityincaseofarealpersonandisregisteredinIraqinthecaseofajuridicalorlegalperson.

K.TaxesandFees:

Alltypesoftaxesandfeesleviedinaccordancewiththeapplicablelaws.

L.Thedesignedproductioncapacity:

Istheproductioncapacitydesignedwithinaspecificunitoftime（hour,unit,day...etc）inaccordancetowhatisfixedinthedocumentsincomingwiththemachinesofthesupplier.

M.InvestmentPortfolio:

Acollectionofinvestmentsinsharesandbonds. 

N.Investment:

Istheinvestmentofcapitalinanyeconomicorserviceactivityorprojectthatresultsinalegitimatebenefitforthecountry.

GoalsandMeans

Article2

Thislawaimsatthefollowing:

First:

TopromoteinvestmentandtransfermoderntechnologiesinordertocontributetotheprocessofdevelopingandenhancingIraq,andexpandinganddiversifyingitsproductionandservicebase.

Second:

ToencouragetheIraqiandforeignprivatesectortoinvestinIraqbyprovidingtherequiredfacilitiesforestablishinginvestmentprojectsandenhancingitscompetitivecapacitiesinthelocalandforeignmarketsforprojectsincludedinthislaw.

Third:

TodevelophumanresourcesbasedonmarketdemandsandprovideworkopportunitiesfortheIraqis.

Fourth:

Toprotecttherightsandpropertiesofinvestors.

Fifth:

ToexpandexportsandimprovethebalanceofpaymentsandthebalanceoftradeofIraq.

Article3

Thefollowingmeansshallbeadoptedtorealizetheobjectivesofthislaw:

First:

Tograntprojectscoveredbytheprovisionsofthislawthenecessaryprivilegesandguaranteesforitscontinuationanddevelopmentbyprovidingsupportinawaythatenhancesthecompetitivecapacitiesoftheseprojectsinthelocalandforeignmarkets.

Second:

TograntprojectsthatobtainedaninvestmentlicensefromtheCommission,additionalfacilitiesandexemptionsfromtaxesandfeesinaccordancewiththestipulationsofthislaw.

ChapterTwo

TheNationalCommissionforInvestmentandthe

InvestmentCommissionsintheRegionsandGovernorates

Article4

First:

ACommissionshallbeestablishedandcalledthe"TheNationalCommissionforInvestment".ItshallenjoyajuridicalpersonalityandshallberepresentedbytheChairmanoftheCommissionorthepersonauthorizedbyhim.Itshallberesponsiblefordrawingupthenationalpoliciesforinvestmentanddrawingupitsplans,regulationsandguidelinesaswellasmonitoringtheimplementationoftheseguidelinesandinstructionsininvestment.Itshallspecializeinstrategicinvestmentprojectsofafederalnatureexclusively.

Second:

TheNationalCommissionforInvestment"shallbemanagedbyaBoardofDirectorscomprisedofninememberswhomustbecompetentandspecialized,andholdacollegedegreethatsuitsthespecialtyoftheCommission.Theymustnothavebeensentencedforafelonyormisdemeanorofmoralturpitude,orhavedeclaredtheirbankruptcy

Third:

A.UponarequestbythePrimeMinister,theCouncilofMinistersshallnominateaChairmanoftheCommissionatagradeofMinisterandaDeputyChairmanatagradeofDeputy-MinisterforaperiodoffiveyearsandpresentthemtotheCouncilofRepresentativeforapproval.

B.ThePrimeMinistershallappointfourmembersforaperiodoffiveyearsatagradeofDirectorGeneral.

C.ThePrimeMinistershallselectthreemembersfromtheprivatesectorforfiveyearsaftertheirnominationbyChairmanoftheCommissionandspecifyingtheircompensationsaccordingtothebylaws.

D.AttheconclusionofthemembershipofanymemberoftheCommissionreferredtoinParagraph（AandB）ofthisArticleincasesnotinvolvingdismissalandresignation,thePrimeMinistershallassignthemtoanygovernmentalentityatthesamegrade.Thosementionedin（A）ofthisarticleshallberetiredonpensionwhennotassignedtoagovernmentpositionequivalenttotheirgrade.

E.TheCouncilofRepresentativesmaydirectlydismisstheChairmanoftheNationalCommissionforInvestmentandhisDeputy,oruponarequestbythePrimeMinisterforcompellingreasons.

F.TheCouncilofMinistersmaydismissorreplaceanymemberoftheCommissionorreplacehimwithothersincasehedoesnotadheretothestandardsandregulationsoftheCommission.

G.TheBoardofDirectorsoftheNationalCommissionforInvestmentshallmeetattheinvitationofitsChairman.AbylawissuedbytheCommissionshallspecifythequorum,decisiontaking,makingrecommendationsandthecourseofworkoftheCommissionandanyotherissue.

H.TheNationalCommissionforInvestmentshallbeconnectedtothePrimeMinister.

I.ThesalaryscaleandentitlementsoftheCommission'semployeesshallbedeterminedbyadecisionofthePrimeMinisterbasedonaproposalfromtheChairmanoftheNationalCommissionforInvestment.

Fourth:

TheCommission'sheadquartersshallbeinBaghdadanditmayappointrepresentativesintheregionsandgovernorates.

Fifth:

TheNationalCommissionforInvestmentshalldrawupanoverallnationalstrategicpolicyforinvestmentidentifyingthemoreimportantofthesectorsandshallprepareamapofinvestmentprojectsinIraqinthelightoftheinformationitreceivesfromtheregionsandgovernorates.Itshallalsopreparelistsofinvestmentopportunitiesinstrategicandfederalinvestmentprojectswithinitialinformationabouttheseprojectsandmakingitavailabletothosewishingtoinvest.

Article5

First:

Theregionsandgovernoratesnotorganizedinaregionmayforminvestmentcommissionsintheirareas.Thelattershallenjoythepowersofgrantingtheinvestmentlicenses,investmentplanning,promotinginvestmentandopeningbranchesintheirareaswithintheprovisionsofthislawinconsultationwithNationalCommissionforInvestmenttoguaranteetheavailabilityofthelegalconditions.

Second:

theInvestmentCommissionsoftheregionsandgovernoratesshallbecomposedofatleastsevenmembersincludingthechairmanandthevicechairmanofatleastsevenyearsofexperienceandcompetenceandwithauniversitydegreeappropriatetothespecializationofthecommissionandnotconvictedinafelonyoramisdemeanorinvolvingturpitudeorhasdeclarehisbankruptcy.

Third:

TheregionsandgovernoratesnotorganizedinaregionshallestablishamechanismofformingtheinvestmentcommissionoftheregionandthegovernorateandremovingtheCommission'smembersincasehe/shedoesnotadheretothestandardsandchartersoftheCommissioninawaywhichisnotinconflictwiththeprovisionsofthislaw.

Fourth:

TheInvestmentCommissionsoftheregionsandgovernorateshallcoordinatetheirworkwiththeNationalCommissionforInvestment,andshallcoordinateandconsultwithlocalgovernmentsregardinginvestmentplansandfacilities.

Fifth:

Theregionsandgovernoratescommissionsshalldrawuptheirinvestmentplaninawaythatdoesnotcontradictwiththefederalinvestmentpolicyandshall preparelistoftheinvestmentopportunitiesintheareasthataresubjectthereto,   withinitialdataabouttheseprojectsandofferittothosewishingtoinvest.

Sixth:

Theregion'sCommissionshallbeconnectedtothePrimeMinisteroftheregionandissubjecttothescrutinyoftheregion'sCouncil.Thegovernorate commissionshallbeconnectedtotheGovernorandissubjecttothescrutinyofthegovernoratecouncilinwaythatdoesnotcontradictwiththeprovisionsofthislaw.

Seventh:

RegionsandGovernoratesCommissionsboardofdirectorsshallconvene uponaninvitationfromtheirchairman.Thequorumofconveningandadoptingresolutionsandrecommendationsshallbedeterminedbyabsol
