ORIGINALEQUIPMENTMANUFACTURERAGREEMENT

InformixSoftware,Inc.（'Informix'）,andthepersonorentitylisted

inthesignatureblockbelow（'Licensee'）herebyagreethat,afterexecutionof

thisagreement（this'Agreement'）bytheparties,thetermsandconditionsof

PartIandPartII,shallapplytoLicensee'suseoftheProducts.All

capitalizedtermsusedhereinandnototherwisedefinedaredefinedinPartII,

sectionH.

PARTI.

1.APPOINTMENTOFLICENSEE:

（a）InformixappointsLicenseetoactasan'OriginalEquipmentManufacturer'or

'OEM'.AnOEMdevelops,ownsandlicenses,tomorethanoneResellerorEnd

User,anEndItemwiththeOEM'sApplicationandaProductsoembeddedinthe

EndItemthattheProductisinvisibletotheEndUser.

（b）TheProductsmaybedistributedworldwide（'Territory'）.

（c）ThetermofthisAgreementshallcommenceonJanuary1,1999andcontinue

throughMarch31,2000.Thereafter,theAgreementshallautomaticallyrenewfor

twoadditionaloneyeartermsunlessearlierterminatedinaccordancewithPart

II,sectionF.

（d）LicenseeshallmanufacturetheobjectcodeportionoftheRuntimeProducts

inaccordancewithPartII,sectionA.7.

2.SERVICES.

ForProductsusedbyLicenseeinaccordancewiththetermsofthisAgreement,

LicenseeshallpurchasefromInformixINFORMIX-OpenLineforDevelopmentProducts

andINFORMIX-AssuranceforRuntimeProducts（INFORMIX-Assuranceand

INFORMIX-OpenLinearereferredtocollectivelyas'Services'）.

3.PRODUCTSANDSYSTEMS.

（a）TheProductsassucharemadegenerallycommerciallyavailablefromInformix

arelicensedforuseinaccordancewiththeUserDocumentationandthis

Agreement.TheProductsandortheirsuccessorswillbecommerciallyavailable

andsupportedbyInformixforthetermoftheAgreement.

（b）TheProductsmayonlybeusedonthecomputersonwhichInformixhasmade

theProductsgenerallycommerciallyavailable（'ComputerSystems'）.

4.INFORMIX'SFEES.

（a）（i）ForeachcopyoftheApplicationthatLicenseelicensestoareselleror

acustomer,LicenseeshallpayafeetoInformix[*].

5.PAYMENT.

（a）Duringthecalendaryearof1999,LicenseewillpayInformixthe[*],duein

connectiontothepreviouslicenseoftheProductsspecifiedinExhibitA,for

calendaryears1997and1998,[*]

6.ADDITIONALPROVISIONS.

（a）Licenseeanditsauthorizedresellersshallhave'DemonstrationRights'

solelytodemonstratetheRuntimeversionoftheProductforuseinconjunction

withtheApplicationtoprospectivecustomers.

（b）Licenseeanditsauthorizedresellersshallhaveevaluationsublicensing

rights,forevaluationpurposesonly,tosublicensetheRuntimeversionforuse

inconjunctionwiththeApplicationbyprospectivecustomers.[*]

（c）Licenseemayelecttohavedatawarehouseconsultingservicesortraining

coursesprovidedbyInformix[*].

（d）InformixandLicenseeherebyagreetoholdProductupdateandaccountreview

meetingseverycalendarquarteronamutuallyagreedschedule.

（e）TheProductsand/ortheirsuccessorswillbecommerciallyavailableand

supportedbyInformixthroughoutthetermoftheAgreement.

PARTII

A.Licensee'srights,representationsandobligations.

1.InformixherebygrantsandLicenseeherebyacceptsthenonexclusive,

nontransferable,royalty-bearingrightandlicensewithintheTerritoryandin

accordancewiththeUserDocumentationandthisAgreement:

（a）tointernallyusetheProductsontheComputerSystemstodevelopitsEnd

Item;（b）todistributetheProductsontheComputerSystemswith,andforuse

byEndUsersSolelyasacomponentin,theEndItemandnotasacomponentinor

forusewithanyotherenditem,solution,orapplication;and

（b）tomanufacturetheobjectcodeoftheProductsasspecifiedinPartI.

2.（a）LicenseeshallneverdistributeProductsonastandalonebasis.（b）The

objectcodeofProductsshallbedistributedinunalteredform.

3.AllfeeschargedbyLicenseeshallbeinLicensee'ssolediscretion.

4.Licenseemaymake1back-upcopyofProductsusedinternallytodevelopEnd

Items.

5.NoProductsshallbedistributed,eitherdirectlyorindirectly,toanEnd

UserortoaReseller,priortoLicenseeensuringthatboththeEndUserandthe

Reseller（ateachtier）areboundbyprovisionswhichareasequallyprotective

ofInformix'srightsasthosesetforthinPartII,sectionsA,'Licensee's

Rights,RepresentationsandObligations'（andincludinglimitingtheEndUserto

usingtheProductssolelyasacomponentintheEndItemandnotasacomponent

inanyotherenditem,solution,orapplication）,B,'Confidentiality,'D,

'LimitedWarrantiesandRemedies,andF,'Termination.'AtInformix'srequest,

LicenseeshallsupplyInformixwithacopyoftheform（s）ofeachsuchwritten

agreement,includinganEnglishtranslationiftheagreementiswrittenina

languageotherthanEnglish.

6.ExceptasspecificallypermittedbythisAgreement,Licenseeshallnot

directlyorindirectly（a）useanyConfidentialInformationofInformixto

createanycomputersoftwareprogramoruserdocumentationwhichis

substantiallysimilartoanyProduct;（b）reverseengineer,disassembleor

decompile,orotherwiseattempttoderivethesourcecodefor,anyProduct;（c）

encumber,time-share,rentorleasetherightsgrantedbythisAgreement;or（d）

copy,manufacture,adapt,createderivativeworksof,translate,localize,port

orotherwisemodifyanyProductsorotherConfidentialInformationofInformix

orgrantanyonealicensetoengageinsimilarconduct.Resultsofanybenchmark

orotherperformancetestsrunontheProductsmaynotbedisclosedtoanythird

partywithoutInformix'spriorwrittenconsent.

7.AsLicenseedistributestheProductsaspartofanEndItemsuchthatthe

proprietarynoticesarenotvisibletoanEndUser,themanualaccompanyingthe

EndItemshallcontainthefollowingnotice:

'Portionsofthisproductarebased

uponcopyrightedmaterialsofInformixSoftware,Inc.,'orsuchotherphraseas

thepartiesmaymutuallyagree,whichstatesthattheApplicationcontains

LicensedSoftware.

8.Licenseedoesnothave,andshallnotclaimthatithas,anyrightinorto

anyoftheProductsortheConfidentialInformationreceivedfromInformixother

thanasspecificallygrantedbythisAgreement.Licenseeshallpromptlynotify

InformixofanyactualorsuspectedunauthorizeduseoftheProductsoruseor

disclosureoftheConfidentialInformationreceivedfromInformix,andshall

providereasonableassistancetoInformix（atInformix'sexpense）inthe

investigationandprosecutionofsuchunauthorizeduseordisclosure.

9.IfLicenseeislocatedinamemberstateoftheEuropeanEconomicCommunity,

itmayengageinsuchconductasisnecessarytoensuretheinteroperabilityof

theProductsinaccordancewiththeEuropeanCommunity'sDirectiveonProtection

ofComputerSoftware（Brussels14May1991）andlocalenactmentthereof.

Additionally,useoftheProductsasdescribedintheUserDocumentation,

includingcreationofanApplication,shallnotbeconsideredusingtheProducts

tocreatederivativeworksbutshallbeconsideredamodificationofthe

ProductsforpurposesofInformix'slimitedwarrantyinsectionD.

10.LicenseeshallcomplywiththeExportLaws.LicenseeherebyassuresInformix

thatitwillnotexportorre-exportdirectlyorindirectly（includingvia

remoteaccess）anypartoftheProduct（s）oranyConfidentialInformationtoany

countryforwhichavalidatedlicenseisrequiredundertheExportLawswithout

firstobtainingavalidatedlicense.IfatanytimeInformixdeterminesthelaws

ofanycountryareorbecomeinsufficienttoprotectInformix'sintellectualor

proprietaryrightsintheProducts,Informixreservestherighttorestrictor

terminateLicensee'sanditsResellers'rightstouseordistributeP
