凭本合同买方同意购买和卖方同意出售下列货物到中国，所要求的条件与条款描述如下:

2."DryBasis"meansironoredriedat105degreescentigrade.

干基：

指铁矿石在105摄氏度下的状态。

3."MetricTon"equals1000kg.whichequalsalongtonof2204.6poundsavoirdupois.

公吨：

指一吨为2204.6磅的重量吨。

4."DryMetricTon"（Hereinafterreferredtoas"DM/T"）meansametrictonofironoredriedat105degreescentigrade.

干公吨（以下称为DM/T）：

指在105摄氏度下铁矿石的重量。

5."WetMetricTonBasis"/"WetBasis"meansironoreinitsnaturalwetstate（Hereinafterreferredtoas"WM/T"）meaningametrictonofironoreinitsnaturalstate.

湿公吨（以下称为WM/T）：

指在自然湿度状态下铁矿石的重量。

第一次交货三万干公吨于信用证被接受后的45天内交货；对于每个月数量于信用证接受后交货。

4.Toleranceofdeliveryquantity交货数量之允差

10%moreorlessdeliveryattheSeller’soptiononeachvesselisallowed.TheSeller

shallnotifytheBuyersuchmoreorlessdeliveryduringvesselnomination.

每船运量,装载重量增或减10%是被允许的,卖方应于确定货船的时候通知买方有

多装或少装多少货物。

Article4. PRICE&PRICEADJUSTMENTS（价格及价格调整）:

（4.1）BASEPRICE（CFRBASIS）基本价格

ThebasicunitpriceisUSD$128perDryMetricTon（Original8%WaterContent）CIFXXXport,XXXChina.

基准价格美金128元，CFR中国XXXX港口每干基吨（原8%含水量）。

（4.2）PRICEADJUSTMENT价格调整

BothSellerandBuyeragreethatthepricewillbenegotiatedperthreemonthsbasedonthedateofcontractvalidandeffective,before20daysofthebasisdate,bothpartiesshalltonegotiatethepriceandtheconclusionshallbemadeinwrittenpaperrecordasagreementandsignedbybothparties，thisnewpriceagreementcanbesendthroughcurrierorbyfax,andaphoto-copysendbyemailtobothpartiesisacceptable.

买卖双方自第一次执行本合约之日起，每三个月议价一次，议价基准日前20天买卖双方议价，议价结果以书面协议并经双方签署为依据，此书面协议可以用快递传递，或是传真，或是以一份光学复印件用电子邮件传递给双方也可接受。

IntheeventthattheshipmentdoesnotmeetthechemicalcompositionspecificationsmentionedinArticle3,commercialinvoicevaluewillbeadjustedbasedonpriceadjustment,fractionspro-rata,asfollows:

如果货物不符合在条款3所列化学成份规格,发票价值将根据价格调整比例调整如下:

1.Foreach0.1%ofFeabove63%,thebasepriceshallbeincreasedbyUSD0.30perMetricTon,orfractionpro-rata.Foreach0.1%offebelow63%,thebasepriceshallbedecreasedbyUSD0.3permetricton,orfractionpro-rata.Buyerhasrightstodecreasethepriceaccordingtothefractionpro-rataifFecontentisbelow63%.

含铁（Fe）量超出63%，每增加0.1%基础价格每公吨增加美金0.30元，不足者按比例计算；含铁（Fe）量在63%,每降低0.1%基础价格每公吨减少美金0.3元，不足者按比例计算。

含铁量低于63%,买方有权照比例降低价格。

2.IfSiO2contentisover4%,therewillbeapenaltyofUSD0.10perMetricTonforeach0.1%ofSiO2inexcessof4%,orfractionpro-rata.TheBuyerhastherighttorejectthegoodsiftheSiliconeDioxide（SiO2）ishigherthan6%.

如果二氧化硅（SiO2）含量高于4%，高于4%的每0.1%每公吨的罚款为美金0.10元，实际罚款按此比例计算。

如果二氧化硅的含量高于6%，买方有权拒收。

3.IfAl2O3contentisover3.5%,therewillbeapenaltyofUSD0.10perMetricTonforeach0.1%ofAl2O3inexcessof3.5%,orfractionpro-rata.TheBuyerhastherighttorejectthegoodsiftheAl2O3ishigherthan4.0%.

如果三氧化二铝（Al2O3）含量高于4%，高于4%的每0.1%每公吨的罚款为美金0.10元，实际罚款按此比例计算。

如果三氧化二铝的含量高于4%，买方有权拒收。

4.IfPcontentisover0.09%,therewillbeapenaltyofUSD0.10perMetricTonforeach0.01%ofPinexcessof0.09%,orfractionpro-rata.TheBuyerhastherighttorejectthegoodsifthePhosphorus（P）ishigherthan0.1%.

如果磷（P）含量高于0.09%，高于0.09%的每0.01%每公吨的罚款为美金0.10元，实际罚款按此比例计算。

如果磷的含量高于0.1%，买方有权拒收。

5.IfScontentisover0.09%,therewillbeapenaltyofUSD0.10perMetricTonforeach0.01%ofsinexcessof0.09%,orfractionpro-rata.TheBuyerhastherighttorejectthegoodsiftheSulfur（s）ishigherthan0.1%.

如果硫（S）含量高于0.09%，高于0.09%的每0.01%每公吨的罚款为美金0.10元，实际罚款按此比例计算。

如果硫的含量高于0.1%，买方有权拒收。

6.IfTiO2contentisover0.5%,therewillbeapenaltyofUSD0.10perMetricTonforeeach0.01%ofTiO2inexcessof0.75%,orfractionpro-rata.TheBuyerhastherighttorejectthegoodsiftheTitaniumDioxide（TiO2）ishigherthan0.1%.

如果二氧化钛（TiO2）含量高于0.5%，高于0.2%的每0.1%每公吨的罚款为美金0.10元，实际罚款按此比例计算。

如果二氧化钛的含量高于0.75%，买方有权拒收。

7.Ifthesizeofbeyond10~50mmisover20%,therewillbeapenaltyofUSD0.10perMetricTontobeappliedtosuchexcessquantity.

颗粒在10~50MM（毫米）之外的铁矿石不得超过货物的20%，高于20%的每公吨的罚款为美金0.10元。

RECEIPTCOMMERCIALINVOICEDRYWEIGHT

=ExaminedWeightofDraftSurveyx[100%–（ExaminedFreeMoistureloss%–8%）].

接受发票干顿重量=水呎检测重量x[100%–（105℃检测含水量%–8%）]。

Article5. PAYMENTINSTRUMENTANDPERFORMANCEBOND（付款工具与履约保函）

（a）1.Payment:

（b）ponthisContracthavingbeensigned,within3bankingdaysBuyershallissuetheLCdraft–theatsignLCmustagreetopaythecargobyFOBpriceandFreightcostcandividetonominatedshippingagenttoSeller,ThenSellershallissuethenonoperativePerformanceGuaranteeacceptablebyBuyerwithin3（Three）workingdaysthroughSeller’sbankandthePerformanceGuaranteeinfavoroftheBuyer.ThevalueofthePerformanceGuaranteeshallbe2%ofthevalueofeachshipment.AfterreceivingthePerformanceGuarantee,Buyershallopenanirrevocable,nontransferabledocumentaryLetterofCreditatsightinfavoredofsellerwithin3workingdaystoactivethePB.TheL/Camountshouldcoverthevalueof100%quantitytobedeliveredplusorminus10%.ThebankingchargesincurredinopeningtheLetterofCreditshallbebornebyBuyer.AllthebankingchargesincurredoutsidethePeople’sRepublicofChinainrelationtotheLetterofCreditshouldbebornebySeller.

（c）合同签订后，三个银行工作日内买方需开出信用证草本给卖方,此即期信用証上須註明貨物之FOB價錢並同意將運費分割給指定之船運代理公司,卖方于收到信用证草本三个工作日内，卖方将通过其银行，该银行要由买方接受，开出尚未生效以买方为受益人的履约保函，履约保函金额为每船货值的2%。

在收到履约保函后，买方在三个工作日内向卖方开立以卖方为受益人的、不可撤销的、不可转让的跟单即期信用证激活卖方开出之履约保函。

信用证总金额为合同规定数量的100%金额及合同允许该金额有上下10%的浮动。

开立信用证的费用由买方承担。

所有发生在中国境外与信用证有关的银行费用由卖方承担。

ThesaidLetterofCreditshallbepayablebytelegraphictransferpaymentbyopeningbankagainstSeller'sdraftatsightfortheamountoftheCFRvalueaccompaniedbythedocumentsasstipulatedinClause6（I）.95%paymentbyTheshipmentinspectionweightcertificateissuedbyCCICIndonesiabysurveyofship'sdrafttogetherwiththecertificateofanalysisofsampleandofthepercentageofthefreemoisturelossat105degreescentigradeissuedbyCCICIndonesiaand5%balancepaymentbyCIQshallbebasisforseller'scommercialinvoice.ThenontransferableLCmustdirectissuetoseller’sbank.

在此所述信用证，必须由开状银行针对卖方所提交之汇票以电汇转账支付CF价格货款，此汇票必须跟随提交的文件如合同第六条之1之规定；包括：

95%暂付款由装货港CCIC出示的以船舶水呎测量所得之重量证明，抽样成分分析证明，及摄氏105度下之自由水分损失百分比的证明档，和5%余款根据卸货港CIQ以及以这些档为基础所开立之商业发票。

此不可转让之信用证须直接开给卖方之银行.

The95%ofL/Cpaymentisprovisionalpaymentunderthecontract,thefinalpaymentshallbesettledaspertheClause6.2

95%的信用证付款为本合同项下的暂时付款，买卖双方最终结算依照第6.2款。
