Chapter6ResponsibilitiesofEachPartytotheJointVenture

PartyAandPartyBshallberespectivelyresponsibleforthefollowingmatters:
ResponsibilitiesofPartyA:
Handlingofapplicationsforapproval,registration,businesslicenseandothermattersconcerningtheestablishmentofthejointventurecompanyfromrelevantdepartmentsinchargeofChina;
Processingtheapplicationfortherighttotheuseofasitetotheauthorityinchargeoftheland;
Organizingthedesignandconstructionofthepremisesandotherengineeringfacilitiesofthejointventurecompany;Providingcash,machineryandequipmentandpremises...inaccordancewiththeprovisionsofArticle11;
AssistingPartyBtoprocessimportcustomsdeclarationforthemachineryandequipmentcontributedbyPartyBasinvestmentandarrangingthetransportationwithintheChineseterritory;
Assistingthejointventurecompanyinpurchasingorleasingequipment,materials,rawmaterials,articlesforofficeuse,meansoftransportationandcommunicationfacilitiesetc.;
Assistingthejointventurecompanyincontactingandsettlingthefundamentalfacilitiessuchaswater,electricity,transportationetc.;
AssistingthejointventureinrecruitingChinesemanagementpersonnel,technicalpersonnel,workersandotherpersonnelneeded;
Assistingforeignworkersandstaffinapplyingforentryvisas,worklicensesandhandlingtheirtravelprocedures;
Responsibleforhandlingothermattersentrustedbythejointventurecompany.
ResponsibilitiesofPartyB:
Providingcash,machineryandequipment,industrialproperty...inaccordancewiththeprovisionsofArticle11,andresponsibleforshipping
capitalgoodssuchasmachineryandequipmentetc.contributedas
investmenttoaChineseport;
Handlingthemattersentrustedbythejointventurecompany,suchas
selectingandpurchasingmachineryandequipmentoutsideChina,etc.;
Providingnecessarytechnicalpersonnelforinstalling,testingand
trialproductionoftheequipmentaswellasthetechnicalpersonnelfor
productionandinspecting;
Trainingthetechnicalpersonnelandworkersofthejointventure
company;
IncasePartyBisthelicensor,itshallberesponsibleforthe
stableproductionofqualifiedproductsofthejointventurecompanyin
thelightofdesigncapacitywithinthespecifiedperiod;
Responsibleforothermattersentrustedbythejointventurecompany.

Chapter7TransferofTechnology
Article15
BothPartyAandPartyBagreethatatechnologytransferagreement
shallbesignedbetweenthejointventurecompanyandPartyB（orathird
party）soastoobtainadvancedproductiontechnologyneededforrealizing
theproductionandoperationpurposeandtheproductionscalespecifiedin
Chapter4ofthecontract,includingproductdesign,manufacturing
technology,meansoftesting,materialsprescription,standardofquality
andthetrainingofpersonneletc.

Article16
PartyBoffersthefollowingguaranteesonthetransferoftechnology:

1.PartyBguaranteesthattheoveralltechnologysuchasthe
designing,manufacturingtechnology,technologicalprocess,testsand

providedtothejointventurecompanymustbeintegrated,preciseand
reliable.Itistomeettherequirementofthejointventure'soperation
purpose,andbeabletoobtainthestandardofproductionqualityand
productioncapacityspecifiedinthecontract;
2.PartyBguaranteesthatthetechnologyspecifiedinthiscontract
andthetechnologytransferagreementshallbefullytransferredtothe
jointventurecompany,andpledgesthattheprovidedtechnologyshouldbe
trulyadvancedamongthesametypeoftechnologyproducedbyPartyB,the
model,specificationandqualityoftheequipmentareexcellentanditis
tomeettherequirementoftechnologicaloperationandpracticalusage;
3.PartyBshallworkoutadetailedlistoftheprovidedtechnology
andtechnologicalserviceatvariousstagesasspecifiedinthetechnology
transferagreementtobeanappendixtothecontract,andguaranteeits
performance;
4.Thedrawings,technologicalconditionsandotherdetailed
informationarepartofthetransferredtechnologyandshallbeprovided
ontime;
