SECTION1.0AGREEMENTTOMANUFACTURE

1.1SCOPEOFWORK.DuringthetermofandsubjecttothisAgreement,BBBshallmanufacture,configureandtestanddelivertoAAA’scustomers,andAAAshallpurchasefromBBB,andBBBshallselltoAAA,suchquantitiesofunitsoftheproductsdescribedonExhibitAtothisAgreement（theProducts）asAAAmayorderfromtime-to-time,atthequotedpricessetforthonExhibitA.BBB’sobligationstomanufacture,configureandtestProductspursuanttothisAgreementshallnotcommenceuntil_________,_________,_________（M,D,Y）.EachProductshallbemanufactured,configuredandtestedaccordingtoAAA’sspecificationsforsuchProduct,whichareorwillbe（priortooratthetimeoforder）agreedto,inwriting,byAAAandBBB（theSpecifications）,and,asnecessary,debuggedpursuanttoSection6.0BbelowinanefforttoensurethatsuchProductmeetstheSpecifications.AAAshall,upontheeffectivedateofthisAgreementandweeklythereafterduringthetermofthisAgreement,giveBBBawrittenforecastofthegenericProducts,bytype,quantityandexpecteddeliverydate,（theForecast）forwhichitexpectstoreceivedeliveryduringtheimmediatelysucceedingninety（90）dayperiod.AForecastwillbedeemedtoconstituteabindingpurchaseorderwithrespecttogenericProducts,subjecttotheprovisionsofthisAgreement.Inaddition,AAAshall,fromtime-to-time,issuetoBBBapurchaseorder,intheformattachedtothisAgreementasExhibitB,forconfiguredProducts,bytype,quantityanddeliverydate,asandwhenitdesirestoorderconfiguredProductspursuanttothisAgreement.

1.2CONSIGNEDCOMPONENTS.

A.UponrequestfromBBB,AAAmay,atitselection,consigncomponentsofProductstoBBB.AllconsignedcomponentswillbedeliveredtoBBBinamutuallyagreedpackagetype,andinsufficienttimeandinsufficientquantitiestoallowBBBtomeetscheduleddeliverydatesfortheapplicableProducts.Allconsignedcomponentsshallbeingoodcondition.AAAassumescompleteliabilityforthequalityofallconsignedcomponentsandBBBshallnotberesponsibleforanydefectsthereinorfailuresthereof.BBBshallberesponsibleforinventoryshrinkageofconsignedcomponentsafteritsreceiptofsuchcomponentsandforensuringthatappropriatephysicalcontrolsofsuchcomponentsareinplaceandproperlyadministered.

B.NotwithstandinganyimplicationtothecontraryinsubparagraphAabove,BBBshallbeobligatedtoaccountforallofthecomponents,specificallyidentifiedbythepartiesatorpriortoanyconsignment,thatareconsignedtoBBB.Accordingly,ifanysuchcomponentisdamaged,lostordestroyedinthemanufacturing,configurationortestingprocess,BBBshallberesponsible,atAAA’selection,forreplacingsuchcomponentatitsownexpenseorpayingAAAanamountforsuchcomponenttobeagreeduponbyAAAandBBB;provided,however,BBBshallhavenoresponsibilityforanysuchyieldlossesforanyclassofcomponentuptotheamountsagreeduponbytheparties.NoconsignedcomponentshallbedeemedtobedefectiveortohavefailedunlessBBBhasreasonableproofthatitwasdefectiveorfailed.

1.3USEOFEXISTINGINVENTORY.AssoonaspracticableaftertheeffectivenessofthisAgreement,AAAwillprovidetoBBBon-lineaccesstoitsinventoryofcomponentsavailableforuseinProducts,allofwhichwillbestoredataAAAfacility.TotheextentanysuchcomponentsareavailableforuseinProductsorderedbyAAA,BBBwilluseAAA’sinventoryofsuchcomponentsinsuchProductsratherthanpurchasesuchcomponents.BBBshallpaytoAAABBB’sthenquotedpurchaseprice,assetforthonExhibitAheretooranyamendmentthereto,foranysuchcomponentsBBBuseswithinthirty（30）daysofitsreceiptofsuchcomponents;provided,however,AAAmaycreditagainstanyportionofitspurchasepriceforProductsanyunpaidamountsBBBisobligatedtopayAAAforitscomponents.

SECTION2.0PURCHASINGANDOTHERMATTERS

2.1PURCHASEORDERS.PurchaseordersforconfiguredProducts（andForecastsforgenericProducts）maybedeliveredtoBBBbyanyreasonablemeans,includingbutnotlimitedtopostaldelivery,courierdelivery,facsimiletransmission,andelectronicmail.ReceiptofeachpurchaseorderwillbepromptlyconfirmedbyBBB.BBBshallnotbeboundbyanytermorconditiononapurchaseorderthatisinconsistentwiththisAgreementoranyofitsexhibitsexcepttotheextentmutuallyagreedbytheparties.IfBBBbelievesitwillbeunabletomeetthedeliverydatessetforthinanypurchaseorderandnotifiesAAAofthatconcernandsuggestedalternativedeliverydateswithintwobusinessdaysofitsreceiptofsuchpurchaseorder,BBBandAAAwillnegotiateingoodfaithtoagreeuponanacceptabledeliverydate.BBBshall,withintwobusinessdaysofitsreceiptofapurchaseorder,acceptorrejectsuchpurchaseorder;provided,however,exceptasprovidedabove,BBBshallbeobligatedtoacceptallpurchaseordersforProductswithrespecttowhichapricehasbeenmutuallyagreedbytheparties.Thepartiesshallholdweeklymeetings（inpersonatAAA’sfacilityorbyconferencephonecall）forthepurposeofdiscussingAAA’sexistingandcontemplatedForecastsandorderrequirements;provided,however,onlywrittenForecastsandpurchaseorders,orwrittenmodificationsthereto,shallbindAAApursuanttothetermsofthisAgreementorotherwise.Theparties,asbusinessrequirementsdictate,maymutuallyagreeupontheuseofblanketpurchaseordersforspecificsub-assembliesorcomponents,subjecttothetermsofthisAgreement.

2.2PURCHASEORDERRELEASES.BBBmaymakepurchasecommitmentstosuppliersbasedupontheForecastsandpurchaseordersreceivedfromAAA;provided,however,notwithstandinganysuchcommitments,AAAshallonlyhavesuchobligationtopurchaseunitsofProductsorcomponentsorsub-assembliesthereofasisspecificallysetforthinthisAgreement.AAAshallonlybeobligatedtoBBBforcomponentsandsub-assembliesorderedbyBBB,asspecificallyprovidedinthisAgreement,including,withoutlimitation,non-cancelableornon-returnablecomponentsorsub-assemblies,inquantitiesessentialtomeetathenprojecteddeliverydatefortherelatedProductinthethenmostrecentForecast（PermittedComponents）.BBBwillgiveAAAwrittennotice,fromtimetotime,ofthenecessaryadvanceorderperiodforanycomponentorsub-assemblythatmustbeorderedmorethanninety（90）dayspriortoreceiptthereofbyBBBandanymaterialchangeinsuchadvanceorderperiod.

2.3PURCHASEORDERCONTENTS.Eachpurchaseordershallcontainthefollowinginformation:

A.QuantityandtypeofunitsofProducttobeshipped.

B.Productunitprice.

C.Productunitrevisionlevel.

D.Deliveryschedule,bydate,Productunitandquantity.

E.Packagingprocessandmethod.

F.Destination,carrierandotherspecificinstructions.

2.4RESCHEDULINGOFRELEASEDORDERS.AAAmayrescheduledeliveryofunitsofProductsbysendingBBBawrittenchangeorder.Deliveriesmayberescheduledinaccordancewiththescheduleshownbelow.ExpeditingofdeliveryofaProductbeyondthelimitationsspecifiedintheschedulebelowmayonlybemadewiththeapprovalofeachoftheparties.Anyfeesforsuchexpediting,includingresultingpremiumcostsassociatedwithmaterials,labororhandling,mustalsobemutuallyagreedupon,inwriting,bytheparties.AAAmayreschedulethedeliveryofanyProductunitonlyonetimewithoutBBB’sagreement.

ThereschedulingrightsforconfiguredProductprovidedaboveassumesthatAAAhasenteredintoaSIMMsupplycontractthatisreasonablyacceptabletoBBB.

2.5IMPACTOFRESCHEDULING.WithrespecttoanyProducts,andrelatedcomponents,thereschedulingofwhichisbeyondthelimitsspecifiedinSection2.4,AAAshallberesponsiblefor（a）BBB’sfullyburdenedcost,asdefinedbelowandasquotedbyBBBinExhibitAheretooranyamendmentsthereto,（b）work-in-progressinanamounttobenegotiatedbytheparties（nottoexceedthequotedpriceofthefinishedProduct）,and（c）finishedProductsatthequotedpriceinExhibitAheretooranyamendmentsthereto.AAA’sresponsibilityforBBB’sinventoryofnon-cancelableornon-returnablecomponentsforProductsshallbeasprovidedinSection2.8below.Afterforty-five（45）daysfromBBB’sreceiptofagenericProductatitsFremont,_________（Placename）facility,butnotearlierthanthedatebywhichaProductmustbecompletedtomeetthedeliveryrequirementsoftheapplicableForecast（theRequiredCompletionDate）,inventorynotorderedbyAAAwillbemovedtoaninternalsecuredconsignedinventorylocationandbilledtoAAAatpricesoraformulatobeagreedtobyeachoftheparties,eachassetforthinExhibitAheretooranyamendmentsthereto,withpaymenttermsasprovidedin3.1.BBBshallgiveAAApromptwrittennoticeofitsreceiptofagenericProduct.Inventorynotconsumedafterforty-five（45）daysintheconsignedinventorylocationwillbetheresponsibilityofAAAand,five（5）daysaftertheendofsuch45-dayperiod,willbeshippedfromtheBBBlocationtothenon-BBBlocationdesignatedbyAAA,attheexpenseofAAA.AAAwillbebilledthefullyburdenedcost,asdefinedbelowandasquotedbyBBBinExhibitAheretooranyamendmentthereto,minustheamo
