1.1
SubcontractDefinitions
IntheConditionsofSubcontract,whichincludeParticularConditionsofSubcontract,AnnexestotheParticularConditionsofSubcontractandtheseGeneralConditionsofSubcontract,allWordsandexpressionsshallhavethesamemeaningsasarerespectivelyassignedtothemintheMainContract,exceptwherethecontextotherwiserequiresandexceptthatthefollowingwordandexpressionsshallhavethemeaningherebyassignedtothem:
1.1.1“AcceptedSubcontractAmount”meanstheamountacceptedintheContractor’sLetterofAcceptancefortheexecutionandcompletionoftheSubcontractWorksandtheremedyingofanydefects.
1.1.2“Annex”meansthedocumententitledannexattachedtotheParticularConditionsofSubcontract,completedbytheContractorand/ortheSubcontractor,asincludedintheSubcontract,“AnnexA”meansthedocumententitledAnnexAattachedtotheParticularConditionsofSubcontract,andsimilarlyfor“AnnexB”,“AnnexC”,andsoon.AlltheannexesattachedtotheParticularConditionsofSubcontractarereferredtojointlyasthe“Annexes”.
1.1.3“AppendixtotheSubcontractor’sOffer”meanstheCompletedpagesentitledappendixtotheSubcontractor’sofferwhichareappendedtoandformpartoftheSubcontractor’sOffer.
1.1.4“Contractor”meansthepersonnamedasContractorintheAppendixtoSubcontractor’sOfferandthelegalsuccessorsintitletosuchperson,butnot（exceptwiththeconsentoftheSubcontractor）anyassigneeofsuchperson.
1.1.5“Contractor’sinstruction”meansaninstructiongivenbytheContractor’sSubcontractRepresentativeinaccordancewithSub-Clause3.1[Contractor’sInstructions].
1.1.6“Contractor’sLetterofAcceptance”meanstheletterofformalacceptancesignedbytheContractoroftheSubcontractor’sOffer,includinganyappendedmemorandacomprisingagreementsbetweenandsignedbybothParties.
1.1.7“Contractor’sSubcontractRepresentative”meansthepersonnamedbytheContractorintheAppendixtotheSubcontractor’sOfferorappointedfromtimetotimebytheContractorunderSub-Clause6.3[Contractor’sSubcontractRepresentative],whoactsonbehalfoftheContractor.
1.1.8“Employer”meansthepersonnamedasemployerinPartAofAnnexAandthelegalsuccessorsintitleto,orassigneesofsuchperson.
1.1.9“Engineer”meansthepersonappointedbytheEmployertoactasEngineerforthepurposesoftheMainContractandnamedinPartAofAnnexA,orotherpersonasappointedfromtimetotimebytheEmployerandnotifiedtotheContractorundtheMainContract,andnotifiedthereaftertotheSubcontractorbytheContractor.
1.1.10“LetterofSubcontractor’sOffer”meansthedocumententitledletterofSubcontractor’soffer,whichwascompletedbytheSubcontractorandincludesthesignedoffertoContractorfortheexecutionoftheSubcontractworks.
1.1.11“MainContract”meansthecontractenteredintobetweentheEmployerandtheContractorinrespectoftheMainWorks,briefparticularsofwhicharegiveninPartAofAnnexA.
1.1.12“MainContractDBA”meanstheDABasdefinedundertheMainContract.
1.1.13“MainContractTestsonCompletion”meansthetestswhichtheSubcontractoristocarryoutoncompletionoftheSubcontractWorksinaccordancewithSub-Clause9.1[SubcontractTestsonCompletion]whichconstitutetestsonCompletionundertheMainContract.
1.1.14“MainWoks”meanstheWorksasdefinedinMainContract.
1.1.15“Party“meanstheContractorortheSubcontractor,asthecontextrequires.TheContractorandtheSubcontractorarereferredtojointlyas“theParties”.
1.1.16“Subcontract”meanstheagreementbetweenthePartiescomprisingofthedocumentslistedattheSub-Clause1.5[PriorityofSubcontractDocuments].
1.1.17“SubcontractAgreement”meanstheSubcontractagreementreferredtoinSub-Clause1.9[SubcontractAgreement].
1.1.18“SubcontractBillofQuantities”meansthedocumententitledbillofquantities,CompletedbytheSubcontractorandsubmittedwiththeSubcontractor’sOffer,asincludedinannexC.
1.1.19“SubcontractCommencementDate”meansthedatenotifiedunderSub-Clause8.1[CommencementofSubcontractWorks].
1.1.20“SubcontractDAB”meanseitheroneorthreepersonsasstatedintheAppendixtotheSubcontractor’sOffer,orotherPerson（s）appointedunderSub-clause20.5[AppointmentoftheSubcontractDAB].
1.1.21“SubcontractDefectsNotificationPeriod”meanstheperiodfornotifyingdefectsinaccordancewithSub-Clause11.2[SubcontractDefectsNotificationPeriod].
1.1.22“SubcontractDrawings”meansthedrawingsoftheSubcontractWorksandanyadditionaland/ormodifieddrawingsissuedbytheContractorinaccordancewiththeSubcontract.
1.1.23“SubcontractGoods”meanstheSubcontractor’sEquipment,SubcontractPlant,thematerialsintendedtoformorformingpartoftheSubcontractWorks（includingsupplyonlymaterials（ifany）tobeSuppliedbytheSubcontractorundertheSubcontract）andtheSubcontra
