ConventionontheSettlementofInvestmentDisputesBetweenStatesandNationalsofOtherStates

DoneatWashingtonon18March1965

PREAMBLE

TheContractingStates

Consideringtheneedforinternationalcooperationforeconomicdevelopment,andtheroleofprivateinternationalinvestmenttherein;

BearinginmindthepossibilitythatfromtimetotimedisputesmayariseinconnectionwithsuchinvestmentbetweenContractingStatesandnationalsofotherContractingStates;

Recognizingthatwhilesuchdisputeswouldusuallybesubjecttonationallegalprocesses,internationalmethodsofsettlementmaybeappropriateincertaincases;

AttachingparticularimportancetotheavailabilityoffacilitiesforinternationalconciliationorarbitrationtowhichContractingStatesandnationalsofotherContractingStatesmaysubmitsuchdisputesiftheysodesire;

DesiringtoestablishsuchfacilitiesundertheauspicesoftheInternationalBankforReconstructionandDevelopment;

Recognizingthatmutualconsentbythepartiestosubmitsuchdisputestoconciliationortoarbitrationthroughsuchfacilitiesconstitutesabindingagreementwhichrequiresinparticularthatdueconsiderationbegiventoanyrecommendationofconciliators,andthatanyarbitralawardbecompliedwith;and

DeclaringthatnoContractingStateshallbythemerefactofitsratification,acceptanceorapprovalofthisConventionandwithoutitsconsentbedeemedtobeunderanyobligationtosubmitanyparticulardisputetoconciliationorarbitration,

Haveagreedasfollows:

CHAPTERIInternationalCentreforSettlementofInvestmentDisputes

Section1EstablishmentandOrganization

Article1

（1）ThereisherebyestablishedtheInternationalCentreforSettlementofInvestmentDisputes（hereinaftercalledtheCentre）.

（2）ThepurposeoftheCentreshallbetoprovidefacilitiesforconciliationandarbitrationofinvestmentdisputesbetweenContractingStatesandnationalsofotherContractingStatesinaccordancewiththeprovisionsofthisConvention.

Article2

TheseatoftheCentreshallbeattheprincipalofficeoftheInternationalBankforReconstructionandDevelopment（hereinaftercalledtheBank）.TheseatmaybemovedtoanotherplacebydecisionoftheAdministrativeCounciladoptedbyamajorityoftwo-thirdsofitsmembers.

Article3

TheCentreshallhaveanAdministrativeCouncilandaSecretariatandshallmaintainaPanelofConciliatorsandaPanelofArbitrators.

Section2TheAdministrativeCouncil

Article4

（1）TheAdministrativeCouncilshallbecomposedofonerepresentativeofeachContractingState.Analternatemayactasrepresentativeincaseofhisprincipal'sabsencefromameetingorinabilitytoact.

（2）Intheabsenceofacontrarydesignation,eachgovernorandalternategovernoroftheBankappointedbyaContractingStateshallbeexofficioitsrepresentativeanditsalternaterespectively.

Article5

ThePresidentoftheBankshallbeexofficioChairmanoftheAdministrativeCouncil（hereinaftercalledtheChairman）butshallhavenovote.DuringhisabsenceorinabilitytoactandduringanyvacancyintheofficeofPresidentoftheBank,thepersonforthetimebeingactingasPresidentshallactasChairmanoftheAdministrativeCouncil.

Article6

（1）WithoutprejudicetothepowersandfunctionsvestedinitbyotherprovisionsofthisConvention,theAdministrativeCouncilshall:

（a）adopttheadministrativeandfinancialregulationsoftheCentre;

（b）adopttherulesofprocedurefortheinstitutionofconciliationandarbitrationproceedings;

（c）adopttherulesofprocedureforconciliationandarbitrationproceedings（hereinaftercalledtheConciliationRulesandtheArbitrationRules）;

（d）approvearrangementswiththeBankfortheuseoftheBank'sadministrativefacilitiesandservices;

（e）determinetheconditionsofserviceoftheSecretary-GeneralandofanyDeputySecretary-General;

（f）adopttheannualbudgetofrevenuesandexpendituresoftheCentre;

（g）approvetheannualreportontheoperationoftheCentre.

Thedecisionsreferredtoinsub-paragraphs（a）,（b）,（c）and（f）aboveshallbeadoptedbyamajorityoftwo-thirdsofthemembersoftheAdministrativeCouncil.

（2）TheAdministrativeCouncilmayappointsuchcommitteesasitconsidersnecessary.

（3）TheAdministrativeCouncilshallalsoexercisesuchotherpowersandperformsuchotherfunctionsasitshalldeterminetobenecessaryfortheimplementationoftheprovisionsofthisConvention.

Article7

（1）TheAdministrativeCouncilshallholdanannualmeetingandsuchothermeetingsasmaybedeterminedbytheCouncil,orconvenedbytheChairman,orconvenedbytheSecretary-GeneralattherequestofnotlessthanfivemembersoftheCouncil.

（2）EachmemberoftheAdministrativeCouncilshallhaveonevoteand,exceptasotherwisehereinprovided,allmattersbeforetheCouncilshallbedecidedbyamajorityofthevotescast.

（3）AquorumforanymeetingoftheAdministrativeCouncilshallbeamajorityofitsmembers.

（4）TheAdministrativeCouncilmayestablish,byamajorityoftwo-thirdsofitsmembers,aprocedurewherebytheChairmanmayseekavoteoftheCouncilwithoutconveningameetingoftheCouncil.ThevoteshallbeconsideredvalidonlyifthemajorityofthemembersoftheCouncilcasttheirvoteswithinthetimelimitfixedbythesaidprocedure.

Article8

MembersoftheAdministrativeCouncilandtheChairmanshallservewithoutremunerationfromtheCentre.

Section3TheSecretariat

Article9

TheSecretariatshallconsistofaSecretary-General,oneormoreDeputySecretaries-Generalandstaff.

Article10

（1）TheSecretary-GeneralandanyDeputySecretary-GeneralshallbeelectedbytheAdministrativeCouncilbyamajorityoftwo-thirdsofitsmembersuponthenominationoftheChairmanforatermofservicenotexceedingsixyearsandshallbeeligibleforre-election.AfterconsultingthemembersoftheAdministrativeCouncil,theChairmanshallproposeoneormorecandidatesforeachsuchoffice.

（2）TheofficesofSecretary-GeneralandDeputySecretary-Generalshallbeincompatiblewiththeexerciseofanypoliticalfunction.NeithertheSecretary-GeneralnoranyDeputySecretary-GeneralmayholdanyotheremploymentorengageinanyotheroccupationexceptwiththeapprovaloftheAdministrativeCouncil.

（3）DuringtheSecretary-General'sabsenceorinabilitytoact,andduringanyvacancyoftheofficeofSecretary-General,theDeputySecretary-GeneralshallactasSecretary-General.IfthereshallbemorethanoneDeputySecretary-General,theAdministrativeCouncilshalldetermineinadvancetheorderinwhichtheyshallactasSecretary-General.

Article11

TheSecretary-GeneralshallbethelegalrepresentativeandtheprincipalofficeroftheCentreandshallberesponsibleforitsadministration,includingtheappointmentofstaff,inaccordancewiththeprovisionsofthisConventionandtherulesadoptedbytheAdministrativeCouncil.HeshallperformthefunctionofregistrarandshallhavethepowertoauthenticatearbitralawardsrenderedpursuanttothisConvention,andtocertifycopiesthereof.

Section4ThePanels

Article12

ThePanelofConciliatorsandthePanelofArbitratorsshalleachconsistofqualifiedpersons,designatedashereinafterprovided,whoarewillingtoservethereon.

Article13

（1）EachContractingStatemaydesignatetoeachPanelfourpersonswhomaybutneednotbeitsnationals.

（2）TheChairmanmaydesignatetenpersonstoeachPanel.ThepersonssodesignatedtoaPanelshalleachhaveadifferentnationality.

Article14

（1）PersonsdesignatedtoserveonthePanelsshallbepersonsofhighmoralcharacterandrecognizedcompetenceinthefieldsoflaw,commerce;industryorfinance,whomaybereliedupontoexerciseindependentjudgment.CompetenceinthefieldoflawshallbeofparticularimportanceinthecaseofpersonsonthePanelofArbitrators.

（2）TheChairman,indesignatingpersonstoserveonthePanels,shallinadditionpaydueregardtotheimportanceofassuringrepresentationonthePanelsoftheprincipallegalsystemsoftheworldandofthemainformsofeconomicactivity.

Article15

（1）Panelmembersshallserveforrenewableperiodsofsixyears.

（2）IncaseofdeathorresignationofamemberofaPanel,theauthoritywhichdesignatedthemembershallhavetherighttodesignateanotherpersontoservefortheremainderofthatmember'sterm.

（3）Panelmembersshallcontinueinofficeuntiltheirsuccessorshavebeendesignated.

Article16

（1）ApersonmayserveonbothPanels.

（2）IfapersonshallhavebeendesignatedtoserveonthesamePanelbymorethanoneContractingState,orbyoneormoreContractingStatesandtheChairman,heshallbedeemedtohavebeendesignatedbytheauthoritywhichfirstdesignatedhimor,ifonesuchauthorityistheStateofwhichheisanational,bythatState.

（3）AlldesignationsshallbenotifiedtotheSecretary-Generalandshalltakeeffectfromthedateonwhichthenotificationisreceived.

Section5FinancingtheCentre

Article17

IftheexpenditureoftheCentrecannotbemetoutofchargesfortheuseofitsfacilities,oroutofotherreceipts,theexcessshallbebornebyContractingStateswhicharemembersoftheBankinproportiontotheirrespectivesubscriptionstothecapitalstockoftheBank,andbyContractingStateswhicharenotmembersoftheBankinaccordancewithrulesadoptedbytheAdministrativeCouncil.

Section6Status,ImmunitiesandPrivileges

Article18

TheCentreshallhavefullinternationallegalpersonality.ThelegalcapacityoftheCentreshallincludethe
