InstructionstoBidders

A.Introduction

1.SourceofFunds

1.1TheTenderernamedintheBidDataSheethasreceivedaloan/fundasidentifiedintheBidData

Sheet.TheTendererintendstoapplyaportionoftheproceedsofthisloan/fundtothepayments

underthecontractforwhichthisInvitationforBidsisissued.

2.TenderingAgentforICBProcurementofMechanicandElectronicProductsandEligibleBidders

2.1TheTenderingAgentforICBProcurementofMechanicandElectronicProducts（hereinaftercalled“Tender1ngAgent”）inthisITBmeansthequalifiedLegalPersonapprovedandauthorisedbytheMinistryofForeignTradeandEconomicCooperationtohandletheprocurementofmechanicandelectronicproductsbywayofInternationalCompetitiveBidding（ICB）onbehalfoftheTenderer.

2.2EligibleBidders

1）ThisInvitationforBidsisopentoallsuppliersfromwithinthePeople’sRepublicofChina（hereinafterabb.as“PRC”）andal1countries/areaswhichhaveregulartraderelationswithPRC（hereinaftercalled“theeligiblesourcecountries”）,exceptasprovidedhereinafter.

2）Biddersshouldnotbeassociated,directlyorindirectly,withafirmoranyofitsaffi1iateswhichhavekenengagedbytheTenderertoprovideconsultingservicesforthepreparationofthedesign,specif1cations,andotherdocumentstobeusedfortheprocurementofthegoodstobepurchasedunderthisInvitationforBids.

3）TheSuppliersmayparticipateinthebidsonlyiftheyarelegallyandfinanciallyautonomous,

iftheyoperateunderrelevantlaw,andiftheyarenotadependentagencyoftheTenderingAgentandtheTenderer.

3.EligibleGoodsandServices

3.1Allgoodsandrelatedservicestobesuppliedunderthecontractshallhavetheiroriginineligible

sourcecounties,asdennedinclause2.2above,andallexpendituresmadeunderthecontractwill

belimitedtosuchgoodsandservices.

3.2Forpurposesofthisclause,“origin”meanstheplacewherethegoodsaremined,grownorproduced,ortheplacefromwhichtherelatedservicesaresupplied.Goodsareproducedwhen,throughmanufacturing,processing,orsubstantialandmajorassemblyofcomponents,acommerciallyrecognisedproductresultsthatissubstantiallydifferentinbasiccharacteristicsorinpurposeorutilityfromitscomponents.

3.3TheoriginofgoodsandservicesisdistinctfromthenationalityoftheBidder.

4.CostofBid

4.1TheBiddershallbearallcostsassociatedwiththepreparationandsubmissionofitsbid,andthe

TenderingAgentandtheTenderer,namedintheBidDataSheet,willinnocaseberesponsibleorliableforthosecosts,regardlessoftheconductoroutcomeofthebidprocess.

B.TheBiddingDocuments

5.ContentofBiddingDocuments

5.1Thegoodsrequired,biddingproceduresandcontracttermsareprescribedinthebiddingdocuments.

Thecontentofthebiddingdocumentswillbeseparatedintotwovolumesasfollows:

5.2TheBidderisexpectedtoexamineallinstructions,forms,termsandspecificationsinthebidding

documents.Failuretofurnisha11informationrequiredbythebiddingdocumentsortosubmitabidnotsubstantiallyresponsivetothebiddingdocumentsineveryrespectwillbeattheBidder’sriskandmayresultintherejectionofitsbid.

6.Cladf1cationofBiddingDocuments

6.1AprospectiveBidderrequiringanyclarificationofthebiddingdocumentsmaynotifytheTenderingAgentandtheTendererinwriting.TheTenderingAgentwillrespondinwritingtoanyrequestforclarificationofthebiddingdocumentswhichitreceivesnolaterthanfifteen（15）dayspriortothedeadlineforthesubmissionofbidsprescribedintheBidDataSheet.WrittencopiesoftheTender1ngAgent’sresponse（withoutidentifyingthesourceofinquiry）willbesenttoallprospectivebidderswhohavepurchasedthebiddingdocuments.

7.AmendmentofBiddingDocuments

7.1Atanytimepriortothedeadlineforsubmissionofbids,theTenderingAgent,foranyreason,

whetheratitsowninitiativeorinresponsetoaclarificationrequestedbyaprospectiveBidder,

maymodifythebiddingdocumentsbyamendment.

7.2Allprospectivebidderswhohavepurchasedthebiddingdocumentswillbenotifiedoftheamendmentinwriting,andwillbebindingonthem.ProspectiveBiddersshallpromptlyacknow1edgethereceiptthereofbycableorfaxtotheTenderingAgent.

7.3Inordertoaffordprospectivebiddenreasonabletimeinwhichtotaketheamendmentintoaccountinpreparingtheirbids,theTenderingAgent,atitsdiscretion,mayextendthedeadlineforthesubmissionofbids.

C.PreparationofBids

8.LanguageofBid

8.1ThebidpreparedbytheBidder,aswellasallcorrespondenceanddocumentsrelatingtothebid

exchangedbytheBidderandtheTender1ngAgent/theTenderer,shallbewritteninthelanguagespecifiedintheBidDataSheet.SupportingdocumentsandprintedliteraturefurnishedbytheBiddermaybeinanotherlanguageprovidedtheyareaccompaniedbyanaccuratetranslationoftherelevantpassagesinthelanguagespecifiedintheBidDataSheet,inwhichcase,forpurposesofinterpretationoftheBid,thetranslationshallgovern.

9.DocumentsComprisingtheBid

9.1ThebidpreparedbytheBiddershallcomprisethefollowingcomponents:

1）ABidForm,BidScheduleofPricesandaSummarySheetforBidOpeningwhichshallbesubmittedinaseparateenvelopecompletedinaccordancewithITBClauses10,1land12;

2）Documentary
