ThisPrepaymentAgreement（thisAgreement）ismadeandenteredintobyandbetweenAAAInc.,a_________（Placename）corporation（AAA）,DDD.,a_________（Placename）limitedpartnership（DDD）,andBBB,Inc.,a_________（Placename）corporation（BBB）（AAA,DDDandBBBaresometimescollectivelyreferredtohereinastheCompany）,andCCC,anindividual（theExecutive）,tobeeffectiveasof_________,_________,_________（M,D,Y）.

WHEREAS,AAA,BBBandtheExecutivepreviouslyenteredintothatcertainAgreementofTerminationofEmploymentContractandFirstAmendmenttoEmploymentContractdatedasof_________,_________,_________（M,D,Y）（the_________,_________（M,Y）Agreement）,settingforthvariousagreements,terms,provisionsandconditionsregardingExecutive’semploymentwiththeCompany,includingcertainpaymentobligationsofAAAandBBBwhichwereagreedtoinconsiderationfortheterminationofExecutive’spreviousemploymentagreementwhichexistedpriortothe_________,_________（M,Y）Agreement;and

WHEREAS,effectiveasofthecloseofbusinesson_________,_________,_________（M,D,Y）,allofthebusinessandassetsofBBBwereassignedtoAAA,andAAAassumedallofthedutiesandobligationsofBBBrelatedthereto,includingthedutiesandobligationsofBBBunderthe_________,_________（M,Y）Agreement;and

WHEREAS,theCompanyandExecutivenowdesiretoagreetothetermsuponwhichtheCompanywillprepayandfullysatisfyanddischargeallofitsobligationstopayanyfurthercompensationtotheExecutivepursuanttoSectionIIandSectionIIIofthe_________,_________（M,Y）Agreement,allasmoreparticularlyprovidedinthisAgreement.

NOW,THEREFOR,forandinconsiderationofthemutualcovenantsandagreementscontainedherein,andothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichareherebyacknowledgedandconfessed,theCompanyandtheExecutivedoherebyagreeasfollows:

1.TheCompanyhaspreviouslymadeallquarterlypaymentsduetoExecutivebyissuingsharesofAAAcommonstockandmakingcashpaymentstoExecutiveinaccordancewithSectionsIIandIIIrespectivelyofthe_________,_________（M,Y）Agreement.Infullandfinalpayment,satisfactionanddischargeoftheCompany’sremainingobligationspursuanttoSectionIIandSectionIIIofthe_________,_________（M,Y）Agreement,theCompanyagreestoissueanadditional_________sharesofAAAcommonstock,$,_________parvalue,totheExecutiveassoonaspracticableuponexecutionofthisAgreement.Executiveherebyagreestoacceptthe_________sharesaspaymentinfullofalloftheCompany’sremainingobligationsundersuchSections,andExecutiveherebyacknowledgesandagreesthatfollowingissuanceofthe_________shares,nofurtherpaymentorcompensationofanykindshalleverbepayablebytheCompanytoExecutiveunderSectionIIorSectionIIIofthe_________,_________（M,Y）Agreement,andtheCompanyshallbedeemedtohavefullysatisfiedanddischargeditsobligationthereunder.TheCompanyacknowledgesandagreesthatnothinginthisagreementshallterminateExecutive’shealthinsurancebenefitsunderthetermsoftheletteragreementdated_________,_________,_________（M,D,Y）,sinceExecutiveisnotreceivingtotalcashorstockequivalentcompensationintheamountof$,_________millionasaresultofthisAgreement.

THISAGREEMENT（thisAgreement）,dated_________,_________,_________（M,D,Y）,isbyandamongAAAIncorporated,a_________（PLACENAME）corporationwithanaddressat_________（ADDRESS）（AAAINC.）,BBB,Inc.,a_________（PLACENAME）corporationwithanaddressat_________（ADDRESS）（BBBand,togetherwithAAAInc.,beingcollectivelyreferredtohereinasAAA）,andtheDDD,whoseprincipalplaceofbusinessissetforthonthesignaturepageofthisagreement（DDD）.

PRELIMINARYSTATEMENT:

AAAprovidesaservicethatallowsconsumerstopurchaseDDDticketsatanofferpricedeterminedbytheconsumer（theAAASERVICE）.TheconsumeridentifiesthedepartureandreturndatesfortravelandthepricetheconsumeriswillingtopayfortheDDDticket（s）.AAAthendeterminesifitisabletofulfillthecustomer’sofferand,ifitisabletodoso,BBBissuesatickettothecustomerontheapplicablecarrier.

DDDdesirestoparticipateintheAAAServiceand,inconnectiontherewith,willprovideAAAwithunpublishedfaressubjecttotheRestrictions（definedherein）forselectoriginanddestinationcitypairs（each,anOD）identifiedbyDDDinaccordancewiththetermsandconditionssetforthinthisAgreement.

AAAdesirestoincludeDDDasaparticipatingcarrierintheAAAServiceandtohaveaccesstosuchunpublishedfaresinaccordancewiththetermsandconditionssetforthinthisAgreement.

NOW,THEREFORE,inconsiderationofthecovenantsandagreementssetforthinthisAgreement,thepartiesagreeasfollows:

I.TICKETRESTRICTIONSANDRELATEDMATTERS

1.DDDshallmakeavailableunpublishedfarestoAAAforODsidentifiedbyDDDinaccordancewiththetermsandconditionssetforthinthisAgreement.UnpublishedfaresprovidedtoAAAmustbeissuedinaccordancewithrulesandrestrictionsprovidedtoAAAfromtimetotime.Bywayofexample,unpublishedfaresoncertainOD’smayrequirespecificroutingsorbeflight/dayspecific.AtalltimesduringthetermofthisAgreement,DDDwillcontrolanddeterminetheunpublishedfaresandlevelsofinventoryprovidedtoAAA.ItisexpresslyunderstoodandagreedthatDDDmakesnocommitmentwhatsoeverregardingthelevelofinventory,numberofODsorthelevelofunpublishedfaresthatwillbeprovidedtoAAA.

2.AllticketsissuedbyAAAforcarriageonDDD（each,aAAATICKET）shallbesubjecttothefollowingrestrictions（theRESTRICTIONS）:

（a）AllAAATicketswillbenon-refundable,non-endorsableandnon-changeable;

（b）Alltravelwillberound-tripwithnostopoversoropen-jawtravelpermitted;

（c）FrequentFlyermileageandupgradeswillnotbepermitted;provided,DDDmayoffersuchbenefitstotheextentthatitisimpracticaltoimposefrequentflyerrestrictionsonAAATickets;

（d）AAAcustomersmustagreeto（i）makeatleastonestoporconnectiononboththeirdepartingandreturnflights,（ii）acceptaticketonanyParticipatingCarrier,and（iii）travelonanyflightonthespecifieddateoftravel（x）fordomesticU.S.flights,duringthe_________（TIME）-_________（TIME）timeperiod[unlessthecustomerhasspecifiedarequesttoincludeflightsdepartingoutsidethoseperiods],and（y）forinternationalflights,atanytime（i.e.,_________（TIME）to_________（TIME））;

（e）AllBBBreservationsandbookingsshallbemadewithoutAAAcustomersspecifyingapreferred（or[*]requested）carrier,flightortimeofdaytravelpreference（s）onthespecifieddate（s）oftravel;

（f）AllAAATicketsrequireinstantticketingguaranteedwithamajorcreditcardifAAAisabletoprovideanDDDticketwithinthecustomer’srequestedprice,departureandreturndateparameters;and

（g）AAATicketreservationsarelimitedtonomorethaneightpersonstravelinginthesameitinerary.

（h）Inanysevendaycalendarperiod,aAAAcustomershallbelimitedtomakingoneofferpriceforDDDticket（s）foraTrip.ATRIPisdefinedastravelbetweenthesameairportsonthesamedatesoftravel.AAAAcustomermay,withinasevencalendardayperiod,makeanofferfortravelinadifferentairportpairorondifferentdatesoftravel.AAAwillnotsellatickettoaAAAcustomerinresponsetoasecond（orsubsequent）offerforaTripwithinasevencalendardayperiod;provided,thatAAAmaysellaticketinconnectionwithasecondofferiftheAAAcustomer（i）raisestheofferbyaminimumof[**]and（ii）accepts,aspartofthesecondoffer,（x）atravelpackagewhichincludesahotelorrentalcaroffer,or（y）aproductorserviceco-marketedbyAAAsuchasacreditcardorlongdistancetelephoneservice;providedfurther,thatAAAshalllimitthenumberofsuchsecondofferstonotgreaterthantwentypercent（20%）offirstoffers.

3.DDDmayinclude,inadditiontotheRestrictions,otherfarerulesandconditionsforAAATicketsissuedonDDDsuchasadvancepurchaseorSaturdaynightstayrequirements.AAAalsoreservestherighttoimposeadditionalrestrictionsonAAATickets,includingaSaturdaynightstayrequirement,aspartoftheRestrictions.

4.TheRestrictionswillapplytoallticketsissuedthroughtheAAAServiceonDDD.DDDmaywaive,atitsowncostandexpense,oneormor
