摘要
私募股权投资基金是一种新兴的直接投融资工具,通过非公开的形式募集机
构投资人和个人的资金,对具有发展潜力和快速成长的企业进行权益性投资。
投
资人按照其出资份额分享收益,分担风险。
私募股权投资基金为广大企业特别是
急需资金的中小企业提供了新的融资渠道,帮助企业实现价值增值,有利于拓宽
社会投资渠道、实现资本的有效配置,完善资本市场。
我国私募股权投资基金主要受《公司法》、《合伙企业法》、《证券投资基金法》、
《信托法》和《创业投资企业管理暂行办法》等法律法规规制。
这些法律法规的
出台,为私募管权投资基金建立了基本的制度框架。
但是这些法律法规涉及私募
股权投资基金的部分比较有限,尚未形成系统完善的私募股权投资基金法律法规
体系。
我国私募股权投资基金经过二十多年的发展,取得了不错的成绩,促进了
市场经济的繁荣。
但由于相关法律法规的缺失、不完善,一定程度上限制了私募
股权投资基金的发展。
与发达国家相比,我国私募股权投资基金目前还处于发展
的初级阶段阶段,需要健全的法律制度予以规范。
形成完善的法律法规体系,为
私募股权投资基金的发展创造良好的法制环境,成为时下学术界研究的热点课题。
为了更好地规范私募股权投资基金的运作,为私募股权投资基金的发展构筑
一个良好的发展平台。
笔者通过阅读国内外有关投资基金的书籍,从我国的现实
国情出发,借鉴发达国家私募股权投资基金的发展经验,通过六个部分对完善我
国私募股权投资基金的法律制度提出自己的见解。
第一部分,引言。
介绍了私募股权投资基金发展的背景环境、发展现状和对
经济发展的重要贡献。
指出了目前我国私募股权投资基金的法律规制现状,通过
比较分析和实证的方法,引出本文的研究对象和写作目的。
第二部分,私募股权投资基金概述。
介绍了私募股权投资基金的含义和特征,
从不同角度对私募股权投资基金与相关概念进行比较分析,从多个方面展示了私
募股权投资基金的重要作用,为下文的论述奠定理论基础。
第三部分,私募股权投资基金的一般理论。
通过对私募股权基金风险的揭示
以及监管的经济学原理分析,提出了加紧规范私募股权基金市场的紧迫性。
第四部分,中国私募股权基金监管现状。
介绍了我国私募股权基金的监管现
状。
该部分从宏观上对我国私募股权基金的现实作了概括,指出我国私募股权市
场存在的主要问题。
第五部分,对我国私募股权基金法律监管提出法律建议。
在监管原则的指导
下针对于我国私募股权市场的特点,借鉴国外经验及我国地方立法提出具体建议。

ABSTRACT
PrivateEquityFundisanewtoolfordirectinvestmentandfinancing.Itraises
fundsfrominstitutionalinvestor,corporationandindividualwithoutpublicoffering,
anditdoesequityinvestmentonpotentialandfast-growingcompanies.Investorsshare
revenueandriskinaccordancewiththeircontribution.Privateequityfundprovidesnew
financingchannelsforenterprises,especiallyforsmallandmedium-sizedenterprises,
helpsenterprisesaddtheirvalues.Itisconducivetobroadenthechannelofsocial
investment,realizetheefficientallocationofcapitalandcompletethecapitalmarketInChina,theprivateequityfundismainlyregulatedbytheCompanyLaw,the
SecuritiesAct,theTrustLaw,andthePartnershipLaw.Theseregulationsestablisha
fundamentalframeworkfortheprivateequityfund,butstillhavemanyuninvolved
fields.Regulationsystemonprivateequityfundisnotyetcomplete.Aftermorethan20
years’development,China'sprivateequityfundgetsachievementandpromotesmarket
economy’sprosperity.However,thelackofrelevantregulationshindersthe
developmentofprivateequityfund.Comparedwithmajordevelopedcountries,China's
privateequityfundisstillintheinitialstage.Relevantregulationsshouldbecompleted
tocreateagoodlegalenvironmentforthedevelopmentofprivateequityfundInordertoregulatetheoperationofprivateequityfund,agoodplatformshouldbe
built.Withabundantreadingondomesticandforeignbooks,authortakesdeveloped
countries’experienceasreferenceandputforwardownsuggestionsonregulation
completionfromournation’scondition.ThesuggestionisdividedintosixpartsChapter1:
Introduction.Introducethebackground,currentsituationand
contributionoftheprivateequityfund.Pointoutthecurrentsituationoflegalregulation
oftheprivateequityinvestmentfund.Educeresearchobjectandwritingpurposewith
