Tobepackedinstrongwoodencase（s）orincarton（s）,suitableforlongdistanceparcelpost/airfreighttransportationandchangeofclimate,andnecessary
measuresshallbetakensothattheContractcommoditywillbewellprotectedagainstmoisture,shocks,rust,corrosionandotherdamages.

Ifanyofthecommodityisdamagedorlostduetoimproperpackingand/orinadequateorimproperprotectivemeasurestakenbytheSellerinregardto
thepacking,theSellershallbeliableforrepair,replacementand/orcompensation.
卖方负责由于包装不良以及在包装方面因卖方采取了不当的或不良的保护措施造成的任何商品损坏或丧失时，卖方应按合同规定负责修理、更换或赔偿。
Thewoodpackagingthe
Seller
usedshall
betreatedbythe
enterprises
qualified
bythephytosanitary
organization
ofexportingcountries
or
areas
in
accordance
withtheapprovedmeasuresbyPRC.HT,MB）andcarriedwithlegiblespecial
markofIPPC（theuseofredororangeavoided）intheobviousplaceofwood
packaging
（onat
least
twoopposite
sides）.In
case
the
phytosanitary
organizationofPRCfindsthroughquarantinemeasuresthatthewoodpackaging
doesnot
carrywiththerequiredmark,themarkdoesnotmeetthe
requirements
orlivepestsareintercepted,theSellershouldpayforalltheexpenses
at
theport
of
unloading
of
treatments
toeliminate
thepests,
destroythe
packaging
or
transport
backandshallcompensatethe
Buyerforall
theexpenses,
costsanddamagesthusincurred.
卖方使用的木质包装应当由出口国或地区政府植物检疫机构认可的企业按中国确认的检疫
除害处理方法处理，并在木质包装显著位置
（至少应在相对的两面
）加施清晰易辨的IPPC专
用标识〔标识防止使用红色或橙色〕
。
如果经中国检疫机构检疫发现木质包装无标识、
标识
不符合要求或截获活的有害生物的，
卖方应承当在卸货港对木质包装实施除害处理、
销毁处
理或作退运处理所发生的所有费用，并赔偿买方因此遭受的所有损失和费用。
TotheextentrequiredbythelawofPRC,theSellershallprovidetheBuyer
withaplant

certificate/fumigation
certificate
issued
bythe
competentgovernmentquarantineauthorityoftheexportcountryprovingthat
heattreatmentorfumigationtreatmenthasbeencarriedout,orawritten
statementprovingthatnon-woodenmaterialshavebeenusedincasenon-wooden
packagesareagreeduponbytheBuyersoastoenabletheBuyertomakethe
customsclearancein
time.
If
the
Seller
failstopresent
thesaidcertificate
orstatementinduetime,theSellershallcompensatetheBuyerforallthe
costs,expensesanddamagesthusincurred,
including
but
not
limited
to
storage
expenses,penaltiesimposedbythecustomsandcontaineroverduefine.
按照中华人民共和国法律如果需要，
卖方应向买方提供出口国有关检疫当局出具的证明已对
木质包装进行热处理或熏蒸处理的植物检疫证书或熏蒸证明，
或如果买方同意使用非木质包
装，卖方应出具未使用木质包装的声明
以便买方及时办理清关手续。
如果卖方未能及时提
供上述证明或声明，卖方应赔偿买方因此遭受的损失和费用，
包括但不限于仓储费、
滞期费
及滞箱费。
IncaseChinaCompulsoryCertification
（CCC）forContract
Equipment
isrequired
bythelawofPRC,theSellershallatitsowncostobtaincertificateofthe
CCC,markthesignofCCConContractEquipmentandprovidetheBuyerthe
duplicate
copiesofthecertificate
of
theCCCinaccordance
withthe
provisions
oftheContract.IftheSellerfailstosubmitsuchrequiredCCCcertificateinduetime,allthecoststhusincurredatthePortofUnloadingincludingbutnotlimitedtostorageexpenses,penaltiesimposedbythecustomsandcontaineroverduefineshallbebornebytheSeller.
如果合同货物根据中国法律规定应获得中国强制认证〔CCC〕，那么卖方应自费根据本合同规定获得合同设备的CCC认证证书，对获得认证的合同设备加施CCC认证标志，并根据本合同规定
向买方提供CCC认证证书复印件。
如果卖方未能及时提供前述CCC认证证书，由此在卸货港发生的所有费用，包括但不限于仓储费用、滞期费及滞箱费，均应由卖方承当。
Onefullsetofserviceandoperationmanualsconcernedshallbeenclosedinthecase（s）.
包装箱内应装入一整套产品的操作手册和使用说明。

卖方须以不褪色的油漆在每一个包装箱外表写上合同号、目的地机场、收货人、包装箱号、毛重、净重、尺寸和以下语句“勿使受潮〞、“小心轻放〞、“此端向上〞等及唛头。

〔Ａ〕在开立信用证的情况下
:
买方在接到本合同第１１条所规定的由卖方发出的交货通知
后，应在交货日前二十天到二十五天，
通过买方银行开立以卖方为抬头的，
等于装运
货物全部金额的不可撤销信用证。
该信用证凭向开证行提示１００％发票金额的卖方
即期汇票及本合同第１０条所规定的装运单证付款，
开证行将根据提交的上述汇票和
单据〔以电汇或信汇方式〕支付货款。
信用证有效期至装运后第十五天。
（B）OnCollection:
Withinsevendaysaftershipment,theSellershalldrawon
theBuyeratsightandsendthedraft（s）togetherwiththeshippingdocumentsspecifiedinClause10hereof,totheBuyerthroughtheSeller'sbankand
Buyer’sBankforcollection.
〔Ｂ〕在托收的情况下:
货物装运后７天内，卖方通过卖方银行提交即期汇票及本合同第１
０条所规定的单证，通过买方银行向买方托收。
（C）ByDirectRemittance:
PaymentshallbeeffectedbytheBuyer,bytelegraphic
transfer/airmailtransfer,withinsevendaysafterreceiptfromtheSeller
oftheshippingdocumentsspecifiedinClause10hereofwhichshouldbesentbyexpressmailtotheBuyerwithinsevendaysaftershipment.
〔Ｃ〕在直接汇款的情况下
买方于接到卖方在装运后７天内，以快件发出的，按本合同第１０条所规定的装
运单
据后７天内，以电汇或信汇方式付款。
10.DOCUMENTS:

（1）Incaseofair-freight:
空运情况下：
originalandphotostatedAirwayBillmarked"Freightto
Collect"/"FreightPrepaid",Contractnumberandshippingmarks,andconsigned
totheBuyer,notifyingtheEnduser.
一份正本及一份副本空运单，标明“运费到付／运费预付〞、合同号及唛头，交给目的
港机场的买方通知人,并通知最终用户。
TheAirwayBillissuedbyAirlines（AviationCo.）ortheHouseAirwayBill（HAWB）
issuedbytheagentnamedbytheBuyerforairtransportationshallbeacceptable.
TheHAWBnotissuedbytheagentoftheBuyerforairtransportationshallnotbeaccepted.
航空公司签发的空运单，或者由买方指定的空运代理人签发的航空分运单〔ＨＡＷＢ〕可以
被接受，由不是买方空运代理人签发的航空分运单不被接受。
Incaseofairparcelpost:
空运邮包情况下：
（1）OneoriginalandOnephotostatedair-parcelpostreceiptindicatingContractnumberandshippingmarksaddressedtotheBuyer.
（1）一份正本和一份副本以买方为收件人的航空邮包收据，标明合同号和唛头。
（2）Manuallysignedinvoicein__2_original（s）and__3__copiesindicatingContractnumberandshippingmarks（incaseofmorethanoneshippingmark,
theinvoiceshallbeissuedseparately）madeoutindetailsaspertherelativeContract.
〔2〕2＿份正本及＿3＿份副本，标明合同号和唛头的手签发票〔如果唛头不止一个，那么发票将分别填制〕。
（3）Packinglistin2originalsissuedbytheManufacturers.
〔3〕由制造者出具的装箱单2份正本。
（4）CertificateofqualityandquantityissuedbytheManufacturersin1original（s）and2copies.
〔4〕由制造者出具的质量和数量证明书1份正本及2份副本。
