THISINDEPENDENTCONTRACTORCONSULTINGAGREEMENT（theAgreement）isbetweenAAA,INC.,withitsprincipalplaceofbusinessat_________（ADDRESS）（AAA）,andthebusinessentityorindividuallistedbelow（Contractor）.

Contractorhastheexperienceandisready,willingandabletoperformtheProjectServices（asdefinedbelow）andAAA,relyingonContractor’srepresentation,iswillingtoengageContractorasanindependentcontractor,andnotasanemployee,onthetermsandconditionssetforthbelow.

2.PROJECTSERVICESANDDELIVERABLES.

Contractorwillperformtheprojectservices（ProjectServices）andprovidethedeliverables（Deliverables）assetforthinExhibitAorasotherwiseagreedtoinwritingbyAAAandContractor.ContractorwillcompletetheProjectServicesanddelivertheDeliverablesonorbeforetheCompletionDate（ifoneissetforthinExhibitA）.ContractorwillprepareandsubmitprogressreportsasAAAmayreasonablyrequestfromtimetotime.

ThepartiesagreethatservicesofcertainindividualslistedinExhibitA（KeyIndividuals）areessentialtothesatisfactoryperformancebyContractoroftheProjectServices.ThepartiesfurtheragreethatifanyKeyIndividualsleavetheemployofContractorduringthetermofthisAgreementforanyreasonorisunavailabletocontinuefull-timetheworkcalledforherein,andifsubstituteindividualsacceptabletoAAAarenotavailabletocontinueworkwithinfive（5）businessdays,AAAshallhavetherighttoterminatethisAgreementpursuanttoSection3below.

3.TERMOFAGREEMENT.

3.1TERM.ThisAgreementbecomeseffectiveasoftheStartDateandwillterminateontheCompletionDate,whenitisexpectedthatContractor’sProjectServiceswillbecompleted;provided;however,thisAgreementmaybeterminatedunderthefollowingprovisionsofSection3.3or3.4.Theparties’rightsandobligationunderSections3.4,3.5,6,7,8and10shallsurvivetheterminationofthisAgreement.

3.2TERMINATIONFORBREACH.EitherpartymayterminatethisAgreementformaterialbreachofthisAgreementuponfifteen（15）dayswrittennoticetotheotherparty,ifsuchbreachisnotcuredbytheotherpartywithinsuchperiod.

3.3TERMINATIONFORCONVENIENCE.EitherpartymayterminatethisAgreementwithoutrecourseorliabilityatanytimeuponfifteen（15）dayswrittennoticetotheotherparty.

3.4RETURNOFCONFIDENTIALINFORMATION.UponterminationofthisAgreementforanyreason,eachpartywillimmediatelytransferandreturntotheotherpartyallcopiesoftheotherparty’sConfidentialInformationinitspossession,aswellasequipment,supplies,andcomputersoftwaresuppliedbytheotherparty.ContractorwillalsoimmediatelyfurnishtoAAAallAAAdata,records,ormaterialsofanykindaswellascopiesofallworkinprogress.

3.5FINALINVOICE.IfthisAgreementisterminatedpursuanttoSection3.3orifContractorterminatesthisAgreementduetobreachbyAAApursuanttoSection3.2,then,withinfifteen（15）days,ContractorshallsubmittoAAAanitemizedinvoiceforanyfeesandexpensesaccruedbutunpaid.AAAshall,uponpaymentofsuchamount,havenofurtherliabilitytoContractorwhatsoeverforanyfurtherfees,expenses,orotherpayments.AAAshallhavenopaymentobligationsunderthisSectionuntilContractorhasreturnedallofAAA’sConfidentialInformationpursuanttoSection3.4above.IfAAAterminatesthisAgreementduetobreachbyContractor,ContractoragreesthatAAAshallhavenopaymentobligationstoContractorforservicesthatarerelatedtoContractor’sbreach.

4.COMPENSATION.

Contractor’scompensationfortheProjectServicesandDeliverablesaresetforthinExhibitA.SuchcompensationshallbeContractor’ssolecompensationforrenderingtheProjectServicesandDeliverablesandotherwiseperformingitsobligationsunderthisAgreement.

5.QUALITYSTANDARDSANDACCEPTANCE.

5.1QUALITYSTANDARDS.AAA,atitsoption,mayprovideContractorwithitswrittenqualitystandardsfortheproject.Contractoragreestousethesestandards,aswellasadditionalguidanceandsuggestionswhichmaybeprovidedfromtimetotimebytheProjectManagerappointedbyAAA.AnyorallProjectServicesand/orDeliverablesmustbesatisfactoryinthereasonableopinionofAAA’sProjectManager,whoretainstherighttoapproveallsuchProjectServicesand/orDeliverablespriortocompletionanddeliverytoAAA.

5.2ACCEPTANCE.UponcompletionoftheProjectServicesoranyDeliverables,ContractorwilladviseAAAinwritingandAAA’sProjectManagershallapproveorrejectsuchProjectServicesand/orDeliverablesinwriting.AnyrejectionbyAAA’sProjectManagershallspecifythenatureandscopeofdeficienciesandContractorwill,uponreceiptofsuchrejection,actdiligentlytocorrectsuchdeficiencies.AAAshallhavenoobligationtocompensateContractorforServicesorDeliverablesthatarerejectedbyAAA.

6.CONFIDENTIALANDPROPRIETARYINFORMATIONANDMATERIALS.

AnydisclosureofConfidentialInformationpursuanttothisAgreementshallbegovernedbythetermsoftheMutualNon-DisclosureAgreementbetweenAAAandContractordated_________,_________,_________（M,D,Y）,thetermsandconditionsofwhichshallbeincorporatedhereinbyreference.

7.OWNERSHIPANDASSIGNMENTOFINTELLECTUALPROPERTYRIGHTS.

TheDeliverablesshallbethesoleandexclusivepropertyofAAA,whethertheDeliverablesareinpreparationorinaformorcontentapprovedbyAAA.

ContractorherebyirrevocablyassignstoAAAallright,titleandinterestContractormayhaveinandtoanyintellectualpropertydevelopedbyContractorinitsperformanceofthisAgreement（whetherconceivedindividuallyorjointly）,andContractorwilltakeallstepsreasonablyrequiredbyAAAtoperfectitscopyright,trademarkandotherintellectualpropertyrightsinandtotheDeliverables.TotheextentthattheDeliverables,inwholeorinpart,constitutecomputersoftwareprogramsorproducts（Software）.AAAandContractoragreethatAAAshallhaveandenjoyanyandallownershipandproprietaryrightsinandtosuchSoftwareunderallfederal,state,local,andforeignintellectualpropertylaws,includingwithoutlimitationtheCopyrightActof1976,asamended）andallotherapplicablelaws.

AAAacknowledgesthatContractorislikelytocreateoriginalworksforthirdpartieswhichmayappearsimilartotheDeliverables.AAAagreesthat,solongassuchoriginalworkdoesnotembodyanyAAAConfidentialInformationandwasdevelopedindependentlyoftheDeliverables,suchoriginalworkforthebenefitofthirdpartiesisnotlikelytobeaviolationofthisagreementandContractorwillnotbepreventedfrompursuingalivelihoodbyindependentlycreatingsuchoriginal,butsimilar,worksforthebenefitofthirdparties.

8.REPRESENTATIONSANDWARRANTIESOFCONTRACTOR.

8.1GENERAL.ContractorrepresentsandwarrantsthattheprojectServiceswillbeperformedinaprofessionalandworkmanlikemannerbyemployeesofContractorhavingalevelofskillcommensuratewiththerequirementsofthisAgreement.ContractorrepresentsandwarrantsthattheDeliverableswillsubstantiallyconformtothespecificationssetforthinExhibitA.IftheDeliverableisnon-conforming,Contractorshall,atitsoption,eithercorrectthenon-conformityorreturnallpaymentsmadebyAAAtoContractorhereunderrelatingtothenon-conformingDeliverables.

8.2ORIGINALWORK.ContractorwarrantsthattheworkperformedandtheDeliverablesdeliveredtoAAAunderthisAgreementwillbeoriginal,willnothavebeenpreviouslypublishedinwholeorinpart,willnotinfringeuponanyrightsofothers,andwillnothavebeenpreviouslyassigned,licensedorotherwiseencumbered.InperformingitsobligationsunderthisAgreement,Contractorwillavoidinfringementofanypatent,copyright,ortrademark,orthedisclosureofanytradesecretorotherconfidentialandproprietaryinformationormaterialofanythirdparty.ContractorrepresentsandwarrantsthatAAA’suseandexploitationofworkandworkpreparedforAAA,includingbutnotlimitedtotheDeliverables,willnotbeconstrainedbypatentsoranyotherintellectualpropertyrights.

IntheeventContractorwishestoincludeintheDeliverablesanyinformationormaterialstowhichthirdpartieshaveanyrights,whetherbypatent,copyright,tradesecretorotherwise（OtherMaterials）,ContractorshallfirstnotifyAAA.IfAAAconsentstotheinclusionofsuchOtherMaterialsintheDeliverables,Contractorshallobtainfromthethirdparty,withoutexpensetoAAA,writtenpermissiontoincludesuchOtherMaterialsintheDeliverables.

ThiswrittenpermissionmustbeconsistentwithalltherightsgrantedtoAAAunderthisAgreement.ContractorshallprovideAAAwithacopyofthewrittenpermissionatthetimeoftheDeliverables.

TotheextentContractorincorporatesContractor’sownpreexistingsourcecode/metadataintotheDeliverables,ContractorgrantsAAAtheperpetual,royaltyfreerightandlicensetouse,copy,sublicense,anddistributesuchworkstopreparederivativeworkstherefrom.ContractorshallnotifyAAAifitwishestoincorporateanysuchpreexistingsourcecode/metadataintothedeliverables.
