Inaccordancewiththerelevantlaws,rulesandregulationsofthePeople’sRepublicofChina,PartyAandPartyB,afterfriendlyconsultationintheprincipleofgoodfaith,equalityandmutualbenefits,enterintothefollowingagreementonmattersrelatedtoPartyA’ssupplyofpersonnelmanagementandotherrelevantservicestoPartyBatPartyB’sentrustmentforPartyB’semploymentofChineseemployees:

Chapter1Definitions

UnlessotherwisespecifiedinthisContract,thefollowingtermsshallhavethemeaningsasdefinedbelow:

Article1

“Chineseemployee”meansanyoftheChinesecitizensemployedbyPartyBinaccordancewiththecontractbetweenPartyAandPartyB.TherelationshipbetweentheChineseemployeesandPartyAisarelationshipoflaborandthatbetweentheChineseemployeesandPartyBisarelationshipofservice.TheChineseemployees’workingplaces,postsandworkingmodesshallbedeterminedbyPartyBaccordingtotheneedofitsbusiness.

Article2

“Employmentfee”meansthefeethatPartyBshallpaytoPartyAeverymonthfortheemploymentoftheChineseemployees,including:

(1)WagespayabletotheChineseemployees(thisprovisiononlyappliestothecircumstancewherePartyBentrustsPartyAtopayoutwagestotheChineseemployeesonbehalfofPartyB;ifPartyBdoesnotentrustPartyAtopayoutwagesonbehalfofPartyB,therelevantmattersshallbespecifiedintheappendix);and

(2)ManagementfeeforPartyA,including:

A.TheexpensesofsocialinsuranceandwelfarethatPartyBmustundertakefortheChineseemployeesinaccordancewiththerelevantlaws,rulesandregulationsofChina;

B.Supplementalmedicalinsuranceandotherwelfares(optional)

C.TherelevantexpensesofpersonnelserviceandmanagementofferedbyPartyAfortheChineseemployeesemployedbyPartyB

Article3

Compensatoryfeesandcompensations

1.“Economiccompensation”meanstheexpenseofeconomiccompensationthatPartyBshallpaytoaChineseemployeeforPartyB’sdismissalofthisemployee(economiccompensation=monthlyaveragewageoftheemployee´numberoftheyearsofserviceforPartyB;aperiodofservicelessthanoneyearbutmorethansixmonthsshallbedeemedoneyear;theemployee’smonthlyaveragewage=totalamountofwagesin12monthsbeforetheemployeeisreturnedtoPartyA/12).

2.“Compensatorypayment”means25%ofaChineseemployee’swageincomethatPartyBshallpaytotheChineseemployeeinadditiontoallthewageincomepayabletotheemployee,providedthatPartyBhasdismissedtheChineseemployeewithoutjustifiedreasonsandconsequentlyincurredlossofwageincometotheemployee.

3.“Additionaleconomiccompensation”means50%oftheeconomiccompensationthatPartyBshallpaytoaChineseemployeeinadditiontothefullamountoftheeconomiccompensation,providedthatPartyBhasdismissedtheChineseemployeebutfailedtopayeconomiccompensationtotheemployeeinaccordancewiththerelevantregulations.

Chapter2GeneralProvisions

Article4  ThisContractisapplicabletoPartyB’semploymentofPartyA’sstaffandotherrelatedissues.AnyunspecificissuesinthiscontractshallbesettledinaccordancewiththeParties’agreement,ifthereisnoitemontheissues,inthelineofLaws,Articles,RegulationsorStatePolicies;orinlinewithanAgreementsignedbetweenthePartiesafterconsultationiftherearenosuchLaws,Articles,RegulationsorPoliciesasaforementioned.ThesaidagreementshallserveasasupplementaryagreementtothisContract,bearingtheequalvaliditywiththeContract.

Article5  PartyAshallsign,inaccordancewithLaw,a“LaborContract”withthestaff(thestaffleasedbyPartyAexcluded)toberecommendedtoworkforPartyBandtobeemployedbyPartyBtoestablishtheLaborRelationship.Duringtheworkingperiod,theLaborRelationshipbetweenPartyAandthesaidstaffshallremainunchanged.

Article6  InthecasethatPartyArecommendsitsstafftoPartyBandPartyBemploysthesaidstafffromPartyA,PartyAandPartyBshallsign,inaccordancewiththestipulationsofthiscontract,“AgreementfortheEmploymentofStafffromPartyA”toserveasasupplementarytothiscontract.ThesupplementaryagreementshallbeartheequallegalforcewiththeContract.

Article7  PartyBandthestaffemployedbyPartyBfromPartyAshallmaintainalaborservicerelationshipbetweenemployerandemployee.Bothsidesshouldsign,inaccordancewiththestipulationsinthiscontract,an“EmploymentAgreement”todefinetherespectiverightsandobligationsofthetwosides.

Article8  PartyBandthePartyA’sstaffemployedbyPartyBshallsigninadvancethe“AgreementovertheOverseasTrainingService”or“AgreementovertheTraining  Service“toconfinetherespectiverightsandobligationsofbothparties.ShouldanydisputesrelatedtotheabovetwoagreementsarisebetweenthestaffemployedandPartyB,PartyAisfreefromanyresponsibilityforthestaffindispute.However,forthelosscausedbythestaffemployedduetohisbreachoftheaboveagreements,PartyBmayentrustPartyAtohelpPartyBdemanditsreturn.

                  Chapter3PartyA’srightsandobligations

Article9

PartyA’srights:

(1)PartyAwillhavetherighttoputforthwrittencomplaintstoandnegotiatewithPartyBonPartyB’sactsthatareagainsttherelevantlaws,rulesandregulationsofChinaortheprovisionsofthisContractorimpairthelegalinterestsoftheChineseemployees.AfterreceivingawrittencomplaintfromPartyA,PartyBshallgivePartyAawrittenreplywithintenworkingdays.

(2)PartyAwillhavetherighttocollectvariousfeespayablebyPartyBinaccordancewiththeagreementbetweenthetwoparties.Theparticularstandardsoffeesarespecifiedintheappendix.

(3)IfPartyBfailstoperformtherelevantobligationsspecifiedhereunder,PartyAwillhavetherighttocancelorterminatethisContractandthetwopartiesshallgothroughtherelevantprocedures.

Article10

PartyA’sobligations:

(1)PartyAshallrecommendcandidatesofChineseemployeesinaccordancewithPartyB’srequirements.Inaccordancewiththerelevantstateregulations,PartyAshallgothroughtherelevantproceduresforthepersonsthatPartyBhasdecidedtoemploy.

(2)PartyAshalleducatetheChineseemployeestoabidebythelaws,rulesandregulationsofthePeople’sRepublicofChina.

(3)PartyAshalleducatetheChineseemployeestoobservePartyB’sworkrulesandkeepPartyB’sbusinesssecrets.

(4)PartyAshallpaytheChineseemployeeswagesfromtheemploymentfee(whenentrustedbyPartyBtopayoutwagesonbehalfofPartyB)andwithholdthepersonalincometaxpayablebytheChineseemployees.

(5)Inaccordancewiththestateregulations,PartyAshallkeepandmanagethepersonnelfilesandorganizationalaffiliationsoftheChineseemployeesemployedbyPartyB,ensurethecontinuityoftheChineseemployees’workidentitiesandlengthsofserviceandprovideconsultancyandotherservicesrelatedtopersonnelmanagement.FortheChineseemployeeswhosepersonnelfilesarenotinPartyA,PartyAshallconsultandsignsecondmentagreementswithandpaysecondmentfeestosuchChineseemployees’originalemployers.(thefeesareshoulderedbyPartyB)

(6)PartyAshallundertakesocialinsuranceandwelfarebenefitsfortheChineseemployeesonbehalfofPartyB.TheparticularwelfareandmedicalinsuranceshallbehandledinaccordancewithPartyA’srulesonwelfarebenefitsandthereimbursementofmedicalexpensesfortheemployeesofforeigncompanies.

(7)Inaccordancewiththerelevantregulations,PartyAshallconfertechnicaltitlestotheChineseemployeesthatmeetthespecifiedconditions.

(8)PartyAshallorganizethecorrespondingculturalandrecreationalactivitiesfortheChineseemployees.

(9)TonotifyPartyB15daysinadvanceifPartyAduetobusinessneedintendstomoveitsofficesite.

(10)PartyAshallcontinuouslyimproveitsworkaccordingtoPartyB’scommentsandsuggestions.

Chapter4PartyB’sRightsandObligations

Article11

PartyB’srights:

(1)PartyBmayselectemployeesfromthepersonsrecommendedbyPartyAorselectjobapplicantsbyitselfaccordingtotheneedofbusiness,withPartyAgoingthroughtheproceduresofemployment.

(2)InaccordancewiththeLaborLawofChina,PartyBshallspecifyprobationperiodsforthepersonsithasdecidedtoemployaccordingtotheperiodsofemployment:

A.Theprobationperiodshallnotbemorethanonemonthiftheperiodofemploymentismorethansixmonthsbutlessthanoneyear;

B.Theprobationperiodshallnotbemorethanthreemonthsiftheperiodofemploymentismorethanoneyearbutlessthanthreeyears;

C.Theprobationperiodshallnotbemorethansixmonthsiftheperiodofemploymentismorethanthreeyears;

UponexpiryofaChineseemployee’sprobationperiod,thisChineseemployeeshallautomaticallybecomeaformalemployeeandhis/herperiodofemploymentshallstartfromthedateofprobation.PartyBwillhavetherighttoterminatetheprobationofaChineseemployeewhofailstomeetPartyB’srequirementsintheprobationperiod,butPartyBshallnotifyPartyAoftheterminationinwrittenform,explainthecorrespondinggroundofterminationandpayemploymentfee(includingsocialinsuranceexpense)thatoccursintheproba
