GENERALCONDITIONSOFTHECONTRACTFORCONSTRUCTION

ARTICLE1-GENERALPROVISIONS

1.1DEFINITIONS:

WhenthefollowingtermsappearintheContract,theyshallhavethefollowingmeaning:

AcceptanceoftheWork:

WrittenacceptanceoftheWorkbytheActingDirectoroftheOfficeofCourtConstructionandManagementoftheJudicialCouncilofCalifornia/AdministrativeOfficeoftheCourts,StateofCalifornia,ortheDirector’sdesignee.

ActofGod:

AnActofGodshallincludeonlythefollowingoccurrencesorconditionsandeffects:

.1Earthquakesinexcessofamagnitudeof3.5ontheRichterScale;or

.2Tidalwaves.

Addendum（Addenda）:

AdocumentissuedbytheStateduringthebiddingperiodwhichmodifies,supersedesorsupplementstheContractDocuments.

Alternative:

RefertoApprovedEqualandSubstitution.

ApplicableCodes:

Include,butarenotlimitedto,applicablelaws,statutes,regulations,rules,buildingandothercodes,ordinances,rulings,andlawfulordersofallpublicauthoritieshavingjurisdictionovertheState,theContractor,Subcontractors,theProject,theWork,ortheprosecutionoftheWork.

ApprovedEqual:

Material,equipment,ormethodapprovedbytheStateforuseintheWork,asbeingacceptableasanequivalentinessentialattributestothematerial,equipment,ormethodspecifiedintheContractDocuments.

AgreementForm:

ThewrittenandfullyexecutedStateStandardAgreementFormwhichisattachedtoandincorporatedbyreferencetotheContractDocuments.

ArchitectorEngineer:

TheState,ortheState'sconsultantlistedintheContractDocumentsasthedesignerofrecordresponsibleforthepreparationandcoordinationoftheDrawingsandtechnicalsectionsoftheProjectManual.

BeneficialOccupancy:

OccupancyandusebytheStateofall,orpart,orparts,oftheWorkasselectedbytheState,priortocompletion.

Bidder:

Anyindividual,partnership,corporation,association,jointventure,oranycombinationthereof,submittingaBidFormfortheWork.

ChangeOrder:

AwrittenorderissuedbytheStateonaStateStandardAgreementFormandsignedbyboththeStateandtheContractorwhichalterstheContractDocumentsandidentifiesthefollowing,asapplicable:

.1achangeintheWork,

.2achangeintheContractSum,

.3theextentoftheadjustmentintheContractTime,and/or

.4anadjustmenttotheContractterms.

Claim:

AnunresolvedDisputearisingunderorrelatingtotheperformanceoftheContractthatcanonlybefiledafterthefinalstatementtotheContractor.

Completion:

WhentheentireWorkiscompletedinaccordancewithallContractrequirements,asdeterminedbytheState.

Contract:

TheContractDocumentsformtheContractforConstruction.TheContractrepresentstheentireandintegratedagreementbetweenthepartiesheretoandsupersedespriornegotiations,representationsoragreements,eitherwrittenororal.TheContractmaybeamendedormodifiedbyaChangeOrderexecutedbybothparties.TheContractDocumentsshallnotbeconstruedtocreateacontractualrelationshipofanykindbetweenanypersonsorentitiesotherthantheStateandtheContractor.

ContractDocuments:

TheContractDocumentsincludetheAgreementFormandtheseGeneralConditionsoftheContractforConstructionaswellasanyotherdocumentsreferredtotherein,andalsoincludesanyPaymentandPerformanceBonds;anyChangeOrdersreferredtohereinthatareauthorizedhereunderandanydocumentsreferredtoundersuchChangeOrders.

ContractSum:

TheContractSumisstatedonthefaceoftheAgreementFormand,includingauthorizedadjustmentsbyChangeOrder,isthetotalamountpayablebytheStatetotheContractorforperformanceoftheWorkundertheContract.

ContractTime:

Unlessotherwiseprovided,theContractTimeistheperiodoftime,includingauthorizedadjustments,allottedintheContractforCompletionoftheWork.

Contractor:

Theindividual,partnership,corporation,association,jointventure,oranycombinationthereof,whohasenteredintoacontractwiththeStatetodotheWork,identifiedassuchintheContract,andreferredtothroughouttheContractasifsingularinnumber.Theterm"Contractor"meanstheContractorortheContractor'srepresentative.

Day:

Calendarday,unlessotherwisespecificallydefined.

DepartmentorOCCM:

TheOfficeofCourtConstructionandManagementoftheJudicialCouncilofCalifornia/AdministrativeOfficeoftheCourts,StateofCalifornia.

Director:

TheActingDirectoroftheOfficeofCourtConstructionandManagementoftheJudicialCouncilofCalifornia/AdministrativeOfficeoftheCourts,StateofCalifornia,ortheDirector'sdesignee.

Dispute:

AdemandduringperformanceoftheWorkseekingadjustmentorinterpretationofContractterms,paymentofmoney,extensionoftimeorotherreliefwithrespecttothetermsoftheContract.ADisputeisnotaClaim.

Drawings:

ThegraphicandpictorialportionsoftheContractDocuments,illustratingthedesign,locationanddimensionsoftheWork,generallyincludingbutnotlimitedto,plans,elevations,sections,details,schedulesanddiagrams.

Emergency:

Asudden,unexpectedoccurrencethatposesaclearandimminentdanger,requiringimmediateactiontopreventormitigatethelossorimpairmentoflife,health,property,oressentialpublicservices.

GeneralNotes:

Thewritteninstructions,provisions,conditionsorotherrequirementsappearingontheDrawings,andsoidentifiedthereon,whichpertaintotheperformanceoftheWork.

Guarantee:

TheContractor'sassurancethattheProjectcomplieswiththerequirementsoftheContractDocuments.

OfficialProgressSchedule:

TheContractor'sbaselinescheduleandupdatesacceptedbytheState.

OrEqual:

RefertoApprovedEqual.

Owner:

TheStateofCalifornia.

ProductData:

Illustrations,standardschedules,performancecharts,instructions,brochures,diagramsandotherinformationfurnishedbytheContractortoillustratematerialsorequipmentforsomeportionoftheWork.

Project:

ThetotalconstructionofwhichtheWorkperformedundertheContractmaybethewholeorapart.

ProjectManual:

Thevolume（s）assembledfortheWorkwhichincludestheIntroductoryInformation,BiddingRequirements,ContractingRequirements,Specifications,andotherinformationasmaybelistedintheProjectManualTableofContents.

RequestforInformation（RFI）:

AwrittenrequestbytheContractorsubmittedinaStateprovidedformatforinformationregardingProjectspecificissues.

Retention:

ApercentageoftheContractSumheldbackuponcompletionoftheWork,oranyportionoftheWork,tocoveroutstandingliabilities,contingencies,andthelike,asspecifiedintheContractDocuments.

Samples:

Physicalexampleswhichillustratematerials,equipmentorworkmanshipandestablishstandardsbywhichtheWorkwillbejudged.

ScheduleofValues:

AdocumentfurnishedbytheContractortotheStatereflectingtheportionsoftheContractsumallottedforthevariouspartsoftheWork,andusedasthebasisforreviewingtheContractor'sapplicationsforprogresspayments.

ShopDrawings:

Drawings,diagrams,schedules,andotherdataspeciallyissuedfortheWorkbytheContractororaSubcontractor,Sub-subcontractor,andmaterialsupplierstoillustratesomeportionoftheWork.

Specifications:

ThatportionoftheContractDocumentsconsistingofthewrittenrequirementsformaterials,standards,equipment,constructionsystems,andstandardsofworkmanshipfortheWork,andperformanceofrelatedservices.

StateorAOC:

TheStateofCaliforniaactingthroughtheJudicialCouncilofCalifornia/AdministrativeOfficeoftheCourts.

StateConstructionSupervisor/Inspector:

Theperson（s）authorizedbytheStatetoprovideinspectionservices,fieldcoordinationandqualitycontrolduringconstruction.

State'sRepresentative:

Person（s）authorizedbytheStatetoactonbehalfoftheStatefortheProject.

Subcontractor:

Anindividual,partnership,corporation,association,jointventure,oranycombinationthereof,whohasadirectcontractwiththeContractortoperformworkorlabororrenderserviceinorabouttheWork.Theterm"Subcontractor"isreferredtoasifsingularinnumberandmeansaSubcontractororarepresentativeoftheSubcontractor.Theterm"Subcontractor"shallnotincludethosewhosupplymaterialsonlyoraseparatecontractororsubcontractorsofaseparatecontractor.

Sub-subcontractor:

ApersonorentitywhohasadirectorindirectcontractwithaSubcontractortoperformaportionofthework.Theterm"Sub-subcontractor"isreferredtoasifsingularinnumberandmeansaSub-subcontractororarepresentativeoftheSub-subcontractor.

SubstantialCompletion:

ThestageintheprogressoftheWorkordesignatedportionoftheWorkwhenitissufficientlycompleteinaccordancewiththeContractDocuments,sotheStatecanoccupyorutilizetheWorkforitsintendeduse.SubstantialCompletiondoesnotmeanCompletionoftheWorkorAcceptanceoftheWork.

Substitution:

Amaterialand/orprocessofferedbytheContractorinlieuofthespecifiedmaterialand/orprocess,andacceptedbytheStateinwritingasbeingequivalent（equal）tothespecifiedmaterialand/orprocess.

Warranty:

AContractor's,manufacturer'sormaterialsupplier'sassurancethatproductsandservicesprovidedmeettherequirementsoftheContractDocuments.

Work:

ConstructionandservicesrequiredbytheContractDocuments,includingalllabor,materials,equipmentandservicesaswellasotherDeliverablesprovided,ortobeprovided,bytheContractortofulfilltheContractor'sobligationsundertheContract.

1.2EXECUTION,CORRELATIONANDINTENT

1.2.1TheContractwillnotbebindingont
