InsurancetobecoveredbytheSellersfor110%oftheinvoicevalueagainstW.P.A/AllRisks/WarRiskincludingshortageinweightasperandsubjecttotheOceanMarineCargeClausesofthePeople’sInsuranceCompanyofChinadatedJan.1,1981.Ifothercoverageoranadditionalinsuranceisrequired,theBuyersmusthavetheconsentoftheSellersbeforeshipment,andtheadditionalpremiumistobebornebytheBuyers.

TheBuyersshallopenwithaacceptabletotheSellersanIrrevocableSightLetterofCredittoreachtheSellers30daysbeforethemonthofshipment,validfornegotiationinChinauntilthe15thdayafterthemonthofshipment.（Export）

ByIrrevocableLetterofCreditfor90%thetotalinvoicevalueofthegoodstbbeshipped,infavouroftheSellers,payableattheissuingbankagainsttheSellers’draftatsightaccompaniedbytheshippingdocumentsstipulatedintheCredit.Thebalanceof10%oftheproceedsistobepaidonlyafterthegoodshavebeeninspectedandapprovedattheportofdestination.（Import）

Byconfirmed,irrevocableLetterofCreditinfavoro9ftheSellerspayableatsightagainstPresentationofshippingdocumentsinChina,withpartialshipmentsandtransshipmentallowed.ThecoveringLetterofCreditmustreachtheSellers15daysbeforethecontractedmonthofshipment6andremainvalidintheaboveloadingportuntilthe15thdayaftershipment,failingwhichtheSellersreservetherighttocancelthecontractwithoutfurthernoticeandtoclaimagainsttheBuyersforanylossresultingtherefrom.

CertificatesofQuality,Quantity,WeightandQriginarerequired.TheBuyershavetherighttohavethegoodsre-inspectedbytheGuangzhouEntry-ExitInspectionandQuarantineBureauofthePeople’sRepublicofChinaattheprtfodischarge.TherelevantInspectionCertigficatesmayserveasthebasisofanyclaimtobelodgedbytheBuyersagainsttheSellers.

检验条款：

CommodityInspection

ItismutuallyagreedthatheCertificateofQualityandWeightissuedby------（eg:

ChinaEntry-ExitInspectionandQuarantineBureau）/surveyorattheportofshipmentshallbe（takenasthebasisofdelivery.）/partofthedocumentstobepresentedfornegotiationundertherelevantweightofthecargo.There-inspectionfeeshallbebornebytheBuyer.Theclaimwiththecargo,ifany,shallbelodgedtotheSellerwithin-------daysafterarrivalofthecargoattheportofdestination.

索赔条款：

DiscrepancyandClaim

AnyclaimbytheBuyersregardingthecargoshallbesupportedbysurveyreportissuedbyasurveyorapprovedbytheSellerandlodgedwithin45daysafterthearrivalofthecargoattheportofdestinaton.TheSellerwillnotconsiderclaimsinrespectofmatterswithinresponsibilityofinsurancecompanyorshippingcompany.

ShouldtheSellerfailtomakedeliveryontime,thebuyershallagreetopostponethedeliveryontheconditonthattheSelleragreesofpayapenaltywhichshallbedeductedbythepayingbankatthetimeofpayment.Therateofpenaltyischargedat0.5%ofthetotalvalueofthecargowhosedeliveryhasbeendelayedforeveryweek,odddayslessthanaweekshouldbecountedasaweek.Butthetotalamountofpenaltyshallnotexceed5%ofthetotalvalueofthecargoinvolvedinthelatedelivery.IncasetheSellerfailotmakedelivery10weekslaterthanthetimeofshipmentstipulatedonthecontract,theBuyershallhavbetherighttocancelthecontractandtheSellershallstillpaytheaforesaidpenaltytotheBuerwithoutdelay.

Quality/QuantityDiscrepancyandClaim:

Incasethequalityand/orquantity/weightarefoundtheBuyerstobenotinconformitywiththeContractafterarrivalofthegoodsattheportofdestination,theBuyersmaylodgeclaimwiththeSellerssupportedbysurveyreportissuedbyaninspectionorganizaitonagreeduponbybothparties,withtheexception,however,ofthoseclaimsforwhichtheinsurancecompanyand/ortheshippingcompanyaretobeheldresponsible.ClaimforqualitydiscrepancyshouldbefiledbytheBuyerswithin30daysafterarrivalofthegoodsattheportofdestination,whileforquantity/weightdiscrepancyclaimshouldbefiledbytheBuyerswithin15daysafterarrivalofthegoodsatportofdestination.TheSellersshall,within30daysafterreceiptofthenotificationoftheclaim,aendreplytotheBuyers.

索赔期限：

TheBuyershavetherihgttolodgeclaimsforalllossessustainedwithin60daysafterdischargeofthegoodsattheportofdestination.

综合式不可抗力条款：

ForceMajure

TheSellershallnotbeheldresponsibleforlatedeliveryornon-deliveryofthegoodsduetoflood,fire,earthquake,snowstorm,drought,hailstorm,hurricane,orothereventsthatarebeyondthecontroloftheSeller.ButtheSellershallnotifytheBuyerbycabelassoonaspossibleandgivetheBuyeracertificateby6registeredmailissueddbytheChinaCouncilforthePromotionofInternationalTradeorothercompetentauthorities.

IfshipmentofthecontractedgoodsispreventedordelayedinwholeorinpartduetoForceMajeure,theSellersshallnotbeliablefornon-shipmentorlateshipmentofthegoodsunderthisContract.However,thesellershallnotifytheBuyersbyfaxortelexandfurnishthelatterwithin15daysbyregisteredairmailwithacertificateissuedbythecompetentauthoritiesattheplaceofoccurrenceattestingsucheventorevents.

仲裁条款：

Arbitration

规定在我国仲裁的条款：

Alldisputesinconnectionwithorarisingfromthecontractshallbesettledamicablythroughnegotiation.Incasenosettlementcanbereachedbetweenthetwoparties,thecaseshallbesubmittedtotheChinaintermationalEconomicandTradeArbitrationCommission,BeijingforarbitraitoninaccordancewithitsRulesofArbitration.Thearbitralawardisfinalandbindinguponbothparties.Thearbitrationfeeshallbebornebythelosingpartyunlessotherwiseawardedbythearbitrationcourt.

规定在被诉方仲裁的条款：

Alldisputesinconnectionwithorarisingfromthecontractshallbesettledamicablythroughnegotiation.Incasenosettlementcanbereachedbetweenthetwoparties,thecaseshallbesubmittedforarbitration.Thelocationofarbitrationshallbeinthecountryofthewdomicileofthedefendant.IfinChina,thearbitrationshallbeconductedbytheCjhineaInternationalEconomicandTradeArbitratiton.Ifin------,thearbitrationshallbeconductedby------inaccordancewithitsarbitralrules.Thearbitralawardisfinalandbindinguponbothparties.Thearbitrationfeeshalllbebornebythelosingparytunlessotherwiseawardedbythearbitrationcourt.

TheBuyershallpay--%ofthetotalvalueofthecargobyT/TtotheSellerastheearnestmoney.InthecasethattheBuyerfulfilledtheobligationsinthecontract,theearnestmoneyshallbedeductedbythepayingbankatthetimeofpayment.Otherwisetheearnestmoneyshallnotbereturned.InthecasethattheSellerfailedtofulfillanyobligationthethecontract,theSellershallpaytwicetheearnestmoneytotheBuyer.
