本长期合作协议由以下双方于东莞市长安镇签订：

Thislong-termcooperationagreementismadeinChang’anTownofDongguanCitybetween:

广东欧珀移动通信有限公司，其住所位于东莞市长安镇乌沙海滨路18号。

（以下简称“甲方”）

和

莱尔德电子材料（深圳）有限公司，其住所位于深圳市宝安区福永镇和平社区福源一路德金工业区一区厂房。

（以下简称“乙方”）

GuangdongOPPOMobileTelecommunicationsCorp.Ltd.,anorganizationlocatedat#18HaibinRoad,Wusha,Chang’anTown,DongguanCity（hereinafterreferredtoas“PartyA”）.

And

__LairdTechnologies（Shenzhen）Ltd._,anorganizationlocatedat_Building1,DejinIndustiralPark,FuyuanyiRoad,Hepingcommunity,FuyongTown,BaoAnDistrict,ShenzhenCity（hereinafterreferredtoasPartyB）.

甲、乙双方本着互惠互利，友好合作的原则，为明确双方权利和义务，特订立本长期合作协议及各专项协议，由双方在长期合作协议封面上盖章后生效。

本长期合作协议包含如下专项协议：

Basedontheprincipleofmutualbenefitandfriendlycooperationandtoclarifyresponsibilitiesandobligations,PartyAandPartyBhereofcometothelong-termcooperationagreementandvariousspecialagreements.Alltheagreementswillcomeintoforceatstampingthecommonsealsonthecovers.Thislong-termagreementiscomposedofthespecialagreementsbelow:

SupplierAgencyQualificationandSupplySourceControlAgreement

包含的各专项协议是本长期合作协议不可分割的一部分，与本长期合作协议具有同等法律效力。

Allthespecialagreementsareintegralpartsofthelong-termcooperationagreementandarewithequallegalforceasthelong-termcooperationagreement.

如双方签订了新的长期合作协议、专项协议（简称版本升级），则新的长期合作协议、专项协议（简称新版本）签订的同时旧的长期合作协议、专项协议（简称旧版本）自动解除。

Incaseofnewlong-termcooperationagreementandspecialagreementssignedbetweenthetwoparties（referredtoasagreementupgrade）,theoldversionlong-termcooperationagreementandspecialagreements（referredtoasupgradedagreement）shallbeautomaticallyterminatedatthemomentwhenthenewversionlong-termcooperationagreementandspecialagreements（referredtoasnewversionagreement）comeintoforce.

甲、乙双方确认经过平等协商、相互商讨，双方共同拟订了本长期合作协议及各专项协议。

甲、乙双方均认为本长期合作协议及各专项协议是各方共同的真实意思表示，对协议条款已充分理解并完全同意。

甲、乙双方均确认本长期合作协议及各专项协议不作为任何一方的格式合同、格式条款。

对长期合作协议及各专项协议中的责任条款，甲、乙双方均已充分注意并完全理解，双方对该等条款均表示全部接受。

PartyAandPartyBhereofconfirmthatthroughfriendlyandfairconsultationsthetwopartiescometothelong-termcooperationagreementandvariousspecialagreements.BothPartyAandPartyBhereofconsiderthatthelong-termagreementandvariousspecialagreementsarethetrueexpressionsofthetwopartiesandthetwopartiesabsolutelyandentirelyunderstandandagreeonallclausesintheagreements.BothPartyAandPartyBhereofconfirmthatthelong-termagreementandvariousspecialagreementsshallnotbedeemedasformatcontractorformatclauses.Moreover,bothPartyAandPartyBhereoffullynoticeandentirelyagreeonclausesofresponsibilityinthelong-termagreementandvariousspecialagreements,andabsolutelyacceptalltheclauses.

长期合作协议

付款条件定义：

Definitionforpaymentcondition:

1）月结付款条件：

月结货款指乙方从本月1日至本月月末的所有验收合格入库后的货款。

所有因品质等原因未在本月及时入库的数量不在本月结算付款之列；月结30天是指其货款从供货次月1日开始算起，30天后到期，月结60天/90天以此类推。

PaymentAMSterms:

Netdaypaymentmeanspaymentismadeforthewarehousedproductsacceptedafterinspectionfromthefirstdaytotheendofthemonth.Alltheproductsfailedforreleaseforwarehouseduetoqualityissuesduringthismonthareexcludedinsettlementofthismonth;net30daysmeanspaymentshallbemadewithin30dayscountingfromthefirstdayofnextmonthaftersupplying,andonanalogofthisfornet60/90days.

2）货到付款条件：

货到×天是指收货日后×天到期。

CODterms:

XdaysafterdeliverymeanspaymentshallbemadeXdaysafterreceiving.

4、订单下达

OrderPlacing

甲方以打印的并加盖甲方购货合同章的《订货合同》（包含《采购订单》、《备料合同》，下同）作为向

乙方下达采购订单的唯一方式。

乙方收到甲方《订货合同》后需在一个工作日内对订单上的货物规格、

数量、单价、交期、付款方式等予以确认并签章后回传给甲方，以此作为双方确定《订货合同》的依

据。

乙方如因特殊原因无法按时回传，可书面告之甲方具体的合同评审时间，经甲方许可后可适时顺

延确认时间。

如乙方无故拖延《订货合同》确认时间而影响甲方生产计划，甲方将按每份合同延迟一

天要求乙方支付人民币伍佰圆的违约金。

PartyBtakestheonlywaytoplacepurchaseordertoPartyBbyprintedPurchaseContract（includingPurchaseOrder,MaterialContract,similarlyhereinafter.）withspecialsealforpurchasecontractofPartyA.WithinoneworkingdayafterreceivingthePurchaseContractfromPartyA,PartyBshallconfirmproductspecification,quantity,unitprice,dateofdeliveryandpaymentonthepurchaseorderandfaxitbacktoPartyAafterstampingsealonitasproofofconfirmedPurchaseContractbybothparties.Incaseoffailuretofaxitbackasscheduledduetospecialreason,PartyBshallnotifyPartyAaboutdetailedcontractreviewtime.TheconfirmationtimecannotbedelayeduntilconsentreceivedfromPartyA.IfPartyA’sproductionplanisaffectedduetounreasonabledelayofconfirmationtimeofPurchaseContractbyPartyB,PartyAshallclaimagainstPartyBforRMB500foreachdelayeddayforeachcontractaspenaltyforbreachofcontract.

5、订单变更

OrderModification

5.1如因甲方原因变更（包括但不限于取消、增加/减少数量、更改交期等）已生效的《订货合同》，甲方

以传真形式向乙方发出加盖甲方购货合同章《订货合同变更协议》。

乙方应在接到甲方《订货合同变更协议》后一个工作日内予以确认并签章后回传给甲方。

若乙方未按时回传，甲方可视同乙方已接受《订货合同变更协议》。

IfthevalidPurchaseContractismodified（includingbutnotlimitedto:

cancellation,quantityincrease/decrease,changeofdateofdelivery）duetoPartyA,PartyAshallfaxaPurchaseContractModificationAgreementwithpurchasesealtoPartyB.PartyBshallconfirm,sealandfaxbackthePurchaseContractModificationAgreementwithinoneworkingdayafterreceivingitfromPartyA.IncasethatPartyBfailstofaxitbackasscheduled,PartyAshalldeemitasthatPartyBhasacceptedthePurchaseContractModificationAgreement.

5.2乙方在接到并确认甲方《订货合同变更协议》后应立即安排调整生产或调整备货。

若需取消订单或减

少订单数量，乙方需一个工作日内将已生产或已备货情况如实反馈给甲方。

乙方已生产或已备货物料，原则上由甲方协助消化，具体处理方式由双方协商确定。

乙方虚报数量造成的甲方损失，甲方有权利要求乙方全额承担。

AfterreceivingandconfirmingthePurchaseContractModificationAgreementfromPartyA,PartyBshallimmediatelymakearrangementsofproductionandstockadjustment.Incaseofpurchaseordercancellationorquantitydecreaseinpurchaseorder,PartyBshallreportactualproductionorstocksituationtoPartyAwithinoneworkingday.Inprinciple,PartyAshallassistinabsorbingtheproducedorstockedmaterialsofPartyB,andthespecificsolutionshallbereachedafterconsultationsbetweenthetwoparties.IncaseofPartyA’slosscausedbyfalsequantityreportedbyPartyB,PartyAhastherighttorequirePartyBtoundertakeallthelossessufferedbyPartyA.

5.3甲方供应部为甲方向乙方下达订单指令的唯一窗口单位，乙方不得接收除甲方供应部指定人员以外的

任何人员的订单下达和变更指令，否则由此给乙方造成的一切损失由乙方自行承担；甲方以打印的并

加盖甲方购货合同章的《订货合同》或《订货合同变更协议》作为向乙方下达采购订单或变更采购订

单的唯一方式，乙方不得接受上述下单或变更方式以外的任何形式的订单指令，否则由此给乙方造成

的一切损失由乙方自行承担。

SupplyDepartmentofPartyAistheonlyunitofPartyAtoplacepurchaseordertoPartyB,andPartyBshallnotacceptanyneworderormodificationdirectivesfromanyotherpersonnelexceptthoseappointedbyPartyA.Otherwise,alllossescausedtoPartyBshallbesolelyundertakenbyPartyB.PartyBtakestheonlywaytoplacepurchaseorderormodifythepurchaseordertoPartyBbyprintedPurchaseContractorPurchaseContractModificationAgreementwithspecialsealforpurchasecontractofPartyA,andPartyBshallnotacceptpurchaseorderdirectivesinanyanotherformsforplacingormodifyingpurchaseorder.Otherwise,alllossescausedtoPartyBshallbesolelyundertakenbyPartyB.

6、价格

Price

双方交易价格按照生效的《订货合同》单价执行，定价方式及其他权责按双方签订的《价格诚信协议》

执行。

ThepurchasepriceissubjecttotheunitpricespecifiedinthevalidPurchaseContract.PricingmethodandotherresponsibilitiesandobligationsaresubjecttoPriceCreditAgreementsignedbythetwoparties.

7、交货

Delivery

7.1乙方将产品交到生效的《订货合同》中规定的交货地点交给甲方，办理交货手续，并同时提供有关产品的单证和资料，乙方承担交货前的一切费用及货物风险，包括但不限于运输、保险及卸货等费用。

若乙方交货延迟，每延迟一天乙方需按延迟交货总金额的1%支付违约金，违约金最低限额人民币伍佰圆，最高限额为延迟交货总金额的10%；若延期8天（含）以上，甲方有权利单方面取消订单，因此给乙方造成的全部损失由乙方承担，同时甲方有权要求乙方承担因此给甲方造成的损失。

若因不可抗拒因素导致乙方无法按时交货，乙方可不予承担延期交货违约责任，但必须在7个工作日内提供不可抗拒因素的相关证明。

若因甲方原因导致乙方无法按时交货，乙方可不予承担延期交货违约责任。

PartyBshalldelivertheproductstoPartyAattheplacespecifiedinthevalidPurchaseContract,handledeliveryformalities,andproviderelatedcertificatesanddataoftheproducts.PartyBshallundertakeallchargesandcommodityrisksbeforedeliveryincludingbutnotlimitedtochargesfortransport,insuranceanddischarging.IncaseofdelayeddeliverybyPartyB,PartyBshallpay1%ofthedelayedproductvalueforeachdelayeddayascompensationforbreachofcontract.TheminimumamountofcompensationforbreachofcontractisRMB500,andt
