LABORCONTRACT

InaccordancewiththeLaborLawofthePeople'sRepublicofChina,theLaborContractLawofthePeople'sRepublicofChinaandtheRegulationsontheImplementationoftheLaborContractLaw,PartyAandPartyBfollowtheprinciplesoflegalfairness,equality,voluntariness,consensusandgoodfaith.Thiscontract,andcommitmenttocommoncompliance.

Article1

TermofContractandProbationPeriod

1.ThetermofthisContractshallbe__years__months,fromddmmyytoddmmyy,duringthis:

2.ThisContractshalltakeeffectonthedayPartyBactuallycommencesworkforPartyA.

3.Duringprobationperiod,PartyAshallperformaperformance

reviewonPartyB,andshalldecidewhethertoformallyhireParty

BbasedonPartyB'sworkperformanceandcapabilities.The

probationperiodshallenduponnoticefromPartyAofPartyB's

formalhiring,andPartyBshallbecomePartyA'sformalemployee.

IntheeventthatPartyAdoesnotbelievethatPartyBfully

meetshiringconditions,PartyAmayextendtheprobationperiod

inaccordancewithapplicablerules.Duringtheprobationperiod,

intheeventthatPartyAdoesnotbelievethatPartyBmeets

hiringconditionsanddecidesnottohirePartyA,thisContract

shallbeterminatedautomatically.

4.OnthedayPartyBreportstowork,PartyBshallprovidePartyA

withthelaborcertificateorrelevantseverancecertificates

[fromPartyB'spreviousemployer].Intheeventsuchproofisnot

providedwithinhalfamonth,PartyBmusthaveareasonable

applicationandmaygetanextensiononlyafterPartyAgives

consent,andsaidextensionshallnotexceedonemonth.Inthe

eventthatPartyBfailstoproviderelevantproofwithinthe

prescribedtimeframe,thisContractshallbeautomatically

terminated.

Article2

JobPostandJobDuties

1.PartyBshallholdthepositionof___withthedepartmentof

____.PartyBshallcompletehisworkaccordingtothejobduties

definedbyPartyA.

2.PartyAmaychangePartyB'sjobduetoPartyA'sbusinessneedor

duetoPartyB'scapabilitiesorperformance.PartyBshallhave

therighttomakehisowncomment,butshallcomplywithPartyA's

workarrangements,andshallcompletetheproceduresforchange

accordingtotherules.

Article3

WorkConditionsandLaborProtection

1.PartyAshallimplementa40-hourworkweeksystem.Dueto

businessneeds,management,salesandservicedepartments,etc.,

shallimplementanirregularworksystemorcomprehensivework

hoursystem.

2.IntheeventthatPartyAneedsPartyBtoworkovertimedueto

businessneeds,PartyAmayprovidemakeupbreaksorcompensation.

3.PartyAshallprovidePartyBwithaworkenvironmentandlabor

protectionmeasuresconsistentwiththerequirementsofthe

ChineseGovernment.

Article4

Compensation

1.InaccordancewiththecurrentsalarysystemofPartyA,PartyB's

totalmonthlysalaryshallbeRMB____.Attheendoftheprobation

period,PartyB'smonthlysalaryshallbeissuedinthefollowing

manner.

a.ThebaseamountshallbeRMB___,ofwhich___%shallbethe

performancereviewbonus,whichshallbeissuedafterbeing

floatedaccordingtoPartyA'sperformancereviewsystem.

b.ThesalaryshallbeRMB___,plusabonus.Thebonusshallbe

issuedinaccordancewithrelevantrequirementsofPartyA.

2.PartyAshallissuethesalaryforthepreviousmonthonthe10th

ofeachmonth.

3.PartyB'spersonalincomeadjustmenttaxshallbebornebyPartyB

himself,andshallbewithheldbyPartyA.

4.PartyAmaypayPartyBacertainamountofsubsidiesandbonuses

dependingonthebusinessoperatingstatusandPartyB'swork

performance.

5.IntheeventthatPartyAimplementsanewsalarysystem,adjusts

salarylevelsorintheeventthatPartyB'sdutypostand

positionischanged,PartyAmaymakeanadjustmenttoPartyB's

salaryinaccordancewiththerelevantrules.

Article5

LaborInsurance,WelfareandBenefits

1.Partyshallpayrelevantsocialinsurancetodesignated

authoritiesonPartyB'sbehalfinatimelymannerinaccordance

withgovernmentrequirements.

2.PartyBshallbeentitledtolegalholidaysspecifiedbythe

ChineseGovernment,aswellaspaidleaves,suchasannual

vacations,maritalleave,bereavementleaveandmaternityleave,

etc.

3.DuringPartyB'semploymentwithPartyA,intheeventofParty

B'ssicknessornon-jobrelatedinjuries,PartyBshallsetParty

B'smedicalleaveinaccordancewithgovernmentrequirements.

Article6

LaborDiscipline

1.PartyBshallstrictlycomplywiththevariousrulesand

regulationspreparedbyPartyAinaccordancewithlaw.

2.IntheeventthatPartyBhascompliedwithrulesandregulations

inanexemplarymannerorintheeventthatPartyBhasviolated

suchrulesandregulations,PartyAshallrewardanddiscipline

PartyB,asthecasemaybe.

Article7

Terminationof,Changesto,RenewalandDissolutionofLaborContract

1.Upontheoccurrenceofanyoneofthefollowingcircumstances,

thisLaborContractshallbeterminated:

a）TheexpirationofthisLaborContract;

b）PartyAhasbeendeclaredbankruptinaccordancewithlaw;

c）PartyAhasbeendissolvedorrevokedinaccordancewithlaw;

d）PartyB'sretirement,severanceordeath;

e）Othercircumstancesspecifiedbylawsandregulations;

2.ThisLaborContractmaybeterminateduponconsensusbetween

PartyAandPartyB;

3.Uponitsexpiration,thisLaborContractmayberenewedupon

mutualagreementbetweenPartyAandPartyB;

4.Duetochangeofproducts,adjustmenttobusinessoperationsor

duetopolicyadjustmentsandotherchangesofcircumstances,

PartyAmaychangetherelevantcontentsofthisContractand

completetheproceduresforsuchchanges;

5.PartyBmayterminatethisLaborContractatanytimeuponthe

occurrenceofanyoneofthefollowingcircumstances:

a）PartyBisintheprobationperiod;

b）PartyAforcesPartyBtoperformlaborthroughforce,threat

orillegalrestrictiononPartyB'spersonalfreedom;

c）PartyAfailstopaylaborcompensationorprovidework

conditions;

d）Uponconfirmationbylaborprotectionandlaborhealth

oversightauthorities,PartyA'sworksafetyandhealth

conditionsdonotmeetthestandardsoflawsandregulations;

6.PartyBmustgivePartyA30daysofwrittennoticewhenit

requeststerminationofthisLaborContract.Intheeventthatany

specialprovisionshavebeencovenantedregardingthedeadlinefor

advancenotice,therequirementforsuchaprescribeddeadline

shallbemet.

7.Upontheoccurrenceofanyoneofthefollowingcircumstances,

PartyAmayterminatethisLaborContract,butmustgivePartyB

30daysofwrittennotice:

a）IntheeventthatPartyBbecomessickorsuffersnon-work

relatedinjuries,afterPartyB'smedicalleavehasended,

PartyBstillhasnot

recovered,oralthoughPartyBhasrecovered,PartyBcannot

performtheworkontheoriginaldutypostoranyotherwork

arrangedbyPartyA;

b）PartyBisincompetent,andstillremainsincompetenteven

aftertrainingoreventhoughPartyB'sdutyposthasbeen

adjusted;

c）Therehavebeenmajorchangestoinobjectivecircumstances

usedasthebasisfortheexecutionofthisLaborContract,

renderingitimpossibletoperformtheoriginalLabor

Contract,andthepartiesarestillnotabletoreachan

agreementonchangestothisLaborContractaftertheir

consultations;

8.PartyBmayterminatethisLaborContractatanytimeuponthe

occurrenceofanyoneofthefollowingcircumstancesonPartyB's

part:

a）PartyBprovesthatPartyAhasnotmetthehiringconditions

duringtheprobationperiod;

b）ThecumulativenumberofdaysofPartyB'sabsencewithout

leaveandleaveexceedsthenumberofdaysallowedbyPartyA;

c）PartyBseriouslyviolatesthelabordisciplineortherules

andregulationsofthecompany;

d）PartyBneglectshisdutyandisengagedinmalpracticefor

personalgains,causingsubstantiallosstoPartyA;

e）PartyBisheldcriminallyliableinaccordancewithlaw;and

f）Othercircumstancesspecifiedbylawsandregulations.

9.TheperformanceofthisLaborContractshallbesuspendeduponthe

occurrenceofanyoneofthefollowingcircumstances:

a）PartyBisdraftedintomilitaryserviceorperformsother

legallymandatedobligationsspecifiedbythestate;

b）PartyBistemporarilyunabletoperformtheobligationsunder

thisLaborContract,buttherearestillconditionsand

possibilitiesfortheemployeetocontinuetoperformthem;

and

c）Othercircumstancessetforthbylawsandregulationsor

covenantedbythisLaborContract.

Article8

LiabilitiesforBreachofThisLaborContract

1.Uponthetermination,dissolutionofthisLaborContractorupon

theoccurrenceofliabilityforbreachofsame,legalliabilities

shallbeundertakeninaccordancewiththeapplicableprovisions

ofthe"LaborLaw"andstatelawsandregulations.Intheevent

thatanyeconomiclossesordamageshavebeencausedtotheother

party,liabilitiesfordamagesshallbeinaccordancewithlaw.

2.IntheeventthatwhenPartyAterminatesthisContractin

accordancewithSection7,Article7,andPartyBterminatesthis

ContractinaccordancewithSection7,Article7andClause2,
