Chapter1Definition

IntheContractunlessthecontextotherwisedefines,

1.1ContactEquipmentmeanstheequipment,materials,sparepartsoranypartthereofsuppliedbytheSellerincludingthosewithwhichContractProductsareproduced,detailsofwhicharespecifiedinAppendix1and3totheContract.

1.2ContractPlantmeanstheplantcomprisedofContractEquipment,Technologyandthecompletesetsofauxiliaryfacilities,detailsasperAppendix3totheContract.

1.3ContractProductmeanstheproductsmanufacturedintheContractPlant,thetechnicalspecifications,performanceandguaranteeindicesofwhicharespecifiedinAppendix3.

1.4ContractPricemeansthesumpayabletotheSellerundertheContractforfullandproperperformanceofitscontractualobligations,detailsofwhicharespecifiedinAppendix7.

1.5ContractCurrencymeansthecurrencyinwhichthepaymentismadeundertheContract,namely____________________.

1.7Erectionmeanstheinstallationoftheequipment,sparepartsandmaterialsincludingplacingandconnectingthepartstotheirpositionsaccordingtothedesigndrawing,detailsofwhicharespecifiedinAppendix10.

1.8TestRunsmeansthetestconductedrespectivelyontheindividualequipmentandaseriesofequipmentafterErectioninordertocheckthemechanicalperformanceofContractEquipment,detailsofwhicharespecifiedinAppendix10.

1.9CommissioningmeanstheinitialproductionoftheContractPlantforthepurposeofcarryingoutthePerformanceTestaftertheutilitiesbeingconnectedandtherawmaterialsbeingputintotheContractPlant,detailsofwhicharespecifiedinAppendix10.

1.10PerformanceTestmeansthetestsconductedpursuanttoAppendix10,inordertoidentifywhethertheContractPlantandtheContractProducthaveachievedthetechnicalperformanceandguaranteeindicesspecifiedinAppendix3.

1.11AcceptancemeanstheBuyeracceptstheContractPlantafteritreachesthetechnicalperformanceandguaranteeindicesspecifiedinAppendix3.

1.12PortofShipmentandUnloadingrefersto____________________port,asPortofShipment;____________________portasPortofUnloading.

1.16TechnicalDocumentationmeansthetechnicalindices,specifications,drawingsanddocumentsrelatedtoDesign,Inspection,Erection,TestRuns,Commissioning,PerformanceTest,operationandmaintenanceofContractPlant,detailsofwhicharespecifiedinAppendix2,3,8and9.

1.17TechnicalServicemeansthetechnicalinstruction,assistanceandsupervisionrenderedbytheSellertotheBuyerwithrespecttoErection,TestRuns,Commissioning,PerformanceTest,operation,maintenanceandotherworkrelatedtotheContractPlant,detailsofwhicharespecifiedinAppendix4.

1.18TechnicalTrainingmeansthetrainingrenderedbytheSellertotheBuyerwithrespecttoErection,TestRuns,Commissioning,PerformanceTest,operation,maintenanceandotherworkrelatedtotheContractPlant,detailsofwhicharespecifiedinAppendix5.

1.19InspectionAuthoritiesreferstothelocalinspectionbranchofStateAdministrationforEntry-ExitInspectionandQuarantineofPRClocatedat/nearthePortofUnloadingand/ortheJobSite.

1.20WarrantyPeriodmeansaperiodstartingfromthedateofacceptance,duringwhichtheSellerwarrantstheproperandstableoperationoftheContractPlantandisresponsibleforeliminatinganydefectswithrespecttotheContractPlant,detailofwhicharespecifiedinAppendix3.

1.21EffectiveDateoftheContractmeansthedatewhenthecontractisapprovedbycompetentauthoritiesoftherespectiveParty'scountries.

Chapter2ScopeoftheContract

2.1TheBuyeragreestobuyfromtheSellerandtheSelleragreestoselltotheBuyer__________（ContractPlant）,includingtheContractEquipment,licensedpatentand/orknow-how,design,TechnicalDocumentation,TechnicalServiceandTechnicalTraining,contentsofwhicharespecifiedinAppendix1,2,4,5,8and9.

2.2TheSellershallsupplytheContractEquipmentlistedinAppendix1.Thetechnicalspecification,performanceandguaranteeindicesoftheContractEquipmentarespecifiedinAppendix3.

2.3TheSelleragreestogranttheBuyeraexclusive/ornon-exclusiveandtransferable/ornon-transferablelicensetousethepatentand/orknow-howinordertomanufactureandselltheContractProductwithintheterritoryofPRC,andexportto__________（country）,detailsofwhicharespecifiedinAppendix2.

TheSellershallnotprohibittheBuyerfromusingthepatentand/orknow-howaftertheexpirationoftheContract.

2.4TheSellershallundertakethedesignworkwithrespecttotheContractPlant,detailsofwhichshallbeasperAppendix8.

2.5TheSellershallsubmittotheBuyertheTechnicalDocumentationasspecifiedinAppendix2,3,8,and9.

2.6TheSellershalldispatchitsexperienced,healthyandcompetenttechnicalpersonneltotheJobSitetorenderTechnicalService,detailsasperAppendix4.

2.7TheSellershallrenderTechnicalTrainingtothetechnicalpersonneldispatchedbytheBuyer.Thenumberofpersonnel,trainingplaceandtheextentoftrainingareshowninAppendix5.

2.8TheSellershall,attheBuyer'srequest,providetheBuyerwithsparepartsfornormaloperationoftheContractPlantatfavorablepriceswithin_____yearsaftertheAcceptanceoftheContractPlant.AseparateagreementwillbesignedbetweenthetwoPartiesatthattime.

3.1ThetotalContractPriceforContractEquipment,licenseofpatentand/orknow-how,design,TechnicalDocumentation,TechnicalServiceandTechnicalTrainingtoberenderedbytheSellerunderthecontract_________（say:
