1.LEASE.LessorherebyleasestoLesseeandLesseeherebyleasesfromLessorallofthetangiblepersonalpropertylistedoneachEquipmentScheduleexecutedfromtimetotimepursuanttothisAgreement（each,an"EquipmentSchedule"）.EachEquipmentScheduleshallbesubstantiallyintheformannexedheretoasAnnexA,shallincorporatebyreferencethereinallofthetermsandconditionsofthisAgreementandshallincludesuchothertermsandconditionsuponwhichthepartieshaveagreed（eachEquipmentSchedule,togetherwiththisAgreementasitrelatestosuchSchedule,isreferredtohereinasa"Lease"）.WithrespecttoeachLease,capitalizedtermsnotdefinedinthisAgreementshallhavethemeaningsstatedintheapplicableEquipmentSchedule.

2.NETLEASE.EACHLEASEISANETLEASE,ANDLESSEESHALLPAYALLCOSTSANDEXPENSESOFEVERYCHARACTER,WHETHERFORESEENORUNFORESEEN,ORDINARYOREXTRAORDINARY,INCONNECTIONWITHTHEUSE,POSSESSION,STORAGE,MAINTENANCEANDREPAIROFTHEEQUIPMENT.LESSEEISUNCONDITIONALLYOBLIGATEDTOPAYPERIODICRENTANDALLOTHERAMOUNTSDUEUNDEREACHLEASEREGARDLESSOFANYDEFECTINORDAMAGETOTHEEQUIPMENT,LOSSOFPOSSESSIONORUSEOFTHEEQUIPMENTORDESTRUCTIONOFTHEEQUIPMENTFROMANYCAUSEWHATSOEVER.LESSEE'SOBLIGATIONSUNDEREACHLEASESHALLCONTINUEUNTILSPECIFICALLYTERMINATEDASPROVIDEDTHEREIN.LESSEEISNOTENTITLEDTOANYABATEMENT,REDUCTION,RECOUPMENT,DEFENSE,ORSET-OFFAGAINSTPERIODICRENTOROTHERAMOUNTSDUETOLESSORUNDEREACHLEASE,WHETHERARISINGOUTOFSUCHLEASE（INCLUDINGANYBREACH,DEFAULTORMISREPRESENTATIONOFLESSOR）OROUTOFLESSOR'SSTRICTLIABILITYORNEGLIGENCE,OROTHERWISE.

3.TERM.ThetermofthisAgreementshallcommenceontheEffectiveDateandshallcontinueineffectthereafteraslongasanyLeaseremainsineffect.ThetermofeachLeaseshallcommenceontheLeaseCommencementDateassetforthinaDeliveryandAcceptanceCertificatesignedbytheLesseeinsubstantiallytheformannexedheretoasAnnexB（the"LeaseCommencementDate"）andshallcontinuethereafterfortheleasetermsetforthintheapplicableEquipmentSchedule（the"LeaseTerm"）.UnlessLesseeshallhavegivenduenoticeoftheexerciseofoneoftheoptionsavailabletoLesseeunderSection13hereoforshallhavegivenLessorwrittennoticeofnonrenewalatleast30dayspriortotheexpirationofanyLeaseTerm,suchLeaseTermshallautomaticallyrenewforsuccessivemonthlyperiodsuntilterminatedbyLesseeorLessoruponatleast30dayspriorwrittennotice.

4.RENT.LesseeagreestopayPeriodicRentintheamountspecifiedineachEquipmentSchedule（the"PeriodicRent"）.TheinitialPeriodicRentpaymentforeachLeaseshallbedueonthedatetheEquipmentisacceptedbyLesseeandsubsequentPeriodicRentpaymentsshallbedueasspecifiedontheapplicableEquipmentSchedule.AllPeriodicRentandotheramountspayableundereachLease（collectivelyreferredtohereinas"Rent"）shallbepaidtoLessorattheaddressspecifiedontheapplicableEquipmentScheduleoratsuchotheraddressasLessormayspecifythereafterinwriting.IfanyPeriodicRentorotherRentpaymentisnotpaidwithin10daysofitsduedate,LesseeagreestopayasadditionalRentalatechargeequalto5%ofsuchunpaidRentpaymentplus11/2%permonthofanyamountdueandunpaidformorethan30days,or,ifless,themaximumamountpermittedunderapplicablelaw.PeriodicRentpayableduringanyautomaticrenewalperioddescribedinSection3hereofshallbeequaltothehighestPeriodicRentpayableduringtheinitialLeaseTerm.

LesseeherebyagreesthattheamountofthePeriodicRentpaymentsandPurchaseOptionPriceundereachLeaseshallbeadjustedtoreflectanychangeintheCosttoLessorsetforthintheapplicableEquipmentScheduleasaresultofEquipmentchangeordersorreturns,invoicingerrorsorothersimilarevents.Intheeventofanysuchadjustment,LessorwillfurnishtoLesseeawrittennoticestatingthefinalCosttoLessor,PeriodicRentandPurchaseOptionPrice.

5.DISCLAIMEROFWARRANTIES.LESSEEACKNOWLEDGESANDAGREESTHAT:

（a）EACHITEMOFEQUIPMENTISOFATYPE,DESIGN,QUALITYANDMANUFACTURESELECTEDBYLESSEE,ACCEPTABLETOLESSEEANDSUITABLEFORLESSEE'SPURPOSES;（b）LESSORISNOTTHEMANUFACTURERORSUPPLIEROFTHEEQUIPMENTORTHEREPRESENTATIVEOFEITHER;（c）LESSORISNOTREQUIREDTOENFORCEANYMANUFACTURER'SWARRANTIESONBEHALFOFITSELFORLESSEE;（d）LESSORHASNOTINSPECTEDANDISNOTOBLIGATEDTOINSPECTTHEEQUIPMENT;（e）LESSORLEASESTHEEQUIPMENTTOLESSEEASISWITHOUTWARRANTYORREPRESENTATIONEITHEREXPRESSORIMPLIED,ANDTHELESSOREXPRESSLYDISCLAIMSANYWARRANTY,EXPRESSORIMPLIED,ASTO（i）THETITLE,CONDITION,FITNESSFORUSEFORAPARTICULARPURPOSE,DESIGN,COMPLIANCEWITHSPECIFICATIONS,OPERATION,ORMERCHANTABILITYTHEREOF,（ii）THEABSENCEOFLATENTOROTHERDEFECTS,WHETHERORNOTDISCERNABLE,（iii）THEABSENCEOFINFRINGEMENTOFANYPATENT,TRADEMARKORCOPYRIGHTOR（iv）ANYOTHERMATTERWHATSOEVER,ITBEINGAGREEDTHATALLSUCHRISKS,ASBETWEENTHELESSORANDTHELESSEE,ARETOBEBORNEBYTHELESSEE.

6.USE,OPERATIONANDRETURNOFEQUIPMENT.

（a）Lesseeagreesatitsownexpenseto:

（i）maintaintheEquipmentingoodappearanceandcondition,reasonablewearandtearexcepted;and（ii）usetheEquipmentinthemannerforwhichitwasintendedandincompliancewithallapplicablelawsandmanufacturerrequirementsandrecommendations.

（b）LesseeagreesnottoattachtotheEquipmentanyaccessory,equipment,ordevicenotleasedfromLessorunlessitiseasilyremovablewithoutdamagingtheEquipment.Lesseeagreestopayallcostsforparts,alterations,andadditionstotheEquipment（includingthoserequiredbylaw）,allofwhichimmediatelyshallbecomethepropertyofLessor.LessorandLesseeintendthattheEquipmentshallremainpersonalpropertytoLessor.

（c）ProvidedthatnoDefault,asdefinedherein,hasoccurredandiscontinuing,LesseeisauthorizedonbehalfofLessortoenforceinitsownname（andatitsownexpense）anywarranty,indemnity,orrightstodamagesrelatingtotheEquipmentwhichLessorhasagainstthesupplierofsuchEquipment.

（d）NotlaterthantheexpirationdateofeachLeaseTerm,Lesseeagrees,atitsownexpenseandrisk,to:

（i）effectanyrepairsnecessarytoplacetheapplicableEquipmentinthesameconditionaswhenreceivedbyLessee,reasonablewearandtearexcepted;（ii）causesuchEquipmenttobedisassembledandcratedinaworkmanlikemannerinaccordancewiththemanufacturer'srecommendations（ifany）;and（iii）deliversuchEquipment,freightprepaid,toacarrierselectedbyLessorforshipmenttoalocationinthecontinentalU.S.selectedbyLessor."Reasonablewearandtear"doesnotinclude（i）burns,tearsinmaterialorlargescratches,gouges,dents,discolorationsorstains,（ii）damagetodrawers,runners,orlockssuchthattheyarenotingoodworkingorderor（iii）thelossofallkeysforanylocks.

（e）IfLesseeshall,foranyreasonwhatsoever,failtoreturnanyEquipmentatthetimerequiredbytheapplicableLease,theobligationsofLesseeasprovidedinsuchLeaseshallcontinueineffectwithrespecttosuchEquipmentuntilsuchEquipmentisreturnedtotheLessor,andtheamountofeachPeriodicRentpaymentshallbeequaltothehighestPeriodicRentpaymentduringtheLeaseTermofsuchLease.However,thisSection6（e）shallnotbeconstruedaspermittingLesseetofailtomeetitsobligationtoreturntheEquipmentinaccordancewiththerequirementsoftheapplicableLeaseorconstitutewaiverofanyDefault.

7.LOSSORDAMAGE.Lesseeshallbeartheriskofanydisappearanceof,damagetoorlossofanyitemofEquipmentfromanycausewhatsoever（a"CasualtyOccurrence"）.LesseeshallpromptlynotifyLessorinwritingofanyCasualtyOccurrence.UponaCasualtyOccurrence:

（a）iftheaffectedEquipmentisrepairable,Lesseeshall,atLessee'sexpense,promptlyrestoretheEquipmenttogoodrepair,conditionandworkingorderinaccordancewiththemanufacturer'srecommendationsandtothereasonablesatisfactionofLessor;or（b）iftheaffectedEquipmentisanactualorconstructivetotallossorotherwiseisnotrepairable,LesseeshallpaytoLessoronorbeforethenextPeriodicRentPaymentDate（suchpaymentdate,the"CasualtyPaymentDate"）anamountequaltothesumof（i）allamountsdueandunpaidundertheapplicableLeaseasoftheCasualtyPaymentDate（includingallPeriodicRentpaymentsinrespectofsuchEquipment,whichshallbeproratedtotheCasualtyPaymentDate,andanyindemnityobligations）,plus（ii）thepresentvalueofallfuturePeriodicRentpaymentsforsuchEquipment,discountedonanannualbasisatadiscountrateequaltotheaskyieldtomaturityoftheU.S.TreasuryBillissuematuringin180days（ortheissuematuringclosestthereto）,aspublishedintheWallStreetJournalfortheimmediatelyprecedingRentPaymentDate（orthenextprecedingbusinessdayifsuchdateisnotabusinessday）,whichLesseeagreesisacommerciallyreasonablerate（the"DiscountRate"）fromthescheduledpaymentdatestotheCasualtyPaymentDate,plus（iii）thepresentvalueoftheg
