1.AcceptanceandConfirmation

Anacceptanceisafactthatthebuyersorsellersagreecompletelytoallthetermsandconditionsinanoffer(oracounter-offerasanewoffer).Iftheofferisafirmoffer,adealisconcludedafteracceptance.Iftheofferisanon-firmoffer,adealisnotconcludeduntiltheacceptanceisconfirmedbythebuyersorsellers.

Inaletterforacceptanceorconformation,allthenecessarytermsandconditionsmayneedafurtherconfirmation/checkfrombothsides.

Tomakeaneffectiveacceptance,theoffereeshoulddoallofthefollowing:

1)theacceptanceshouldbegivenbytheofferee;

2)theacceptanceshouldacceptallofthecontentsofthepreviousoffer;

3)theacceptanceshouldbegivenwithinthevalidityofthepreviousirrevocableoffer;

4)theacceptanceshouldreachtheofferor.

A reply to an offer which purports to be an acceptance but contains additions, limitations or other modifications is a rejection of the offer and constitutes a counter-offer. 

Areply to an offer which purports to be an acceptancebutcontainsadditionalordifferenttermswhich do not materially alter the terms of the offer constitutes an acceptance.

Additional or different terms relating, among other things, to the price, payment, quality and quantity of the goods, place and time of delivery, extent of one party’s liability to the other or the 

settlement of disputes are considered to alter the terms of the offer materially. 

2.OrdersandTheirEffects

Anorderisarequesttosupplyaspecifiedquantityofgoods.Anordermaybegivenbyaprintedorderform,letter,fax,e-mail,etc.Usually,anorderisasymbolofacceptance,butitmayalsoresultfromanofferoraninquirywithsubsequentquotations.Thatistosay,theformofanordercanbeusedasabuyingoffer,anacceptanceoraconfirmation.Anorderisjustaformtodescribethecommodityaccuratelyandclearly.Sowhenyoureceiveanorderfromacustomer,youneedtoidentifywhatitstandsfor.Andthen,youcanacceptit,counter-offeritandconfirmit.

Usually,businessesuseanorderformtoobtaingoodsfromsuppliers.Whenaformisnotavailable,aletterisneededfortheorder.Whenwritinganorderletter,youmustincludeallthespecificsnecessarytocompletetheordertoyoursatisfaction.Tomakeyourorderclearandeasytounderstand,youshouldusethelistingformatoftheorderformasaguidetogivinginformationaboutthefollowingmatters:

(1)afulldescriptionofthecommodity,includingmodelnumber,size,color,oranyotherrelevantinformation

(2)quantity

(3)dateandmethodofshipment

(4)priceperitem

(5)packing

(6)payment

However,therearetimeswhensellerscannotacceptbuyers’ordersbecausethegoodsrequiredarenotavailableorpricesandspecificationshavebeenchanged.Insuchcircumstances,lettersrejectingordersmustbewrittenwiththeutmostcareandwithaneyetogoodwillandfuturebusiness.Itisadvisabletorecommendsuitablesubstitutes,makecounter-offersandpersuadebuyerstoacceptthem.

Accordingtocommerciallawthebuyer’sorderisanoffertobuyandthearrangementisnotlegallybindinguntilthesellerhasacceptedtheoffer.Afterthat,bothpartiesarelegallyboundtohonortheiragreement.

3.TheMainContentsofanAcceptance/ConfirmationLetter

(1)Thankingthesendersfortheiroffers/counter-offersoracceptance

(2)Declaringthatyouaccepttheofferorconfirmtheacceptancefromthesendersandstating

thatyouwouldliketoconcludebusinesswiththesendersaccordingtothetermsand

conditionsagreedupon(listingallthetermsandconditionsagreeduponindetail)

(3)Statingthatyouhaveenclosedanorderform,acontractconfirmation,orasales

confirmationandaskingforthereturningofonecopydulysignedforyourfile(Itmaybenot

necessaryhoweverifasignedcopyisnotneeded.)

(4)Expressingyourhopethatthetransactionwouldbeconductedsmoothlyandsuccessfully,

andthatbusinesswouldbeexpandedinthefuture
