PublisherGeneralTermsandConditions
§1Introduction
1.1Thefollowingtermsandconditions(“T&Cs”)applybetweenSponsorPayGmbH(“SponsorPay”)andthepublisherasidentifiedin§2below(“Publisher”).SponsorPayoffersitsservicestocommercialPublishersonly.ConsumersarenoteligibletobecomeaPublisher.
1.2TheT&CsandanyapplicableordersplacedbythePublishershallbecollectivelyknownasthe“Agreement”.TermsandconditionsofthePublisherdonotbecomepartoftheAgreement,unlessSponsorPayhasacceptedtheminwriting.
1.3ThePublishershalldelivertheadvertisementsprovidedbyacompanyseekingtopromoteitsgoodsorservices(the“Advertiser”)throughSponsorPayandadedicatedonlineplatform(the“AdvertisingPlatform”)operatedbySponsorPay,asselectedbythePublisherthroughtheAdvertisingPlatformorindividuallyagreeduponbetweentheparties(the“Advertisements”)onthewebsite(s)owned,maintained,orcontrolledbythePublisherandselectedontheAdvertisingPlatform(the“PublisherSite”)accordingto§3subseq.
1.4ByoperatingtheAdvertisingPlatform,andrenderingtheservicesaccordingtotheAgreement,SponsorPayactsonlyasanagentbetweentheAdvertiserandthePublisher.TheAdvertiseritselfissolelyresponsibleforsubmittingoffersthroughtheAdvertisingPlatformtothePublisher.SponsorPayhasnoinfluenceinthisregardandthusprovidesnoguaranteethatoffers,andthusAdvertisements,willbeavailableinsatisfactoryquantity.
1.5ThePublishershallsetupasystemtorewardtheusersofthePublisherSiteforactivitiesperformedinrelationtotheAdvertisements(the“IncentiveSystem”)accordingto§6.SponsorPayshallpaythePublisheraconsiderationaccordingto§7,whichdependsonthepaymentSponsorPayreceivesfromtheAdvertisers.
§2Registration
2.1ApublisherofawebsitecanbecomeaPublisherbyregisteringanaccountwithSponsorPayonSponsorPay’swebsite(s).Thisrequiresa“RegistrationForm”tobefilledinandsubmitted.
2.2ByfillingintheRegistrationFormthepotentialpublishersubmitsabindingoffertoenterintoacontractwithSponsorPayaccordingtotheT&Cs(the“PublisherOffer”).AllfieldsoftheRegistrationFormwhicharemarkedasbeing“required”havetobefilledin.AnystatementssubmittedthroughtheRegistrationFormmustbecompleteandcorrect.
2.3TheAgreementbetweenthePublisherandSponsorPayisconcludedwhenSponsorPayacceptsthePublisherOffer,eitherbydeclaringacceptanceexplicitly,orbyotherwisecommencingactiontofulfiltheAgreement.
2.4SponsorPaywillpromptlyconfirmreceiptofthePublisherOfferbysendingane-mailtothee-mailaddresssubmittedintheRegistrationForm.ThisconfirmationisnotabindingacceptanceofthePublisherOffer.Theconfirmationcanhoweverbesenttogetherwithsuchacceptance.
2.5ApotentialpublisherbecomesaPublisherasdefinedintheseT&CsonceSponsorPayhasacceptedthePublisherOffer.SponsorPaycandecideinitssolediscretionwhetherornottoacceptthePublisherOffer.
2.6ThePublisheragreesthatitwilldelivertheAdvertisementsincompliancewithallapplicablelaws,includinganylawsregardingthetransmissionoftechnicaldataandpersonaldata.ThePublisherwillnotinterfereorattempttointerferewiththeproperworkingoftheAdvertisingPlatformorpreventothersfromusingtheAdvertisingPlatform.
2.7SponsorPayreservestheright,butshallhavenoobligation,toreviewthePublisher’sdisplayofAdvertisementsanduseoftheAdvertisingPlatforminordertodeterminewhetheraviolationoftheAgreementhasoccurredortocomplywithanyapplicablelaw,regulation,administrativeorgovernmentalrequest.
§3Implementation
3.1ThePublishershalldeliverallAdvertisementsinaccordancewiththeAgreement,includinganytechnicalspecificationsandplacementrequirementsprovidedbySponsorPaytoensuretheproperdisplayofsuchAdvertisements.ThePublisherisadvisedtoregularlychecktheinstructionspublishedonSponsorPay’swebsite.
3.2ThePublisherundertakesnottoplacetheAdvertisementsinacontextwhichmightbedetrimentaltoSponsorPayoritsreputation(see§4fordetailswithregardtothePublisherSite).
3.3ThePublishershallimplementallcodeprovidedbySponsorPayforthedeliveryoftheAdvertisements.ThePublishershallbearallcostsandexpensesrelatedtosuchimplementation.
3.4ThePublishermustnotalterormodifytheAdvertisementswithoutSponsorPay’spriorwrittenconsent.
3.5TheAdvertisementsshallbedisplayedinaprominentposition.ThePublishershallmeettherequirementsasreasonablydefinedbySponsorPay.ThePublisherisadvisedtoregularlychecktheinstructionspublishedontheAdvertisingPlatform.ThePublishershallinformitsUsersinanappropriatemannerthattheAdvertisementsareprovidedbySponsorPay.
§4PublisherSiteandPromotionofit
4.1ThePublishershallinformSponsorPay,givingreasonablenotice,intheeventitintendstomateriallyalterthecontentorappearanceofthePublisherSite.
4.2ThePublisherSitemustnotcontainanyillegaloroffendingcontent.
4.3ThePublisherwarrantsandrepresentsthatitdoesnotincludeanyillegaloroffendingcontentonthePublisherSite.ThePublisherwarrantsandrepresentsthatitdoesnotuseillegalmeanstopromoteoradvertisethePublisherSite.ThePublisherwarrantsandrepresentsnottouseanymeanswhichareexcludedbySponsorPaytopromoteoradvertisethePublisherSite.
4.4ThePublishershallremoveorsuppressillegaloroffendingcontent(includingactions)onthePublisherSiteprovidedbythirdparties(includingusers)withoutunduedelay.ThePublishershalltakeallreasonablemeasurestopreventthereoccurrenceofsuchinfringements.
4.5ThePublishershallholdSponsorPayharmlessofanythirdpartyclaimsallegingthePublisherSitecontainsillegalcontent.
WebsiteContentwhichisgenerallyillegaloroffending(notexhaustive)
∙Contentusinganytermsormarks,names,pictures,videos,music,games,computerprograms,orothermaterialprotectedbythirdparties.
∙Contentinfringinganyapplicablelawsandotherlegalruleswithregardtoyouthprotection,dataprotection,protectionofpersonalityrights,protectionagainstinsults,andpublicdecrial.
∙Contentwhichisfalseormisleadingorwhichpromotesillegalactivities.
∙Contentpromotingorendorsingcriminalactivitiesorcontaininginstructionsforcriminalactivities,includingbutnotlimitedtoinformationontheproductionorpurchaseofarms,childpornography,fraud,drugtrafficking,gambling,stalking,spyingontradesecrets.
∙Contentwhichisracist,offensive,vulgar,molesting,insulting,threatening,obscene,hateful,invasiveofanotherperson’sprivacy,defaming,libellous,politicallyextremist,religious,violent,sexist,erotic,orotherwiseharmfultounderagepersons,orofatoutingnature.
Advertising,MarketingandPromotionwhichisgenerallyillegal(notexhaustive)
∙Advertising,marketingorpromotionmaterialwhichinfringesthirdpartyrights,especiallythirdpartytrademarks,titlerightsandcopyright.
∙Materialwhichisfalseormisleading.
∙Anyotherformofunfaircompetition.
Advertising,MarketingandPromotionwhichisexcludedbySponsorPay
∙Materialwhichusesthirdpartytrademarks,oranythingwhichcanbeconfusedwiththirdpartytrademarks,inmetatags,keywordadvertising,orasinvisibletext.
∙Allmeasurescommonlynotacceptedinsearchenginemarketingandsearchengineoptimization.
4.6SponsorPayneitherendorsesnorapprovesofactionsperformedorcontentmadeavailablebythePublisher.
§5Viruses;Spyware;MaliciousCode;Backups
5.1SponsorPaytakesreasonablemeasurestoprotectitssystemsagainstviruses,spywareandothermaliciouscode(together“MaliciousCode”),andshalltakereasonablemeasurestocheck,orhaveitsAdvertiserscheck,allAdvertisementsdeliveredthroughitssystemstothePublisher,forMaliciousCode.However,thePublisheracknowledgesthatMaliciousCodecanneverbecompletelyprevented.ItisthePublisher’sresponsibilitytoprotectalldatastoredonitssystemsagainstunauthorizedaccess,anddataloss.ThePublishershallmakeitsuserswaive,asfaraslegallypermissible,allpotentialclaimsagainstSponsorPaybasedonMaliciousCode,andinformitsusersastoappropriatemeasurestoprotecttheirsystems.
5.2Unauthorizedthirdpartiesmaysende-mailsunderthenameofSponsorPay,withoutSponsorPay’sknowledgeorconsent,andsuche-mailsmaycontainMaliciousCodeorlinkstowebcontentwhich,inturn,containsMaliciousCode.SponsorPaycannotpreventsuchbehaviour.ThePublishershall,therefore,recommenditsuserstocheckallincominge-mailforMaliciousCodepriortoopeningthem.
§6IncentiveSystem;Credits
6.1ThePublishershallestablishandmaintain,atitssoleexpense,anIncentiveSystem.TheIncentiveSystemshallbedesignedinawaywhichencouragesusersofthePublisherSitetoperformcertainactionswithregardtotheAdvertisements.TheactionstobeencouragedshallbethosewhicharedeterminedbytheAdvertisers,andwhicharecleartothePublisherandtheusersfromtheAdvertisements,ortheAdvertisers’campaigndescription.Thatistosay,ifanAdvertiserseeksuserstoparticipateinsurveys,theIncentiveSystemshallencouragetheuserstoparticipateinsuchsurveysorifanAdvertiserseeksuserstosubscribetoitsnewsletters,theIncentiveSystemshallencouragetheuserstosubscribetosuchnewsletters.ThePublishershallnotendorseanyactionswhicharecontrarytotheAdvertiser’sinterests(suchasfalseentriesormultipleparticipationbythesam
