1.Definitionsandpreliminarymatters
1.1TheuseofatermwithaninitialcapitalletterinthisContractisintendedtodenotetheuseofthatterminaccordancewiththeGlossaryofTermsattachedastheDefinitionsSchedule,unlessinanyindividualcasethecontextmakesitclearthatsomeothermeaningistobeapplied.
1.2WherethisContractoranyAgreementreferstoanydocumentas“attached”,“scheduled”or“annexed”tothisContractortoanAgreement(orwhateverothertermthePartieshaveused),thatdocumentneednotbephysicallyattachedtothisContractortotheAgreementanditissufficientifitcanbeidentifiedfromthedescriptionusedbytheParties.
1.3WherethisContractcallsfororsupposestheproductionofcertaindeliverablesordocuments,thedeliverablesordocumentsaretobetakentobethosecalledforbyDSDM.ThisContractchoosestodescribesuchdocumentsanddeliverablesbythetermusedintheDSDMManual,inwhichcasethosedocumentsanddeliverablesareintendedtobeasdescribedintheDSDMManual,subjecttoanyVariationsAgreedbythePartiesornecessaryinthecontextoftheparticularProject.WheretheDSDMManualischangedinthecourseoftheProject,anyrelevantchangesmadetothepracticeofDSDMmaybeappliedbyAgreementofthePartiestotheProjectasfromthedatethePartiesmayspecifyandthePartiescanAgreewhatupdatestotheDSDMManualaretotheapplytotheconductoftheProject.
1.4TheProjectwillberunaccordingtoDSDM.ThePartiesareatlibertytoAgreeVariationstoDSDM,andallsuchAgreementsbetweenthePartiesshallbebindingaccordingtothetermsofsuchAgreements.AllsuchAgreementsshallbeinterpretedinthelightofDSDMandthetechniquescalledforbyDSDMbutotherwisewillbesubjecttothisContractandmustbeinterpretedinaccordancewithitsterms.
2.AgreementsandVariations
Basicprovisionsaboutexchangingandauthenticatingdocuments
2.1ThePartiesmayattachastheCommunicationsScheduletheirownprotocolorathirdpartyprotocolonelectronicsignaturesorencryptionorothersuchmatterssoasto
2.1.1regulatethemannerinwhichdocumentsmaybeexchanged;or
2.1.2determinewhenaPartyistobetakentohaveauthorisedanyparticulardocument.
Wheresuchaprotocolisattached,thatprotocolwillbedecisiveastothewayinwhichdocumentsshouldbeexchangedand/orauthenticated.
2.2Wherethereisnosuchprotocol,thePartiesmayexchangedocumentsinanyformofWriting.Fortheavoidanceofanydoubt,thisthereforeincludeshardcopyortransmissionbyfaxoremailandallsuchdocumentswillbepresumedtohavecomefromthepersonnamedasthesenderatthetimeanddatestatedandtobeauthenticastotheircontentsintheabsenceofprooftothecontrary.
AgreementsreachedinthecourseoftheProject
2.3ThePartiesmayAgreetoattachasaDocumentationScheduleaprotocoldetailingthespecificrequirementsastohowAgreementsshouldbeconcludedorevidencedinthecourseoftheProject.Wheretheydoso,thatprotocolwillbedecisiveastothewayAgreementsshouldbeconcludedorevidenced.Wherethereisnosuchprotocol,ortotheextentthatthetermsofthatprotocolaresilent,thefollowingclauseswillapply.
2.4OnanymatterrelatingtotheconductoftheProjectwithintheScope,thePartiesmayAgreethosemattersrelevanttoconductingtheProjectbyassentmadebytheParties’representativesworkingontheProject.Suchassentmaybegivenorally.
2.5WhereanyAgreementonamatterwithintheScopeisevidencedinWriting(suchasbymeetingminutesorthekeepingofanupdatedlistofrequirementsresultingfromworkshopsoranyotherformofrecordcomprisingtheconfigurationmanagementfortheProject),thatWrittendocumentwillstandasavalidrecordofthemattersstatedasAgreed,butonlywherethatWrittendocumenthasbeenAgreedbybothParties,eachshowingitsAgreementinWriting.
2.6AnAgreementonamatteroutsidetheScopeorwhichisintendedtoVarytheScopewillnotbeeffectiveunless
2.6.1itisinWriting;
2.6.2bothPartieshaveindicatedtheirassenttothatAgreementinWriting;
2.6.3theVariationbeingAgreedtoScopeisstatedwithsufficientprecision;
2.6.4thechangesrequiredintheresources(humanandotherwise)aredescribed;
2.6.5anychangestothefutureestimatedsumspayablebytheUserareprovided;and
2.6.6theconsequentialchangesrequiredtotherestoftheSystemandanyconsequentialeffectsintermsofanticipatedlimitationstothefunctionalornon-functionalrequirementswithintheScopearesetout.
TheServiceProvidermaysetoutestimatesforthemattersinclauses2.6.4to2.6.6andmayindicate,whereitisappropriatetodoso,onlyhighlevelestimatesofanyofthechangesinthoseclausesandstatingthereasonfortheimprecision.WheretheServiceProviderdoesso,theServiceProviderisundernoliabilityforthoseestimatesultimatelyprovingincorrectforanyreasongivenbytheServiceProvider,providedithasingivingthoseestimatesdischargeditsobligationsunderclause8(legalobligationsofreasonablecareandskill).
AuthorityofParties’representativeswhentheymakeAgreements
2.7ThePartieswillnameintheAuthorisedRepresentativesSchedulethoseindividualsforeachPartywhoareauthorisedtomakeAgreementstoVaryScope.ThefollowingprovisionsapplytotheauthorityoftheParties’personnelwhentheypurporttomakeanyAgreements:
2.7.1WhereanAgreementrelatestoamatterwithintheScope,theParties’representativesmakingsuchanAgreementdonotneedtobespecificallynamedintheAuthorisedRepresentativesSchedule.EachPartywarrantstotheotherthatitsrepresentativemakingthatAgreementisdulyauthorisedtomakethatAgreement.
2.7.2WhereanAgreementrelatestoVaryingtheScope(andthereforerequiresWritingaccordingtoclause2.6above)eachPartywarrantstotheotherthat(a)eachpersonnamedintheAuthorisedRepresentativesSchedulehassufficientauthoritytomakesuchanAgreementandthat(b)thatpersoncanvalidlynominateasubstituteinWritingeithergenerallyorforaspecificpurposetodosoaswell.
2.7.3Theprovisionsonauthorityinthisclause2.7willapplynotwithstandinganylackofactualauthorityofthatpersonaccordingtotheinternalauthorisationproceduresofthePartyforwhichheorsheworks.EachPartymust,ifnecessary,ratifyanysuchapparentAgreementmadeattheearliestopportunityandundertakesthatitwillnotinsuchcircumstancesseeksubsequentlytorelyonanylackofactualauthoritytorendervoidanysuchapparentAgreement.
ResolutionofdisputesastoScope
2.8Asisstatedelsewhereatclause12,disputesastowhatisincludedwithinScopearetobedealtwithunderthedisputeresolutionprocedureinclause12.WherethereisdisputeastowhetheraparticularVariationshouldorshouldnothavebeenmadeinWriting,itmustbedealtwithinaccordancewithclause12.
3.FeasibilityStudy
EITHER:
ThisversionisusedwheretheFeasibilityStudyisexecutedbythePartiesjointly.
3.1TheServiceProviderandtheUserwillexecuteaFeasibilityStudy.ThePartieswillforthispurposeAgreeinWritingtheworktobeperformedaspartoftheFeasibilityStudyandwillproduceattheendofthatstagetheFeasibilityReportandtheOutlinePlan.ThePartiesmayalsoAgreeinWritingotherproductsoftheFeasibilityStudy,suchastheFeasibilityPrototype.
3.2TheUsermay,followingcompletionoftheproductsoftheFeasibilityStudy,canceltheProject(seeClause10ontheeffectsofcancellation).AspartoftheFeasibilityStudy,theServiceProvidermayrecommendcancellationoftheProjectorcancellationoftheProjectusingDSDM.IfthePartiesAgreeatthisstagetoabandontheuseofDSDMbutotherwisetocontinueworkingtogether,thenthisAgreementisdeemedcancelledandisthensubjecttothecancellationprovisionsatClause10andanewcontractmustbeagreedtoprovideacontractualrelationshipbetweenthePartiesforthatfurtherwork.
3.3SuccessfulcompletionoftheFeasibilityStudymustincludewithintheproductsidentifiedinclause3.1aboveatleastthefollowing:
3.3.1astatementofthescopeoftheinvestigationcomprisedintheFeasibilityStudy;
3.3.2thedefinitionofthebusinessproblemtobeaddressedbytheproposedSystem;and
3.3.3AgreementbythePartiesoftheSuitabilityFilterandtheRiskAssessment.
Seeclause12whichdealswiththesituationwherethePartiescannotreachanyAgreement.
3.4EitherPartymaycanceltheContractfollowingconclusionoftheFeasibilityStudyif,inthatParty’sreasonableopinion,thewillingnessoftheotherPartytouseDSDMisnotrealorrealisticallyachievableinpractice.Formoredetailofcancellationanditsconsequences,seeclause10.

ThisalternativeversionisusedwheretheUserhasfirstexecutedtheFeasibilityStudybeforeinvolvementoftheServiceProvider.
3.1WheretheUserhascompletedtheFeasibilityStudypriortothecommencementofthisAgreement,theProjectwillcommenceonthebasisoftheoutputofthatStudyasthecompletedFeasibilityStudy.Suchitemsmayinclude,butarenotlimitedto

3.1.2OutlinePlan
3.1.3FeasibilityPrototype
3.1.4SuitabilityFilter
3.1.5RiskAssessment
3.2TheUserisresponsiblefortheproductsoftheFeasibilityStudyexcepttotheextentthattheServiceProviderindependentlyseekstover
