甲方在取得相关承包农户的认同及书面土地流转委托书及__________后，依照国家法律法规和有关土地政策，本着自愿平等的原则，经与乙方充分友好协商，就乙方租用甲方所辖_________用地筹建_____________事宜达成以下协议：

一、租赁范围：

LeaseDuration

（1）.乙方租赁甲方土地的年限为___年___个月（不得超过甲方农户的土地承包年限），自_____年___月___日至____年___月___日（“租赁期限”）。

（1）.PartyAwillleasetheLeaseLandtoPartyBfor___yearsand___monthsstartingfrom________to________（theleasedurationshouldbewithinthelandcontractperiodofthecontractholdingfarmhouseholdcontract）（hereinafterreferredtoas“LeaseDuration”）.________istheleasingcommencementdate.

（2）.租赁期限期满后如乙方需继续租赁，则须在租赁期限期满前___个月通知甲方协商。

在同等条件下，乙方对该租赁土地有优先承租权。

（2）.IncasePartyBwantstocontinueleasingthelandupontheexpirationoftheLeaseDuration,PartyBshouldinformPartyAfornegotiation___monthspriortotheexpirationoftheLeaseDuration.Underthesameconditions,PartyBhastherightoffirstrefusalforrentingtheLeaseLand.

三、租赁费用：

LeasePrice

（1）.双方一致同意，该租赁土地的第一租约年年租金为每亩人民币_____元。

以租赁起始日起至次年的同期前一日为第一个租约年，以后每12个月的期间为一个租约年。

（1）.ThepartiesagreethattheannualrentfortheLeaseLandforthefirstleaseyearis______RMBforeachmu.Thefirstleaseyearreferstotheperiodstartingfromtheleasingcommencementdatetothedateimmediatelyprecedingthesamedateofthefollowingyearand,thereafter,thetimeofeach12-monthperiodconstitutesoneleaseyear.

（2）.每个租约年的租金由乙方于每年_____前向甲方一次性支付，如因乙方的原因逾期未付，则乙方每逾期一日按逾期欠付租金金额的___‰承担逾期付款滞纳金，但是逾期付款滞纳金的总额不得超过当年租金的___%。

（2）.PartyBshallpaytheannualrentforeachleaseyeartoPartyAinlumpsumbytheendofeachMaywithoutdelay.ShouldtherentpaymentbedelayedduetoPartyB’ssake,PartyBshallpayalatepaymentfeecalculatedatadaily__‰oftheunpaidrentpriceforeachdaydelayedinpayment,provided,however,thatthetotalsumofthelatepaymentfeeshallnotbehigherthan___%oftheannualrent.

（3）.甲方需在乙方支付租金之前___日，就应付租金向乙方出具合法有效的相关发票，若因甲方未能及时出具合法有效的相关发票导致乙方未按期支付租金的，乙方不承担逾期付款的责任。

（3）.PartyAshallprovidePartyBwiththerelevantlegalandvalidinvoices20daysbeforePartyBmakestherentpayment.ShouldPartyBfailtomaketimelypaymentoftherentduetoPartyA’sfailuretotimelyprovidetherelevantlegalandvalidinvoices,PartyBshallnotincuranyliabilityforthedelayedpayment.

（4）.对于因甲方原因导致乙方不能如期支付租金的，乙方不承担逾期付款违约责任。

（4）.PartyBshallnotincurliabilitiesfordelayedpaymentofrentifsuchPartyB’sdelayinpaymentofrentiscausedbyPartyA.

（5）.甲方在收到乙方的每笔租金后，必须按照各承包农户的土地面积及上述约定的租金标准，及时按比例向相关农户进行发放，如果因甲方原因而引发承包农户与乙方之间的矛盾，甲方必须承担全部责任。

如果因承包农户与乙方之间的矛盾而造成乙方遭受损失的，甲方应赔偿乙方因此而遭受的全部损失（如适用）。

（5）.AfterreceivingthepaymentofrentfromPartyB,PartyAshallpromptlypaysuchrentpaymenttothecontractholdingfarmhouseholdsinproportiontothelandareaofeachofthecontractholdingfarmhouseholdsaccordingtotherentstandardagreedabove.ShouldanydisputesoccurbetweenPartyBandthecontractholdingfarmhouseholdsduetoPartyA’scause,PartyAshalltakefullresponsibilityforsuchdisputes.ShouldPartyBincuranylossescausedbydisputesbetweenPartyBandthecontractholdingfarmhouseholds,PartyAshallcompensatePartyBforallthelossessosufferedbyPartyB（ifapplicable）.

四、其他约定：

Miscellaneousterms

（1）.乙方在租赁期限内必须遵守国家的法律法规，保护当地环境，做好环评，并搞好卫生防疫工作。

因乙方的养鸡污染而造成的直接损失由乙方负责承担。

（1）.PartyBshallcomplywithalltherelatedlawsandregulationsofthestateandprotectthelocalenvironment,fulfillenvironmentassessmentworkaswellasperformhygieneandquarantineduties.IncaseanydirectdamagecausedbythepollutionfromPartyB’sbroilerbreedingfarm,PartyBshouldberesponsiblefortherelatedcompensation.

（2）.乙方租用甲方所辖土地，在签订本土地租赁协议书后，应向甲方一次性支付农作物补偿费___________元/亩，其他费用：

___________元。

甲方需在乙方支付补偿费之前____日，就前述补偿费向乙方出具合法有效的相关发票。

若因甲方未能及时出具合法有效的相关发票导致乙方未按期支付前述补偿费的，乙方不承担逾期付款的责任。

对于因甲方原因导致乙方不能如期支付补偿费的，乙方不承担逾期付款违约责任。

（2）.UpontheexecutionofthisLandLeaseAgreement,PartyBshallpaytoPartyAthelumpsumpriceofcropcompensationallowancebasedontherateof___________RMB/muandothercompensationallowancetotally:

____________forthelandleasedbyPartyBfromPartyA.PartyAshallprovidePartyBwiththerelevantlegalandvalidinvoices___daysbeforePartyBpaysthecompensationallowance.ShouldPartyBfailtomaketimelypaymentofthecompensationallowanceduetoPartyA’sfailuretotimelyprovidetherelevantlegalandvalidinvoices,PartyBshallnotincuranyliabilityforthedelayedpayment.

（3）.甲方收到补偿费后须根据各承包农户的土地面积及所种作物品种及上述约定的补偿费标准按比例向承包农户支付。

如果因甲方原因而引发承包农户与乙方之间的矛盾，甲方必须承担全部责任。

如果因承包农户与乙方之间的矛盾而造成乙方遭受损失的，甲方应赔偿乙方因此而遭受的全部损失。

（3）.PartyBshallnotincurliabilitiesfordelayedpaymentofcompensationallowanceifsuchPartyB’sdelayinpaymentofcompensationallowanceiscausedbyPartyA.PartyAshall,uponreceivingsuchcompensationallowancefromPartyB,paythecompensationallowancetothecontractholdingfarmhouseholdsaccordingtothelandareaandthetypeofthecroporplantofeachofthecontractholdingfarmhouseholdsandaccordingtothecompensationallowancestandardsagreedabove.ShouldanydisputesoccursbetweenPartyBandthecontractholdingfarmhouseholdsduetoPartyA’scause,PartyAshalltakefullresponsibilityforsuchdisputes.ShouldPartyBincuranylossescausedbydisputesbetweenPartyBandthecontractholdingfarmhouseholds,PartyAshallcompensatePartyBforallthelossessosufferedbyPartyB.

（4）.本租赁协议终止或期满后，乙方须做好租赁土地的清理复垦工作，然后将租赁土地退还给甲方；如果清理复垦工作由甲方完成的话，则乙方须合理承担相关的复垦费用。

该相关复垦费用复垦期间的土地租金由双方在复垦工作开始时协商并书面确认。

（4）.AftertheterminationorexpirationofthisLeaseAgreement,PartyBisrequiredtorecovertheLeaseLandforre-cultivationpurposeandthenreturntheLeaseLandtoPartyA;ifthelandre-cultivationrecoveryworkisperformedbyPartyA,thenPartyBshouldberesponsiblefortherelatedexpensesofthere-cultivationrecoverywork.Suchrelatedexpensesofthere-cultivationrecoveryworkandtherentduringthelandre-cultivationrecoveryperiodshallbenegotiatedbythePartiesandconfirmedinwritingatthetimewhenthere-cultivationrecoveryworkbegins.

（5）.甲方有责任协调乙方与本协议涉及的部承包农户以及当地其他居民间的关系。

乙方在项目建设和生产过程中因承包户、当地居民（包括周边群众）等人为因素迫使乙方停工、停产或减产的,甲方必须全力配合乙方,及时协调解决。

若在_____天内未能协调解决，由此给乙方造成损失的，甲方必须赔偿乙方的全部损失。

在问题协调解决并且乙方恢复正常建设工作或正常经营活动前，乙方有权缓付租金并且不承担逾期付款违约责任；如果问题未能在____天之内解决，则乙方有权从任何应付租金中扣除问题未解决期间天数的相应租金金额；如果因甲方未能及时协调解决前述问题，导致本协议无法履行或本协议目的不能实现，乙方有权以书面通知方式解除本协议并且要求甲方赔偿乙方遭受的全部损失，包括本协议无法履行或本协议目的不能实现所遭受的预期利润损失。

（5）.PartyAhastheobligationtocoordinatetherelationshipbetweenPartyBandallcontractholdingfarmhouseholdsandotherlocalresidents.If,duringtheconstructionperiodorproductionperiodoftheProject,PartyB’sconstructionandproductionprocessissuspendedorPartyB’sproductionisreducedduetoreasonsofthecontractholdingfarmhouseholdsorlocalresidents（includingsurroundingresidents）,PartyAshallfullycooperatewithPartyBtopromptlysolvetheproblems.Iftheproblemsarenotsolvedwithin___dayscausinglossestoPartyB,PartyAshallcompensatePartyBforallthelossessosufferedbyPartyB.BeforetheproblemsaresolvedandPartyB’snormalconstructionworkornormaloperationisresumed,PartyBhastherighttowithholdrentpaymentwithoutanyliabilitiesforlatepayment;Iftheproblemshavenotbeenresolvedwithin___days,thenPartyBshallhavetherighttodeductfromanypayablerenttheamountofthecorrespondingrentforthedaysoftheperiodforwhichtheproblemshavenotbeenresolved;IfthisLeaseAgreementcannotbeperformedorthepurposeofthisLeaseAgreementcannotbeachievedduetoPartyA’sfailuretocoordinateandsolvetheaforesaidproblems,PartyBshallhavetherighttoterminatethisLeaseAgreementbygivingPartyAawrittennoticeandtorequestPartyAtocompensatePartyBforalllossessufferedbyPartyB,includingtheexpectedprofitslostduetothenon-performanceofthisLeaseAgreementorthefailureofthepurposeofthisLeaseAgreement.

（6）.在乙方租赁期内，甲方承诺并负责监督、协调下述事宜：

在本村区域内距乙方租赁土地的______饲养场___公里范围内，甲方不得自建或把所辖土地租赁给他人建办养禽场，以防疫病的相互感染，进而影响乙方的生产，但是截至本协议签订之日已存在的养禽场除外；在租赁期限内，甲方确保，在乙方租赁土地的_____场周围___公里且属于本村区域的范围内不得再建造影响乙方生产和防疫的其他任何建筑设施。

如果因甲方违反前述承诺，给乙方造成损失的，甲方必须赔偿乙方的全部损失。

如果因甲方违反前述承诺导致本协议无法履行或本协议目的不能实现，乙方有权以书面通知方式解除本协议并且要求甲方赔偿乙方遭受的全部损失，包括本协议无法履行或本协议目的不能实现所遭受的预期利润损失。

（6）.DuringtheLeaseDuration,PartyAcommitsandundertakestosuperviseandcoordinatethefollowingmatters:

exceptforthechickenfarmsexistingontheexecutiondateofthisAgreement,forthesakeofdiseasecontroltoavoidthreadstounderminePartyB’sproduction,PartyAshouldnotbuildorleasethelandunderitscontroltoanythirdpartytobuild_______farmswithintheareaof___kilometerradiusfromPartyB’s__________farmontheLeaseLandwithinthevillage;DuringtheLeaseDuration,PartyAshallensurethatnostructureorbuildingthataffectsPartyB’sproductionandquarantinebebuiltwithinthearea,whichbelongstothevillageofPartyAandwhichiswithin___kilometerradiusfromPartyB’s_________farmontheLeaseLand.IfPartyAbreachestheaforesaidcommitmentscausinglossestoPartyB,PartyAshallcompensatePartyBforallthelossessosufferedbyPartyB.IfthisLeaseAgreementcannot
