4.confidentialinformation.developerwillnotuseordiscloseanything

5.warranty.developerrepresentsandwarrantstothecompanythatthe

awareofanyviolation,infringementormisappropriationofanythirdparty'srights（oranyclaimthereof）bytheintellectualpropertyortheTechnology,and（vi）isnotawareofanyquestionsorchallengeswithrespecttothepatentabilityorvalidityofanyclaimsofanyexistingpatentsorpatentapplicationsrelatingtotheintellectualproperty.

6.miscellaneous.thisagreementisnotassignableortransferableby--------------

developerwithoutthepriorwrittenconsentofthecompany;anyattempttodoso

shallbevoid.anynotice,report,approvalorconsentrequiredorpermittedhereundershallbeinwritingandwillbedeemedtohavebeendulygivenif

deliveredpersonallyormailedbyfirst-class,registeredorcertifiedu.s.mail,postageprepaidtothe

respectiveaddressesofthepartiesassetbelow（orsuchotheraddressasapartymaydesignateonten（10）daysnotice）.nofailuretoexercise,andnodelayinexercising,onthepartofeitherparty,anyprivilege,anypoweroranyrightshereunderwilloperateasawaiverthereof,norwillanysingleorpartialexerciseofanyrightorpowerhereunderpreludefurtherexerciseofnayotherrighthereunder.ifanyprovisionofthisagreementshallbeadjudgedbyanycourtofcompetentjurisdictiontobeunenforceableorinvalid,that

provisionshallbelimitedoreliminatedtotheminimumextentnecessarytothatthisagreementshallotherwiseremainingfullforceandeffectandenforceable.thisagreementshallbedeemedtohavebeenmadein,andshallbeconstrued

pursuanttothelawsofthestateofcaliforniaandtheunitedstateswithoutregardtoconflictsoflawsprovisionsthereof.theprevailingpartytoanyactiontoenforcethisagreementshallbeentitledtorecovercostsandexpenses

including,withoutlimitation,attorneys'fees.thetermsofthisagreementareconfidentialtothecompanyandnopressreleaseorotherwrittenororal

disclosureofanynatureregardingthecompensationtermsofthisagreementshallbemadebydeveloperwithoutthecompany'spriorwrittenapproval;however,approvalforsuchdisclosureshallbedeemedgiventotheextentsuch

disclosureisrequiredtocomplywithoutgovernmentalrules.anywaiversoramendmentsshallbeeffectiveonlyifmadeinwritingandsignedbya

representativeoftherespectivepartiesauthorizedtobindtheparties.bothpartiesagreethatthisagreementisthecompleteandexclusivestatementofthe

mutualunderstandingofthepartiesandsupersedesandcancelsallpreviouswrittenandoralagreementsandcommunicationsrelated
