WHEREAS,AgentwishestointroduceprospectiveclientsandcustomerstoPrincipalandtothatorderwishestoenterintoacontractualrelationshipwithPrincipalinordertobeabletoofficiallypromotetheProductinPRC（Territory）.

IndependentContractors.TherelationshipofPrincipalandAgentestablishedbythisAgreementisthatofindependentcontractor,andnothingcontainedinthisAgreementshallbeconstruedto（i）giveeitherpartythepowertodirectandcontroltheday-to-dayactivitiesoftheother,or（ii）constitutethepartiesaspartners,jointventurers,co-ownersorotherwiseasparticipantsinajointundertaking,or（iii）allowAgenttocreateorassumeanyobligationonbehalfofPrincipalforanypurposewhatsoever.AllfinancialandotherobligationsassociatedwithAgent’sbusinessarethesoleresponsibilityofAgent,Agentshallberesponsiblefor,andshallindemnifyandholdPrincipalfreeandharmlessfrom,anyandallclaims,damagesorlawsuits（includingPrincipal’sattorneys’fees）arisingsolelyoutoftheactsorAgent,itsemployeesoritsagents.

委托人和代理通过本协议建立的关系是独立契约人。

本协议中的条款不得被解读成（i）给予任何一方权利指导和控制另一方的日常活动，或者（ii）缔约方作为合作伙伴，合资企业、共同所有人或者其他共同合作的参与者，或者（iii）允许代理以任何目的代表委托人建立或假定任何义务。

与代理的生意相关的财务义务或者其他义务，全权由代理负责。

代理有责任保护委托人不因代理、代理的员工或者代理的代理人的行为遭受任何索赔、伤害或者诉讼（包括委托人的律师费）。

THEPRODUCT

产品

TheproducttobemarketedistheapplicationforHungarianResidencePermit（withinfiniterenewalperiodsandthepossibilitytoapplyforaPermanentResidencePermitafter3years）andInvestmentintotheAuroraHotelsCorporateImmigrationProgrambasedontheclientcontractmaterials.Theassociatedfeesandinvestmentrequirementsofthisapplicationareaccordingtothepricelistwhichisattachment1ofthiscontract,butatleastfor1person：

1.AuroraHotelsLimitedInvestmentFramework（EUR70000）,ShareCapitalPurchasePrice&ShareCapitalIncrease（EUR150）,ProgramParticipationFeeEUR30320,3yearspre-paidsupervisoryboardremuneration（EUR12000）and3yearspre-paidhealthinsurancefor1adult（EUR1530）altogetherEUR114000

2.ImmigrationServiceFee（EUR48000）

3.Total：

EUR162000（oneperson）

产品是匈牙利居留证申请服务（永久可续，3年后可以申请永久居留证）和匈牙利XXX酒店公司和按照客户资料的VIP服务。

费用，投资需求是按照客户家庭情况设计的和在本合约的附件1：

报价单写的，但是最少为一位投资人：

1.XXX酒店有限公司投资框架股份（7万欧元）+股份买价和股份附加值150欧元，项目参与费（30320万欧元）+3年预付的监事会员工资1.2万欧元，3年保险费（一个成人1530欧元）共114.000万欧元

2. 移民服务费:

48000欧元

3.总共：

162000欧元（一个人）

4.ObligationsoftheAgent.ThefollowingshallconstitutethebasicobligationsoftheAgentunderthetermsandconditionsofthisAgreement.

在本协议的条款下，代理的基本义务如下。

Agentshallinformtheprospectiveclientsaboutthegeneral（financial）conditionsoftheProduct.

代理应通知潜在的客户本产品的整体（金融）情况.

Agentshallprovideclearguidancetotheclientsregardingtheactualprocedure.

关于具体步骤，代理应给予客户明确指导。

COMMISSION

佣金

SoleCompensation.Agent’ssolecompensationunderthetermsofthisAgreementshallbeacommission（“Commission”）asfollows:

全部报酬。

代理在本协议的条款下，全部的报酬是如下的佣金（“佣金”）

EUR30,000/client

BasisofCommission.TheCommissionshallapplytoallclientsreferredbytheAgenttothePrincipal.Commissionwillbepaidonlyiftheclienti）paidallfeestoPrincipalandpaidinthecompleteinvestmentamountofnolessthanEUR162,000toAurequusGroupLimitedandpartnercompanies.

佣金将在客户客户付款完成的5个工作日之内支付。

Agentatalltimeswillneedtomakesurethattheclient–atthetimeofthesigningoftheserviceagreementwiththePrincipalorwithPrincipal’spartners–clearlyconfirmsthathe/shehasbeenreferredtoPrincipalbyAgent.

代理在任何时候都要确定，在客户与委托人或者委托人的合作伙伴签署服务协议时，客户明确知道他/她已由代理推荐给了委托人。

NonCompetitionCovenant.TheAgentundertakesnotoact,beforethenominatedcustomers,ininterestorinbehalfofPrincipal'scompetitors.

Facilities.Agentshallprovideitselfwith,andbesolelyresponsiblefor,（i）suchfacilities,employees,andbusinessorganization,and（ii）suchpermits,licenses,andotherformsofclearancefromgovernmentalorregulatoryagencies,ifany,asitdeemsnecessaryfortheconductofitsbusinessoperationsinaccordancewiththisAgreement.

CONFIDENTIALINFORMATION

Thepartiesagreethatboth（includingtheirAgents）willtreatconfidentiallyandnotdiscloseanyportionofinformationarisingoutoforinconnectionwiththeircooperation,totheextentasprovidedforbytheirprofessionalethicsrules.Thisagreementshallnotapplyto:

缔约方同意双方（包括其代理）将在职业道德的范围内保密对待，并且不泄露合作的任何信息，以及与合作相关的信息。

以下情况不包括在内：

（a）informationalreadyinthepublicdomain;

（b）informationwhichafteritsdisclosuretousentersthepublicdomainotherwisethanthroughus;

（c）informationwhichwasalreadyinourpossessionatthetimeofthedisclosureorindependentlydevelopedbyus;

（d）informationreceivedfromathirdparty;or

（e）informationwhichwearerequestedbylaworanyregulatoryauthoritytodisclose.

（a）已公开的信息；

（b）向我方披露后公开，却非经由我方公开的信息；

（c）在披露之时我方已拥有的信息或由我方独立得到的信息；

（d）从第三方获得的信息；

（e）法律或任何管理机构要求我方披露的信息。

TERMANDTERMINATION

期限和终止

Term.ThisAgreementshallcomeintoeffectonthedateabovewritten（EffectiveDate）andshallcontinueinfullforceandeffectforaperiodofoneyearfromtheEffectiveDate,unlessterminatedearlierundertheprovisionsofthisAgreement.Thereafter,thisAgreementshallberenewedautomaticallyforsuccessiveadditionalone-yeartermsunderthesametermsandconditionsunlesseitherpartychoosesnottocontinuetherelationshipandprovideswrittennotice30dayspriortothenaturalexpirationoftheexistingone-yearterm.

本协议应从上述日期起生效（生效日期）。

本协议从生效日期起，有效期为一年，除非根据本协议的条款提前终止。

之后，本协议应以同样的条款自动延期一年，除非任何一方选择不继续合作关系，并在一年的合作期满前三十天提供书面通知。

Termination.ThisAgreementmaybeterminatedbyasfollows:

Byeitherpartyiftheotherpartybecomesinsolventorbankrupt,orfilesavoluntarypetitioninbankruptcy,orhashadfiledforaninvoluntarypetitioninbankruptcy（unlesssuchinvoluntarypetitioniswithdrawnordismissedwithintendaysafterfiling）inwhicheventterminationmaybeimmediateuponnotice;or

任何一方：

如果另一方无力偿还债务或者破产，自愿申请破产，或者非自愿申请破产（除非非自愿破产在申请的十天内撤销或驳回），这些情况下，终止在通知即刻生效；或者
