INTRODUCTION
ThetermsoftheFourthEditionoftheConditionsofContractforWorksofCivilEngineeringConstructionhavebeenpreparedbytheFederationInternationaledesIngenieursConseils(FIDIC)andarerecommendedforgeneraluseforthepurposeofconstructionofsuchworkswheretendersareinvitedonaninternationalbasis.TheConditions,subjecttominormodifications,arealsosuitableforuseondomesticcontracts.
TheversioninEnglishoftheConditionsisconsideredbyFIDICastheofficialandauthentictextforthepurposeoftranslation.
TheClausesofgeneralapplicationhavebeengroupedtogetherinaseparatelybounddocumentandarereferredtoasPartI-GeneralConditions.Theyhavebeenprintedinaformwhichwillfacilitatetheirinclusion,asprinted,inthecontractdocumentsnormallyprepared.
InthepreparationoftheConditionsitwasrecognisedthatwhiletherearenumerousClauseswhichwillbegenerallyapplicabletherearesomeClauseswhichmustnecessarilyvarytotakeaccountofthecircumstancesandlocalityoftheWorks.
PartI-GeneralConditionsandPartII-ConditionsofParticularApplicationtogethercomprisetheConditionsgoverningtherightsandobligationsoftheparties.
ForthisreasonaPartIIstandardformhasnotbeenproduced.ItwillbenecessarytoprepareaPartIIdocumentforeachindividualcontractandtheGuidelinesareintendedtoaidinthistaskbygivingoptionsforvariousclauseswhereappropriate.
PartIIclausesmayariseforoneormorereasons,ofwhichthefollowingareexamples:
(i)WherethewordinginPartIspecificallyrequiresthatfurtherinformationistobeincludedinPartIIandtheConditionswouldnotbecompletedwithoutthatinformationnamelyinSubClauses1.1,paragraphs(a)(i)and(iv),5.1(part)14.1,14.3,68.2and70.1.
(ii)WherethewordinginPartIindicatesthatsupplementaryinformationmaybeincludedinPartII,buttheconditionswouldstillbecompletewithoutanysuchinformation,namelyinSubClauses2.1paragraph(b),5.1(part),21.1paragraph(b)and72.2.
(iii)Wherethetype,circumstancesorlocalityoftheWorksnecessitatesadditionalClausesorSub-Clauses.
(iv)WherethelawofthecountryorexceptionalcircumstancesnecessitateanalterationinPartI.SuchalterationsshouldbeeffectedbystatinginPartIIthataparticularClause,orpartofaClause,inPartIisdeletedandgivingthesubstituteClause,orpart,asapplicable.
Asfaraspossible,intheClausesthatarementionedhereunder,examplewordinginprovided.
InthecaseofsomeClauses,however,onlyanaidememoireforthepreparationisgiven.Beforeincorporatinganyexamplewordingitmustbecheckedtoensurethatitiswhollysuitablefortheparticularcircumstancesand,ifnot,itmustbevaried.WhereexamplewordingisvariedandinallcaseswhereadditionalmaterialinincludedinPartII,caremustbetakenthatnoambiguityiscreatedwithPartIorbetweentheClausesinPartII.
DredgingandReclamationWork
SpecialconsiderationmustbegiventoPartIIwheredredgingandcertaintypesofreclamationworkareinvolved.DredgersareconsiderablymoreexpensivethanmostitemsofContractor'sEquipmentandthecapitalvalueofadredgercanoftenexceedthevalueoftheContractonwhichitisused.
Forthisreason,itisintheinterestsofboththeEmployerandtheContractorthatadredgerisoperatedintensivelyinthemosteconomicfashion,subjecttothequalityofworkandanyotherover-ridingfactors.Withthisendinview,itiscustomarytoallowtheContractortoexecutedredgingworkcontinuouslybydayandbynightsevendaysaweek.AnotherdifferencefrommostcivilengineeringisthatondredgingworktheContractorisnotnormallyheldresponsiblefortheremedyingofthedefectsafterthedateofcompletionascertifiedunderClause48.PartIIcontainsexplanationsandexamplewordingtocovertheabovepointsandothersrelatingtodredging.Clauses11,12,18,19,28,40,45,50and51arethosewhichmostoftenrequireattentioninPartIIwhendredgingworkisinvolvedandreferenceisincludedundereachoftheseClauses.OtherClausesmayalsoneedadditionsinPartIIincertaincircumstances.ReclamationworkvariesgreatlyincharacterandeachinstancemustbeconsideredbeforedecidingwhetheritisappropriatetointroducePartIIchangessimilartothoseadoptedfordredging,ortousethestandardcivilengineeringformunaltered.

EXAMPLE
TheEngineershallobtainthespecificapprovalofthe
EmployerbeforecarryingouthisdutiesinaccordancewiththefolIowingClausesofPartI:

Thislistshouldbeextendedorreducedasnecessary.
InsomecasestheobligationtoobtaintheapprovaloftheEmployermayapplytoonlyoneSub-ClauseoutofseveralinaClauseorapprovalmayonlybenecessarybeyondcertainlimits,monetaryorotherwise.Wherethisisso,theexamplewordingmustbevaried.IftheobligationtoobtaintheapprovaloftheEmployercouldleadtotheEngineerbeingunabletotakeactioninanemergency,wheremattersofsafetyareinvolved,anadditionalparagraphmaybenecessary.
EXAMPLE
Notwithstandingtheobligation,assetoutabove,toobtainapproval,if,intheopinionoftheEngineer,anemergencyoccursaffectingthesafetyoflifeoroftheWorksorofadjoiningproperty,hemay,withoutrelievingtheContractorofanyofhisdutiesandresponsibilitiesundertheContract,instructtheContractortoexecuteallsuchworkortodoallsuchthingsasmay,intheopinionoftheEngineer,benecessarytoabateorreducetherisk.TheContractorshallforthwithcomply,despitetheabsenceofapprovaloftheEmployer,withanysuchinstructionoftheEngineer.TheEngineershalldetermineanadditiontotheContractPrice,inrespectofsuchinstruction,inaccordancewithClause52andshallnotifytheContractoraccordingly,withacopytotheEmployer.

TheseveraldocumentsformingtheContractaretobetakenasmutuallyexplanatoryofoneanother,butinthecaseofambiguitiesordiscrepanciesthepriorityshallbethataccordedbylaw.If,intheopinionoftheEngineer,suchambiguitiesordiscrepanciesmakeitnecessarytoissueanyinstructiontotheContractorinexplanationoradjustment,theEngineershallhaveauthoritytoissuesuchinstruction.
