事件背景

美国电力公司简介

美国的电力生产主要来自发电厂和公用部门，而电力销售则统一由全国几大地区的公用电网管理公司负责。

在电力生产结构中，煤炭是最重要的燃料，煤电比例占50％。

另外，美国核能发电比例为20％，天然气和其他燃气发电比例为18％，水力发电的比例为7％，石油2.5%，其余的是再生能源发电。

美国是燃煤发电装机容量最大的国家，到2030年，美国的燃煤电站仍将提供大部分的电力。

在预期内，燃煤电站发电量将从2003年占总电力装机容量的53%增长到2030年的57%。

美国电力公司每年总发电量占到全国的90%，提供全美的电力供用，居民用电和工业用电。

而其中的这些电力50%是利用煤炭来发电的。

因此要求又大量的煤炭供应，美国电力公司利用新的科学技术进行煤炭处理后，更高效的利用煤炭进行发电。

电力公司利用高压更高效的燃烧煤炭，提高发电效率，其一，利用高压燃煤技术提高燃烧效率，提高发电效率；其二，利用洗煤技术减少煤炭有害气体燃烧后进入大气。

这些高新技术的方法提高了电力的生产。

另外，美国电力公司建立了全美的电力输送网络，高效的输送电力。

TheUnitedStatesisthelargestcoal-firedpowergenerationcapacity.Whencometo2030,coal-firedpowerplantsintheUnitedStateswillcontinuetoprovidemostoftheelectricity.WehavetheExpectation,thecoal-firedpowerplantgeneratingcapacityfrom2003about53%ofthetotalinstalledpowergeneratingcapacitytogrowto57%in2030.

AmericanElectricPowerCompany'stotalannualpowergenerationaccountedfor90%ofthecountry,thenation'spowersupplywithresidentsofelectricityandindustrialelectricity.Thesepower50%oftheuseofcoaltogenerateelectricity.Thus,thathasrequiringanotherlargeamountofcoalsupply.Americanpowercompaniestakeadvantageofthenewscienceandtechnologyforcoalprocessing,moreefficientuseofcoalforpowergeneration.Moreefficientburningofcoalpowercompaniesusinghighpressure,improvetheefficiencyofpowergeneration,First,theuseofhigh-pressurecoal-firedtechnologiestoimprovecombustionefficiency,improvetheefficiencyofpowergeneration;Second,theuseofcoalwashingtechnologytoreduceharmfulgasesofcoalcombustionintotheatmosphere.Thesehigh-techmethodsusetoimprovetheproductionofelectricity.Inaddition,AmericanElectricPowerCompanyestablishedthenation'selectricitytransmissionnetwork,efficienttransmissionofelectricity.

成立于1980年的山西煤炭进出口集团有限公司，经过三十余年的历史和积累，目前已经发展成为具有山煤特色的以煤炭产销、高端制造和金融投资三大产业为核心的综合性大型企业集团。

　　从2009年起，山煤集团紧紧抓住山西省煤炭资源整合契机，先后整合50余家地方煤矿，总体产能达到3000万吨。

现有主体矿井21座，分布在大同、忻州、晋中、临汾、长治、晋城六个地市，形成了动力煤、炼焦煤、无烟煤、半无烟煤四大煤炭生产基地。

合作意向书

首先双方希望此次谈判可以圆满成功，双方可以有一个很愉快的合作。

甲方意向（美国电力公司）：

第一，我方要购买乙方，即山西煤炭进出口公司的原煤和焦碳

产品等两千万吨。

我方要求，以我方能够接受的最低价格购买乙方产品。

希望乙方能够诚恳的提供最合理的价格，并且提供质地优良的产品。

产品要符合我方的要求，符合我国的质量检验。

第二，我方要求和乙方建立长期合作的友好关系，希望以后

能够建立长期坚定的合作关系。

所以也希望乙方能够在以后的合作中，在众多贸易对象中，我们可以作为第一选择。

第三，双方同意上述燃料售价为每公吨人民币400美元，价款合计为人民币（大写）捌佰元整（小写）400美元。

我方预付的定金500000美元，在我方支付购煤价款时转为购煤价款。

第四，本合同生效后，除不可抗力外，乙方不按期交付货物的，甲方有权向乙方追索违约金。

违约金自约定货物交付之日第二天起至实际交付之日止，每延期一日，乙方按甲方已支付房价款金额的万分之叁（大写数字）向甲方支付违约金。

逾期超过3日（遇法定节假日顺延）乙方仍未交付货物的，甲方有权解除本合同。

合同解除自甲方书面通知送达乙方之日起生效。

乙方除在合同解除后30日内向甲方双倍返还定金外，并须将甲方已付的货物款及利息全部退还给甲方，利息按10%利率计算

乙方意向（山西煤炭进出口公司）

第一，我方希望你方能够以合理的市场价格收购我方的供

煤，尽量使我方在双方意愿范围内获得最大收益。

第二，在合作过程中希望贵方在境外交货时提供尽量多的方

便，一是我们的合作减少阻碍。

第三，我们希望可以由双方共同出资建立一个项目公司负责

本次合作及以后的此类合作。

第四，在本次合作后，如无其他原因，贵方在以后的此类采

购中将我方作为第一选择对象。

2,Wealsowanttorequesttoestablishlong-termfriendlyrelationsofcooperationwithPartyB,andhopetoabletoestablishlong-termandfirmcooperationrelationshipwithPartyB,andcouldbeabletointhecooperationinthefuture,inthenumberoftradepartners,wecanasafirstChoice.

3．Thetwosidesagreedtotheabovefuelispricedat$400pertone,thetotalpriceoftheRMB（uppercase）EIGHTHUNDREDYuan（lowercase）$400.Ourprepaiddepositof$50,000,topayourshareofcoalpriceconvertedtocoalpurchaseprice.

4.Aftertheeffectivedateofthiscontract,inadditiontotheforcemajored,PartyBisnotscheduledtodeliverthegoods;recoursetothePartyBPartyAisentitledtoliquidatedamages.Thedateofdeliveryofthegoodsfromtheagreedliquidateddamagesthenextdayuntiltheactualdateofdeliveryforeachdelayedday,PartyBbyPartypaytheFangjiakuanamountofbirthsthree（bignumbers）topayliquidateddamagestotheParty.Overdueformorethan3days（incaseoflegalholidayspostponed）PartyBhasnotyetdeliveredthegoods;PartyAhastherighttoterminatethiscontract.TerminationofthecontracteffectivedateofPartyBfromPartyAwrittennoticeserved.Binadditiontodoublethereturnofthedepositwithin30daysaftertheterminationofthecontracttoPartyAllthegoodspaidandinterestpaidandtokeepthePartyreturnedtotheParty,theinterestcalculatedataninterestrateof10%

山西省煤炭进出口公司，为了大力发展经济，更加大力鼓励发展对外贸易经济。

这样更有助于山西经济的发展。
