Thiscontract（"Contract"）ismadein[cityandprovince],Chinaonthis[●]dayof[●],200[●]byandbetween[Licensorname],[Licensorentityform]establishedandexistingunderthelawsof[PartyAjurisdictionofincorporation],withits[registeredaddress][principleplaceofbusiness]at[address]（hereinafterreferredtoas"Licensor"）,and[Licenseename],[Licenseeentityform]organizedandexistingunderthelawsofChinawithits[registeredaddress][principleplaceofbusiness]at[address]（hereinafterreferredtoas"Licensee"）.LicensorandLicenseeshallhereinafterbereferredtoindividuallyasa"Party"andcollectivelyasthe"Parties".

PreliminaryStatement

A.Licensorisaleadingglobalmanufacturerof[describeLicensorproducts].

B.Licenseeisamanufacturerof[describeLicenseeproducts]inChina.

C.Licenseedesirestoobtainalicensetomanufacture[describeLicensorproductstobelicensed]（asdescribedinmoredetailinAnnex[•],the"Products"）.

D.LicensoragreestograntLicenseealicensetomanufacturetheProductsinaccordancewithapplicablelawsandtheprovisionsofthisContract.

Afterfriendlyconsultationsconductedinaccordancewiththeprinciplesofequalityandmutualbenefit,thePartieshaveagreedtoenterintoalicensingarrangementinaccordancewithApplicableLawsandtheprovisionsofthisContract.

NowthePartiesHerebyAgreeasFollows:

1.DefinitionsandInterpretation

UnlessthetermsorcontextofthisContractotherwiseprovide,thisContractshallbeinterpretedinaccordancewith,andeachofthetermsusedhereinshallhavethemeaningascribedtoitinScheduleA.

2.LicenseGrant

2.1GranttoLicensee

LicensorherebygrantstoLicenseethepersonal,non-transferable,non-assignable,indivisible:

（a）[non-exclusive][exclusive]righttousetheTechnicalInformation,PatentRightsandToolssolelytomanufactureLicenseeProductssolelyinLicensee'sApprovedFacilityin[city],[province]China;

（b）[exclusiverighttosellLicenseeProducts[toLicenseeExclusiveCustomers][and][intheLicenseeExclusiveTerritory]and[（subjecttotheprovisionsofthe[ProductSupplyAgreement][andthe][DistributionAgreement]）]thenon-exclusiverighttosellLicenseeProductsintheLicenseeNon-ExclusiveTerritory].

2.2TermofLicense

ThetermofeachPatentRightlicensegrantedunderArticle2.1（a）shallcommenceonthelateroftheEffectiveDateandthedateonwhichtheapplicableletterpatentisissuedorgrantedandshallcontinuethrough:

（a）theexpirationofthetermoftherelevantPatentRight;

（b）theexpirationofthetermforwhichLicensorhastherighttograntsuchalicense;or

（c）theexpirationorearlyterminationofthisContractinaccordancewiththetermshereof.

2.3NoApplicationAgainstPatentValidity

LicenseeshallnotfileanyapplicationofanykindwhatsoeveragainstthevalidityofanyofthePatentRights.

3.LicenseFees

3.1FeeandRoyaltyPayment

LicenseeshallpaytoLicensor:

（a）[aLicenseFeeofUS$[●];and]

（b）[acontinuingRoyaltyof[●]percent（[●]%）ofNetSalesduringtheTerminthemannersetforthbelow.]

3.2AdditionalPayment

LicenseeshallpaytoLicensorsuchadditionalchargesforgathering,copyingorotherwisereproducingTechnicalInformation,ToolsandinformationrelatedtomodificationofThirdPartySoftwaresuppliedhereunder.LicenseeshallpaysuchchargestoLicensorwithinsixty（60）daysofLicensor'sissuanceorinvoicesinrespectthereof.

4.RecordsandRemittances

4.1FeePaymentDate

LicensorshallpaytheLicenseFeetoLicensorwithin[thirty（30）days]followingtheEffectiveDate.

4.2RoyaltyStatement

Within[fifteen（15）days]followingtheendofeach[semi-annualperiodendingonJune30,orDecember31][quarterendingonMarch31,June30,September30orDecember31]duringtheTerm（eacha"RoyaltyPeriod"）,commencingwiththeRoyaltyPeriodwhichends[December31,200[●]],LicenseeshallfurnishtoLicensorawrittenRoyaltycalculationstatementsubstantiallyintheformattachedasAnnex[●]（"Statement"）inrespectofthejustcompletedRoyaltyPeriod.TheStatementshallbecertifiedby[anauthorizedofficerordirectorofLicensee].TheamountoftheRoyaltycalculatedintheStatementshallnotbereducedastheresultofLicensee'sextensionofdeferredpaymenttermstoapurchaser,failureorinabilitytocollectanyamountowingfromapurchaseroranyotherreason.LicenseeshallfurnishwhateveradditionalinformationLicensormayreasonablyrequestfromtimetotimetoconfirmthecalculationoftheRoyalty.

4.3RoyaltyPaymentDate

Within[sixty（60）days]followingtheendofeachRoyaltyPeriod,LicenseeshallpaytoLicensortheRoyaltyforsuchRoyaltyPeriodasshownintheStatementforsuchRoyaltyPeriod.

4.4RemittanceofRoyalty

LicenseeshallmakeallpaymentstoLicensorhereunderbytelegraphictransfertoLicensor'sbankaccountfromtimetotimenotifiedbyLicensortoLicenseeinwriting.

4.5TaxPayments

LicenseeshallberesponsibleforallTaxesimposedinrespectofthesigningorperformanceofthisContractotherthananywithholdingtaxesrequiredtobeimposedonpaymentstoLicensor.LicenseeshalldeductapplicablewithholdingtaxesfrompaymentstoLicensorhereunderandshallprovidetoLicensoravalidreceiptissuedbytherelevantgovernmentauthorityconfirmingthattheamountwithheldhasbeendulypaidtotheauthoritywithinthirty（30）days.ToassistLicensorinobtainingacreditordeductioninLicensor'shomejurisdictionforanywithholdingtaxpaidinChina,LicenseeshallprovideLicensorwithsuchadditionalevidenceasmayberequiredbysuchrelevantforeigntaxauthorities.

4.6LatePaymentInterest

IfLicenseefailstomakeanypaymenttoLicensorwithinthetimesti
