GeneralBackground
TheNewYorkProduceExchangeTimeCharter(hereinafterreferredtoastheNYPE)wasfirstpublishedbytheNewYorkProduceExchangein1913although,asfarascanbedetermined,thesubstanceoftheformwasinusemuchearlierbutprobablywithanothertitle.
UndertheauspicesoftheNewYorkProduceExchange,theNYPEhasbeenamendedfromtimetotime,i.e.,in1921,in1931andin1946.
IntheperiodafterWorldWarII,theNewYorkProduceExchangedeclinedasacommodityexchangeandinthelate1960'sorearly1970'stheProduceExchangedisbandedanditsfunctionsweretakenoverbywhatwasknownastheInternationalCommodityExchangewhich,itisunderstood,isnowdefunctorinactive.
Withnoup-datingoramendmenttotheNYPEsince1946,afirstattempttomodernisethecharterwasinitiatedbyTheAssociationofShipBrokers&Agents(U.S.A.),Inc.(ASBA),NewYorkin1977.DuringtherevisionworkASBAundertookawideconsultationwithinterestedpartiesincludingTheBalticandInternationalMaritimeCouncil(BIMCO)andTheGeneralCouncilofBritishShipping(nowTheChamberofShipping).
Inpursuanceofthisinitiative,itwasthewishofASBAnottoproduceanentirelynewformbuttoamendthe1946Formbyincorporatingthechangeswhichwerethenmostfrequentlybeingmadeinthenegotiatingoftimechartersinthemarketplace.Nexttothis,ASBAdecidedthatclausesonlyoccasionallynegotiatedshouldnotbeincludedintherevisedform,butwouldbeplacedinanattachedRiderofSuggestedAdditionalClausessomeorallofwhichmightthenbeaddedtothebasiccharterwhensoagreedbythepartiesinvolvedinaparticularfixture.
Therevisedform,knownasthe"ASBATIME"waspublishedbyASBAin1981butgainedonlylimitedacknowledgmentanduseinthemarketplace.AlthoughASBAhadhopedthatthetechniqueadoptedinthe"ASBATIME1981"bymakingavailableacomprehensivelistofsuggested,optionalclausesintheattachedprintedRiderwouldhelptocombatthe"RiderSyndrome"soinherenttotheNYPE1946form,themarketcontinuedtousetheoldNYPE1946withanever-increasingnumberof"home-made",oftenbadlydraftedriderclauses,manyofwhichappearedtohavebeenhastilydraftedduringlateafternoonrushhoursand,asaresult,causingnumerousdisputes.ManyexamplesofexecutedNYPE1946formshaveshownthat,inagreatmanyinstances,verylittleoftheprintedtextisleftintactbecauseofnumerousdeletionsandamendmentscombinedwithsometimesupto40-50,ifnotmore,riderclauses.Itis,therefore,notsurprisingthatovertheyearsthecharterpartiesagreedontheNYPE1946formhavebeenthesubjectofadrasticincreaseinlitigationandarbitration.
OnthisbackgroundandrecognisingtheimportanceoftheNYPEasthemostcommonlyusedtimecharterformfordrycargovessels,theCharteringandDocumentaryCommitteeofASBAdecidedin1992,inco-operationwithTheBalticandInternationalMaritimeCouncil(BIMCO)andtheFederationofNationalAssociationsofShipBrokersandAgents(FONASBA),toundertakeageneralrevisionoftheNYPE/ASBATIMECharter,takingintoaccountchangesinmarketpracticesandship'stypesetc.whichhadtakenplacesincethelatestrevisionand,thereby,hopefullyproduceaworkableandup-to-dateformwhichwouldbeendorsedinthemarketplaceandwhichwouldassistthepartiesintheirday-to-daybusinesstransactions.
Inpursuanceofthisobjective,aJointWorkingGroupconsistingofrepresentativesfromASBA,BIMCOandFONASBAhassincebeenworkingcloselytogether.Throughoutthepreparatoryrevisionworkgreateffortshavebeenmadetorevisethecharterinsuchamannersoastostrikeafairbalancebetweentheparties;whereshortcomingsanduncertaintiesexisted,totrytoclarifythedocumentbyuseofaptwordsandrecognisedtradeterminology;toimprovethestructureofthecharterinordertofacilitatereadingandgeneraloverview;tointegrateintothebasicformofthechartersuchclauseswhicharealreadycommonlyaddedinaRiderinordertoreducethescopeofdisputessooftenarisingfrombadlydraftedriderclausesandtointroducesuchchangesasdeemednecessarytoconformtomoderncustomsandmodernshiptechnology.Inthisconnection,anumberoftheRiderClausessuggestedintheASBATIMERiderofSuggestedAdditionalClauseshasnowbeenincorporatedintheprintedbodyoftherevisedCharter;otherclausesrepresentanewapproachtolong-standingproblemsandnewclauseshavebeenaddedsuchas,forinstance,anAnti-DrugAbuseClauseandaStowawaysClausecomparabletothoseoftenaddedtomanyproformaNYPEChartersusedbymajorcharterers.
TherevisionworkhasnowbeencompletedandtheresultingrevisedNewYorkProduceExchangeTimeCharter,CodeName:
NYPE93,marked"RevisedSeptember14th,1993"hasbeenofficiallyapprovedbytheBoardofGovernorsofASBAandhasbeenadoptedbytheDocumentaryCommitteeofBIMCOasa"Recommended"form;similarly,thecharterhasbeenadoptedbytheCharteringandDocumentaryCommitteeofFONASBA.

ItislefttothepartiestofillintheactualfigureagreedinrespectofmaximumforceontheBeaufortwindscaledependingonthesizeandtypeofvesselandherenginepower.
InthePreambleaswellasinvariousotherplacesinthecharter,itisnecessarytospecifywhether"long"or"metric"tonswhichisalsoimportantinrelationtotherateofhire(Clause10)iffixedpertononthevessel'stotaldeadweightcarryingcapacity.
AnAppendix"A"hasbeenprovidedforfilling-insuchfurtherdetailsofthevesselasmayberequired.ItisofparticularimportancetoinsertinAppendixAafullspecificationofthebunkerfueloiltobesuppliedforburninginthevessel'smainenginesandauxiliaries(forfurthercommentsonthissubjectseealsocommentsonClause9below).
Clause1-Duration
Toavoidrecurringdisputesonthedurationofcharter,itisrecommendedtospecifyclearlytheexactperiodofhirewithanymargin,ifalsoagreed.
Clause2-Delivery
TheNYPE1946providedinLine22forthevesseltobe"ineverywayfittedfortheservice".ThiswasamendedintheASBATIME1981revisiontoread"ineverywayfittedforordinarycargoservice"whichwasfoundtobeclearerandhas,therefore,beenmaintainedintheNYPE93.
Clause3-On-OffHireSurvey
WhereastheNYPE1946ChartercontainednoOn-OffHireSurveyClause,suchclausewasincludedasanoptionalclauseintheASBATIMERiderofSuggestedAdditionalClauses.
ThisclausehasnowbeenincorporatedintheNYPE93andhasbeenclarifiedtotakeintoaccount,interalia,thefactthatnowadaysvesselsareoftendelivered/re-deliveredduringseapassageoronarrival/departurepilotstationwherenosuchsurveyscanbeconducted.
Clause4-DangerousCargo/CargoExclusions
InsteadofablanketexclusionofdangerouscargoesasfoundintheNYPE1946,Line25,thisclausefollowsthecorrespondingclauseintheASBATIME1981whichpermitsthecarriageofdangerouscargoifcarriedinaccordancewiththerequirementsofrelevantauthoritiesbutstillexcludesthecarriageoflivestock,arms,ammunition,explosives,aswellasnuclearandradioactivematerials(sub-clause(a)).
Recognisingthatmanyhullinsurancepoliciesputalimitontheamountofdangerouscargotobecarriedonanyvoyage,newprovisionshavebeenincluded(sub-clause(b))which,ifIMO-classifiedcargoisagreedtobecarried,requirethepartiestoagreeandfillinthemaximumamountofsuchcargo;theclausealsogivesclearrulesastothepacking,labelling,loadingandstowingofsuchcargoaccordingtoIMOregulations.
Clause5-TradingLimits
TheprintedprovisionsintheNYPE1946(Lines27-31)specifyingtradingareasandlimitsareobsoleteandoftenamendedinpractice.ThiswaschangedintheASBATIME1981leavingittothepartiestospecifytheagreedtradinglimitsandexcludedareas.TheNYPE93alsoprovidesaccordingly.

Theseclauses,whicharecommoninalltimecharterpartyforms,remainessentiallythesameasintheASBATIME1981,withsomeminorrevisionofwording.
Clause8-PerformanceofVoyages
Thisclause,whilstkeepingthebasicowners'/charterers'divisionofresponsibilityforcargo,hasbeenclarifiedinordertoremoveuncertaintiesexistinginClause8oftheNYPE1946includingitsseriousshortcomingofomittinganyreferenceto"discharge"which,therefore,isusuallybeingtype-addedinpractice.IntheASBATIME1981(Clause8),insteadofdescribingcharterers'cargoresponsibilitiesintermsofanobligation"toload,stowandtrim"asfoundintheNYPE1946,theclauseprovidesthatthecharterersare"toperformallcargohandling".Thisprovisionwhichencompassesthepreviouslydescribedfunctions(including"discharge"asomittedintheNYPE1946)hasbeenkeptintheNYPE93anddoesnot,assaid,alterthebasicowners'/charterers'divisionofresponsibilityforcargointheoriginalNYPE1946.
BoththeNYPE1946andtheASBATIME1981containprovisionsregardingsigningofbillsoflading,etc.,which,ithasbeenfoundtobesomewhatmisplacedinaclausewhichbasicallydealswiththeperformanceofthevoyage.Provisionscoveringthesigningofbillsoflading,etc.arenowfoundinaself-standingclause(Clause30)forcommentsonwhichseebelow.
