TRIPLENETBUILDINGLEASE租赁合同-
Section17.01.Severability.TheinvalidityofanyprovisionofthisLeaseasdeterminedbyacourtofcompetentjurisdiction,shallinnowayaffectthevalidityofanyotherprovisionhereof.Section17.02.AgreedRateInterestonPastDueObligations.Exceptasexpresslyhereinprovided,anyamountduetoeitherpartynotpaidwhendueshallbearinterestattheBankofAmericaprimerateplusonepercent(1%)(AgreedRate).PaymentofsuchinterestshallnotexcuseorcureanydefaultbyLesseeunderthisLease.DespiteanyotherprovisionofthisLease,thetotalliabilityforinterestpaymentsshallnotexceedthelimits,ifany,imposedbytheusurylawsoftheStateof_________(PLACENAME).Anyinterestpaidinexcessofthoselimitsshallberefundedtothepayorbyapplicationoftheamountofexcessinterestpaidagainstanysumsoutstandinginanyorderthatpayeerequires.Iftheamountofexcessinterestpaidexceedsthesumsoutstanding,theportionexceedingthosesumsshallberefundedincashtothepayorbythepayee.Toascertainwhetheranyinterestpayableexceedsthelimitsimposed,anynonprincipalpayment(includinglatecharges)shallbeconsideredtotheextentpermittedbylawtobeanexpenseorafee,premium,orpenaltyratherthaninterest.Section17.03.TimeofEssence.TimeisoftheessenceintheperformanceofallobligationsunderthisLease.Section17.04.AdditionalRent.AnymonetaryobligationsofLesseetoLessorunderthetermsofthisLeaseshallbedeemedtobeAdditionalRentandLessorshallhavealltherightsandremediesforthenonpaymentofsameasitwouldhavefornonpaymentofBaseRent,exceptthattheoneyearrequirementofCodeofCivilProcedureSection1161
(2)shallapplyonlytoscheduledinstallmentsofBaseRentandnottoanyAdditionalRent.Allreferencestorent(exceptspecificreferencestoeitherBaseRentorAdditionalRent)shallmeanBaseRentandAdditionalRent.Section17.05.IncorporationofPriorAgreements,AmendmentsandExhibits.ThisLease(includingExhibitsA,B,C,D,E,F,G,H,I,J,KandL)containsallagreementsofthepartieswithrespecttoanymattermentionedherein.Noprioragreementorunderstandingpertainingtoanysuchmattershallbeeffective.ThisLeasemaybemodifiedinwritingonly,signedbythepartiesininterestatthetimeofthemodification.ExceptasotherwisestatedinthisLease,LesseeherebyacknowledgesthatneithertheLessornoranyemployeesoragentsoftheLessorhasmadeanyoralorwrittenwarrantiesorrepresentationstoLesseerelativetotheconditionorusebyLesseeofsaidPremisesandLesseeacknowledgesthatLesseeassumesallresponsibilityregardingtheOccupationalSafetyHealthAct,thelegaluseandadaptabilityofthePremisesandthecompliancethereofwithallapplicablelawsandregulationsineffectduringtheLeaseTermexceptasotherwisespecificallystatedinthisLease.NeitherpartyhasbeeninducedtoenterintothisLeaseby,andneitherpartyisrelyingon,anyrepresentationorwarrantyoutsidethoseexpresslysetforthinthisLease.Section17.06.Notices.(a)WrittenNotice.Anynoticerequiredorpermittedtobegivenhereundershallbeinwritingandshallbegivenbyamethoddescribedinparagraph(b)belowandshallbeaddressedtoLesseeortoLessorattheaddressesnotedbelow,nexttothesignatureoftherespectiveparties,asthecasemaybe.Eitherpartymaybynoticetotheotherspecifyadifferentaddressfornoticepurposes.AcopyofallnoticesrequiredorpermittedtobegiventoLessorhereundershallbeconcurrentlytransmittedtosuchpartyorpartiesatsuchaddressesasLessormayfromtimetotimehereafterdesignatebynoticetoLessee,butdelayorfailureofdeliverytosuchpersonshallnotaffectthevalidityofthedeliverytoLessororLessee.(b)MethodsofDelivery:
(i)Whenpersonallydeliveredtotherecipient,noticeiseffectiveondelivery.Deliverytothepersonapparentlydesignatedtoreceivedeliveriesatthesubjectaddressispersonallydeliveredifmadeduringbusinesshours(e.g.receptionist).(ii)Whenmailedbycertifiedmailwithreturnreceiptrequested,noticeiseffectiveonreceiptifdeliveryisconfirmedbyareturnreceipt.(iii)WhendeliverybyovernightdeliveryFederalExpress/Airborne/UnitedParcelService/DHLWorldWideExpresswithchargesprepaidorchargedtothesender’saccount,noticeiseffectiveondeliveryifdeliveryisconfirmedbythedeliveryservice.(c)Refused,UnclaimedorUndeliverableNotices.Anycorrectlyaddressednoticethatisrefused,unclaimed,orundeliverablebecauseofanactoromissionofthepartytobenotifiedshallbeconsideredtobeeffectiveasofthefirstdatethatthenoticewasrefused,unclaimed,orconsideredundeliverablebythepostalauthorities,messenger,orovernightdeliveryservice.Section17.07.Waivers.Nowaiverofanyprovisionhereofshallbedeemedawaiverofanyotherprovisionhereoforofanysubsequentbreachofthesameoranyotherprovisions.Anyconsentto,orapprovalof,anyactshallnotbedeemedtorenderunnecessarytheobtainingofconsenttoorapprovalofanysubsequentact.TheacceptanceofrenthereunderbyLessorshallnotbeawaiverofanyprecedingbreachbyLesseeofanyprovisionhereof,otherthanthefailureofLesseetopaytheparticularrentsoaccepted,regardlessofLessor’sknowledgeofsuchprecedingbreachatthetimeofacceptanceofsuchrent.Section17.08.Recording.EitherLessororLesseeshall,uponrequestoftheother,execute,acknowledgeanddelivertotheotherashortformmemorandumofthisLeaseforrecordingpurposes,providedthatLesseeshallalsosimultaneouslyexecuteinrecordableformanddeliveringtoLessoraQuitClaimDeedastoitsleaseholdandanyotherinterestinthePremisesandherebyauthorizesLessortodateandrecordthesameonlyupontheexpirationorsoonerterminationofthisLease.Section17.09.SurrenderofPossession;HoldingOver.(a)AttheexpirationoftheLease,LesseeagreestodeliverupandsurrendertoLessorpossessionofthePremisesandallimprovementsthereonbroomcleanand,inasgoodorderandconditionaswhenpossessionwastakenbyLessee,exceptingonlyordinarywearandtear(wearandtearwhichcouldhavebeenavoidedbyfirstclassmaintenancepracticesandinaccordancewithindustrystandardsshallnotbedeemedordinary).UponexpirationorsoonerterminationofthisLease,LessormayreenterthePremisesandremoveallpersonsandpropertytherefrom.IfLesseeshallfailtoremoveanypersonalpropertywhichitisentitledorobligatedtoremovefromthePremisesupontheexpirationorsoonerterminationofthisLease,foranycausewhatsoever,Lessor,atitsoption,mayremovethesameandstoreordisposeofthem,andLesseeagreestopaytoLessorondemandanyandallexpensesincurredinsuchremovalandinmakingthePremisesfreefromalldirt,litter,debrisandobstruction,includingallstorageandinsurancecharges.IfthePremisesarenotsurrenderedattheendoftheLeaseTerm,LesseeshallindemnifyLessoragainstlossorliabilityresultingfromdelaybyLesseeinsosurrenderingthePremises,including,withoutlimitation,actualdamagesforlostrentandwithrespecttoanyclaimsofasuccessoroccupant.(b)IfLessee,withLessor’spriorwrittenconsent,remainsinpossessionofthePremisesafterexpirationoftheLeaseTermandifLessorandLesseehavenotexecutedanexpresswrittenagreementastosuchholdingover,thensuchoccupancyshallbeatenancyfrommonthtomonthatamonthlyBaseRentequivalenttoonehundredfiftypercent(150%)ofthemonthlyrentalineffectimmediatelypriortosuchexpiration,suchpaymentstobemadeashereinprovidedforBaseRent.Intheeventofsuchholdingover,allofthetermsofthisLease,includingthepaymentofAdditionalRentallchargesowinghereunderotherthanrentshallremaininforceandeffectonsaidmonthtomonthbasis.Section17.10.CumulativeRemedies.NoremedyorelectionhereunderbyLessorshallbedeemedexclusivebutshall,whereverpossible,becumulativewithallotherremediesatlaworinequity,providedthatnoticeandcureperiodssetforthinArticleXIIareintendedtoextendandmodifystatutorynoticeprovisionstotheextentexpresslystatedinSection12.01.Section17.11.CovenantsandConditions.EachprovisionofthisLeasetobeobservedorperformedbyLesseeshallbedeemedbothacovenantandacondition.Section17.12.BindingEffect;ChoiceofLaw.SubjecttoanyprovisionshereofrestrictingassignmentorsublettingbyLesseeandsubjecttotheprovisionsofArticleXVI,thisLeaseshallbindtheparties,theirpersonalrepresentatives,successorsandassigns.ThisLeaseshallbegovernedbythelawsoftheStateof_________(PLACENAME)andanylegalorequitableactionorproceedingbroughtwithrespecttotheLeaseorthePremisesshallbebroughtin_________(PLACENAME)County,_________(PLACENAME).Section17.13.LeasetobeSubordinate.LesseeagreesthatthisLeaseisandshallbe,atalltimes,subjectandsubordinatetothelienofanymortgageorotherencumbranceswhichLessormaycreateagainstthePremisesincludingallrenewals,replacementsandextensionsthereofprovided,however,thatregardlessofanydefaultunderanysuchmortgageorencumbranceoranysaleofthePremisesundersuchmortgage,solongasLesseetimelyperformsallcovenantsandconditionsofthisLeaseandcontinuestomakealltimelypaymentshereunder,thisLeaseandLessee’spossessionandrightshereundershallnotbedisturbedbythemortgageeoranyoneclaimingunderorthroughsuchmortgagee.Lesseeshal
