ChapterIIIEstablishmentoftheJointVentureCompany

Article2InaccordancewiththeLawofthePeople’sRepublicofChinaonJointVenturesUsingChineseandForeignInvestmentandotherrelevantChineselawsandregulations,bothpartiestothejointventureagreetosetupajointventurelimitedliabilitycompany（hereinafterreferredtoastheJointVenture）.

Article6ThepurposeofthepartiestotheJointVentureisinconformitywiththewishofstrengtheningtheeconomiccooperationandtechnicalexchanges,toimprovetheproductquality,developnewproductsandgaincompetitivepositioninworldmarketinqualityandpricebyadoptingadvancedandappropriatedtechnologyandscientificmanagementmethod,soastoraiseeconomicresultsandensuresatisfactoryeconomicbenefitsforeachinvestor.

Article12TheregisteredcapitaloftheJointVentureshallbepaidininstallmentsbyPartyAandPartyBaccordingtotheirrespectivepropertiesoftheirinvestment.Eachinstallmentshallbeasfollows:

Article13IncaseanypartytotheJointVentureintendstoassignallorpartofhisinvestmentsubscribedtoathirdparty,consentshallbeobtainedfromtheotherpartytotheJointVenture,andapprovalfromtheexaminationandapprovalauthorityistorequired.WhenonepartytotheJointVentureassignsallorpartoftheinvestment,theotherpartyhaspreemptivebuyingright.

ChapterVIResponsibilitiesofEachPartytotheJointVenture

Article14PartyAandPartyBshallberespectivelyresponsibleforfulfillingthefollowingmatters:

ResponsibilitiesofPartyA:

（1）Handingapplicationsforapproval,registration,businesslicenseandothermattersfortheestablishmentoftheJointVenturefromtherelevantcompetentdepartmentsinChina;

（2）Applyingfortherighttotheuseofasitetotheauthorityinchargeoftheland;

（3）OrganizingthedesignandconstructionofthepremisesandotherengineeringfacilitiesoftheJointVenture;

（4）Providingcash,machineryandequipmentandpremises…inaccordancewiththestipulationsinArticle11;

（5）AssistingPartyBforprocessingimportcustomsdeclarationforthemachineryandequipmentscontributedbyPartyBasinvestmentandarrangingthetransportationwithintheChineseterritory;

（6）AssistingtheJointVentureinpurchasingorleasingequipments,materials,rawmaterials,articlesforofficeuse,meansoftransportationandcommunicationfacilities,etc.;

（7）AssistingtheJointVentureincontractingandsettingtheinfrastructurefacilitiessuchaswater,electricity,transportation,etc.;

（8）AssistingtheJointVentureinrecruitingChinesemanagementpersonnel,technicalpersonnel,workersandotherpersonnelneeded;

（9）Assistingforeignworkersandstaffinapplyingfortheentryvisa,worklicenseandprocessingtheirtravelingmatters;

（10）ResponsibleforhandingothermattersentrustedbytheJointVenture.

ResponsibilitiesofPartyB:

（1）Providingcash,machineryandequipment,industrialproperty…inaccordancewiththestipulationsinArticle11,andresponsibleforshippingcapitalgoodssuchasmachineriesandequipment,etc.contributedasinvestmenttoChineseport;

（2）HandingthemattersentrustedbytheJointVenture,suchasselectingandpurchasingmachineryandequipmentsoutsideChina,etc.;

（3）Providingneededtechnicalpersonnelforinstalling,testingandtrialproductionoftheequipment,aswellasthetechnicalpersonnelforproductionandinspecting;

（4）TrainingthetechnicalpersonnelandworkersoftheJointVenture;

（5）IncasethePartyBistheLicensor,heshallberesponsibleforthestableproductionofqualifiedproductsoftheJointVentureinthelightofdesigncapacitywithinthestipulatedperiod;

（6）ResponsibleforothermattersentrustedbytheJointVenture.

ChapterVIITransferofTechnology

Article15PartyAandPartyBagreethatatechnologytransferagreementshallbesignedbetweentheJointVentureandPartyB（orathirdparty）,soastoobtainadvancedproductiontechnologyneededforrealizingtheproductionandoperationpurposeandtheproductionscalestipulatedinChapterⅣintheContract,includingproductsdesigning,technologyofmanufacturing,meansoftesting,materialsprescription,standardofqualityandthetrainingofpersonnel,etc.（Note:

Itshallbewritteninthecontractaccordingtotheconcreteconditions.）

Article16PartyBoffersthefollowingguaranteesofthetransferoftechnology:

ThisarticleappliesonlytotheJointVenture’scontractwhenPartyBisresponsiblefortransferringtechnologytotheJointVenture.）

（1）PartyBguaranteesthattheoveralltechnologysuchasthedesigning,technologyofmanufacturing,technologicalprocess,testsandinspectionofproducts（Note:

Thenameoftheproductsshallbewritten.）providedtotheJointVenturemustbeintegrated,preciseandreliable.Itistomeettherequirementofthejointventure’sseparationpurpose,andtoguaranteetheachievementofproductionqualityandproductioncapacitystipulatedintheContract;

（2）PartyBguaranteesthatthetechnologystipulatedinthisContractandtheTechnologyTransferAgreementshallbefullytransferredtotheJointVenture,andpledgesthattheprovidedtechnologyshouldbetrulyadvancedamountthesametypeoftechnologyofPartyB,themodel,specificationandqualityoftheequipmentareexcellentanditistomeettherequirementoftechnologicaloperationandpracticalusage;

（3）PartyBshallworkoutdetailedlistoftheprovidedtechnologyandtechnologicalserviceatvariousstagesasstipulatedintheTechnologyTransferAgreementtobeanappendixtotheContract,andguaranteeitsperformance;

（4）Thedrawings,technologicalrequirementsandotherdetaileddataarecomponentpartofthetransferredtechnology,whichshall
